두 가지 부품으로 구성된 조립시스템에서 부품 아웃소싱 계약에 대한 고찰 (Component Outsourcing Contracts in a Two-Component Assembly System)

  • This paper considers a two-component assembly system that makes different types of purchasing contracts by component type and studies the issue of coordinating those contracts. Acquisition of type 1 component is based on the long-term contract. In contrast, type 2 component is intermittently purchased under the sort-term contract. We identify the structural properties of the optimal short-term contract and investigate how the changes in system parameters affect the optimal performance. To provide managerial insights, we compare the short-term and long-term contracts for type 2 component and discuss the conditions that make the short-term contract preferable to the long-term contract. We also present a result which shows that coordinating the contracts of type 1 and type 2 components can be significantly profitable over uncoordinating them.

  • In case of international long-term transactions, there are various risks of economic change of circumstances including skyrocketing price increase and shortage of raw material, as well as force majeure in a general sense. Nevertheless, pretty many of international long-term commercial contracts do not include the provisions of renegotiation and adaptation of the contract. In this case, possibility of renegotiation and adaptation depends mainly on the applicable law. Namely, it may be possible or not, according to choice of law. The reason is that national laws have nuances each other, and most of national courts are traditionally reluctant to accept hardship. and also, provisions of international uniform law (CISG) has ambiguity and inflexibility in relation to the problems of change of circumstances. Accordingly, this paper analyzes comparatively the doctrines and provisions related to renegotiation and adaptation of contracts of the most representative countries such as England, U.S.A., France, Germany as well as provisions CISG and soft law such as PICC. By doing so, the author makes clear which laws of instruments is more flexible or acceptable in allowing renegotiation and adaptation of long-term commercial contracts, and emphasizes on the importance of inclusion of express terms by using other alternative supplementing clauses, as a best solution for settling the problems of legal uncertainty of contract in relation to renegotiation and adaptation.

A Study on Customary Practices in Iron Ore and Steel Product Shipping Contract - Case of Long-term Shipping Contracts in Korea

  • Long-term shipping contracts represent the cooperative and coexisting relationships between the shipping and steel industries. Yet, differences between the contract forms for iron ore and steel products have emerged. Specifically, the large proportion of consecutive voyage charters (CVC) is being applied in the iron ore trade, whereas the contract of affreightment (COA) is proportionally higher for shipping steel products. The literature review and in-depth interviews in this study identified through the research model, the characteristics of the shipping and market structure in both markets have significantly contributed to the preference of different long-term contracts. It has been determined that the mutual oligopoly market structure and the characteristics of shipping such as, the small number of suitable vessels in the market, the single fixed load/discharge ports, the long-distance voyages, and the potential risks for fatal accidents because of cargo liquefaction, for the iron ore trade, provide higher contribution to the preference of CVC contracts. In contrast, the consignor oligopoly market structure and the shipping characteristics, such as the greater number of suitable vessels available in the market, the variation in ports, the cargo quantity per shipment, the various load/discharge ports, and the need for experienced carriers for steel product loading in the steel product trade has shown higher preference on the COA contracts as the consignors with superiority over the shipowners, resulting in favorable contract types and conditions for the consignors.

FGI를 활용한 장기계속공사계약 분쟁 개선방안 기초연구 (A Study on the Improvement of Long-Term Continuing Construction Contracts Dispute Using FGI)

  • 장기계속공사계약은 예산 일년주의 원칙에 충실한 계약으로, 비교적 많은 예산이 수년에 걸쳐 투입되어야 목적물이 완성되는 특성을 가지고 있는 건설공사에서는 적절한 보완대책이 필요한 계약이다. 이에 본 연구에서는 FGI와 조달청의 공사발주 내역 분석을 통해 장기계속공사계약의 문제점과 개선방안을 도출하였다. 장기계속공사계약의 문제점으로는 법률과 대통령령의 정합성 문제, 예산편성의 효율성이라 보기 어려운 계약이 다수 발주되는 문제, 공기연장에 따른 간접비용 산정문제, 최종 차수계약에 예산이 과다하게 투입되는 문제 등이 존재하였다. 이를 해결하기 위해 총공사기간과 총공사금액의 효력을 인정하는 내용과 장기계속공사계약으로 할 수 있는 대상사업 범위를 한정하는 내용을 포함하는 관련법률 개정이 필요하다. 또한, 공사기간 연장시기에 발생되는 간접비용에 대한 산출기준과 적정 공사기간 산정기준을 명확히 할 필요가 있다.

  • Restructuring of the electric power industry has brought the issue of market competitiveness to surface. Recent years have witnessed the appearance of a particular seller or group of sellers exercising market power in electricity supply. In fact, much scholarly work has been done on how to identify and mitigate such abuse by market management rules. In this paper we assess the possible market power on the basis of pivotal supplier test and propose the method to determine the reasonable quantity of long-term contracts which can play a crucial role in mitigating the market power for a pivotal player. Furthermore the market efficiency is guaranteed by making long term contracts with a pivotal player up to the quantity to ensure that the pivotal player has no incentive to abuse the pivotal quantity in the electricity market.

국제상사계약에 관한 UNIDROIT원칙에 있어서 이행곤란(Hardship)의 법리 (The Rules of law for the Hardship in the UNIDROIT Principles of International Commercial Contracts)

  • In the international sales contract, long-term contracts often face hardship in fulfilling the original contract terms by relevant parties due to rapid change and uncertainty of political and economic circumstance. In this case, party who faces hardship of fulfillment terminates contract or demands adaptation to contract condition but if opponent doesn't accept this, it proceeds to commercial dispute needing legal interpretation. Generally it is wise to set forth governing law in contract between parties in the case of international contract, for legal stability. One of universal governing law which relevant parties select by agreement to solve economical hardship of fulfillment is PICC. PICC defines the hardship in detail for renegotiation on following hardship of fulfillment unexpected. In the case of failing renegotiation, Court(arbitral tribunal) conducts termination to contract or adaptation to contract condition through arbitration or mediation. In conclusion, when signing international long-term contract, it is desirous to handle dispute effectively by inserting provisions which can deal with economical hardship in contract or defining PICC as governing law in the case of hardship incurred. It is because it is realistic to handle dispute smoothly to the extent that both parties can be satisfied in the case of hardship incurred, though international contract should be fulfilled.

분쟁예방을 위한 중국인의 협상관행에 관한 고찰 (A Study On the Characteristics of Chinese Negotiators to Make a Effective Disputes Prevention)

  • All kinds of commerces are begun from the contract and the claims are frequently raised by the problem in the contracts. Therefore, the negotiation is very important to make a contract and resolve the claim. This article analyzed the negotiation practice of Chinese in order to render help to negotiators who enter into negotiations with Chinese business people so that they can enhance their chance for success. Based on this examination on the negotiating style, this paper also provides the some guidelines in working-level negotiating with Chinese. For the purpose this study applies "global negotiation flowchart" and twelve important factors suggested by stephen & stripp to analyze the characteristics of Chinese business negotiating style. The results suggest some useful criteria for negotiators First, In the preparation, the negotiator need a thorough study about the Chinese negotiating style and counter party. Second, In the negotiation with the Chinese, making the personal relationship and, if possible, frequent contact with the person who is the most powerful negotiator in decision-making. Third, since the Chinese has a sense of value that money is very important, it is very necessary that the negotiator persuade him by mutual profits. Finally, negotiators must aim at long-term profit maximization not at short-term.

장기계속공사계약의 효율적 운영을 위한 제도 개선 (Systematic Improvement for Effective Operation of Long-Term Continuous Construction Contracts)

  • 수년에 걸쳐 장기적으로 사업을 추진해야 하는 대형건설공사를 위해서는 단년도에 편성된 예산의 한도내에서 공사를 차수별로 계약체결하는 장기계속공사계약과 전체공사에 대한 예산을 편성해 두고 연차적으로 집행해 나가는 계속비사업계약이 있다. 장기계속공사계약의 경우 매년도 예산편성에 따라 공사를 진행하게 되므로 최초 예산을 산출할 때 전체 사업기간을 예상할 수 없다. 또한 장기계속공사계약과 관련해서는 하자책임과 관련된 법령, 계약이행과 관련된 법령이 체계적으로 정립되어 있지 못하고 있다. 그러므로 실제 건설현장에서는 장기계속공사계약과 관련하여 하자책임이나 계약의 이행과 관련하여 많은 문제점이 발생되고 있다. 이에 본 연구에서는 장기계속공사계약의 효율적인 운영을 위해 다음과 같은 개선방향을 제시하였다. 첫째, 하자담보책임은 법적책임이므로 시행령이 아닌 법에 명시하여야 한다. 둘째, 장기계속공사에서 차수별 계약당사자가 달라질 경우 시행령에서 특약을 정할 수 있도록 명시해야 한다. 셋째, 장기계속공사의 공기연장으로 인한 간접비가 발생될 경우 총사업비관리지침의 예비비항목을 활용할 수 있도록 해야 한다. 넷째, 공사계약일반조건의 경우 손해보험의 가입, 검사, 인수, 하자보수 및 하자검사와 관련된 조항을 보완해야 한다.

  • 한국의 공공인프라 프로젝트는 다년간 전 생애에 걸쳐 매년 재평가하고 예산을 재 할당하는 장기 지속 계약(LTC) 형식으로 진행된다. 그러나 이러한 계약은 기존 프로젝트에 필요한 예산이 새로운 프로젝트에 할당되기 때문에 다년간의 프로젝트에 일관된 예산의 흐름을 제공하지 않는다. 한국도로공사는 실제로 한국도로공사에 할당될 수 있는 금액을 예측하기 힘들기 때문에 여러 고속도로 건설 현장의 건설을 위한 정부 기금을 매년 요구해야 한다. 하지만 그것을 예측하여 원활하고 지속적으로 실행에 필요한 충분한 자금을 제공하는 것은 어렵다. 예산 분배에 대한 논리적인 접근의 부족은 자본의 왜곡된 분포를 갖는 결과를 가져왔다. 정부로부터 최적의 예산을 얻기 위해서 한국도로공사는 개별 공구에 필요한 연간 건설 자본을 합리화 하고 체계화한 접근방식을 필요로 한다. 또한, 충분한 자금이 특정 연도에 구비되는 경우, 소정의 공구에 필요한 최소한의 건설 자본을 평가하는 방법을 개발할 필요가 있다. 본 연구의 목표는 한국도로공사가 매년 개별 건설 현장에 필요한 최소한과 최적의 건설비용을 계산할 수 있는 방법을 고안하는 것이다. 최적의 연차별 공종별 계획공정율과 핵심작업의 유형 모두 많은 도로공사의 프로젝트들을 경험하고 현재 그 프로젝트들을 진행 중인 24명의 전문가(한국도로공사 직원, 시공전문가)들의 워크숍을 통해 산정되었다.

Using Neural Networks to Forecast Price in Competitive Power Markets

  • Under competitive power markets, various long-term and short-term contracts based on spot price are used by producers and consumers. So an accurate forecasting for spot price allow market participants to develop bidding strategies in order to maximize their benefit. Artificial Neural Network is a powerful method in forecasting problem. In this paper we used Radial Basis Function(RBF) network to forecast spot price. To learn ANN, in addition to price history, we used some other effective inputs such as load level, fuel price, generation and transmission facilities situation. Results indicate that this forecasting method is accurate and useful.
