사해행위에 의해 마쳐진 가등기를 이전하는 부기등기와 수익자의 지위 및 위법한 경정등기의 효력 -대법원 2015. 5. 21. 선고 2012다952 판결- (Beneficiary Status according to Registration by Fraudulent Act and Effects of Illegally Revision Registration)

  • 종래의 판례에 의하면 사해행위인 매매예약을 원인으로 가등기를 마친 수익자가 그 정을 모르는 제3자에게 가등기에 의한 권리를 양도한 후 가등기 이전의 부기등기를 마치게 해 주고, 그 제3자가 그 가등기에 기한 본등기를 마친 경우에 있어서 수익자는 가등기말소등기 청구소송의 상대방이 될 수 없다고 보았다. 그 결과 수익자의 원상회복의무의 면탈 행위를 용이하게 해 줄 수 우려가 항존하고 있었다. 이에 대해 대상판결이 종래의 견해를 변경하여 수익자에게 피고적격을 인정함으로써 수익자를 상대로 사해행위인 매매예약의 취소를 청구할 수 있다고 판시한 것은 매우 바람직한 것으로 생각된다. 또한, 대상판결이 등기 명의인의 동일성이 인정되지 않는 위법한 경정등기가 마쳐졌다 하더라도, 그것이 일단 마쳐져서 경정 후의 명의자의 권리관계를 표상하는 결과에 이르렀고 그 등기가 실체관계에도 부합하는 것이라면 그 등기는 유효하다는 입장에서 경전 전 등기명의인의 권리관계가 소급적으로 소멸하지 않는 것으로 보아 이 사건 매매예약에 관한 사해행위 취소권자인 원고에 대하여 여전히 수익자의 지위에 있어 이들에게 사해행위 취소소송의 피고 적격이 있다고 판시한 것 역시 의미가 있는 것이라 생각된다.

정부의 벤처기업 R&D 지원에서의 역선택 가능성에 관한 연구 : 정부 R&D 수혜기업과 비수혜기업 간 경영효율성 비교를 중심으로 (Adverse Selection in the Government R&D Support for Venture Business : Evidence from the Managerial Efficiency Comparison of the Recipient and Non-recipient of R&D Grants)

  • 최근 정부의 벤처기업 정책 지원은 창업 초기 중기의 벤처기업에 대한 R&D 지원에 초점을 두고 있다. 그러나 정보의 비대칭성 문제로 인한 역선택 가능성, 즉, 정부 R&D가 과연 성장 잠재력이 높은 창업 초기 중기 기업에게 지원되고 있는가에 대한 우려도 제기되고 있다. 특히 창업 중기는 죽음의 계곡으로 인해 벤처기업의 생존율이 크게 낮아지는 구간이기 때문에, 정책효과가 클 것으로 예상되는 우수 벤처기업을 선정하여 지원하는 것이 매우 중요하다. 이에 따라 본 연구는 2015년 벤처기업정밀실태조사 결과를 활용, 기술집약적 제조업 내 중기 벤처기업을 정부 R&D 지원 수혜기업(이하 수혜기업)과 비수혜 기업으로 나누고, 이들의 경영효율성 및 기술 재무성과를 비교하였다. 분석결과, 기술집약적 제조업 내 수혜기업은 비수혜 기업에 비해 경영효율성이 낮았으며, 이러한 경향은 중고위기술 제조업에서 더욱 크게 나타났다. 한편, 기술 및 재무성과 분석 결과, 수혜기업은 기술성은 우수하였으나, 성장성, 수익성, 안정성은 열위에 있음을 확인하였다. 특히 이러한 경향은 중고위기술 제조업 내 세부산업 전반에서 발견되었다. 이는 벤처기업에 대한 정부 R&D 지원 시, 역선택 문제가 우려됨을 시사한다. 따라서 향후 정부는 수혜기업 선정 시 경영효율성 및 재무성과를 중요 평가 기준으로 고려해야할 것이다. 또한 기술성이 뛰어난 기업의 경영효율성 및 재무성과를 제고하기 위한 정책과 함께, 경영효율성이 뛰어난 벤처기업을 정부 R&D 지원에 유인하기 위한 방법도 마련해야할 것이다.

청구보증상 지급메커니즘에 따른 실무상 유의점 (A Study on the Payment Mechanism of Independent Guarantee -focusing on matters that the relevant parties involved should know-)

  • Independent guarantee is a creation of the need from the both sides, i.e. the applicant (principal debtor) and the beneficiary (creditor). The former used to have to deposit cash in favor of the beneficiary in case of his default, which laid a burden on his liquidity while the latter still wanted to have the equivalent to cash. Independent guarantee satisfied the both parties by freeing the applicant of a deposit and maintaining the beneficiary's right at the same time. The fact that independent guarantee has three payment mechanisms is not widely known to the public. They are (i) payment on first demand, (ii) payment upon submission of third-party documents, (iii) payment upon submission of an arbitral or court decision. From the applicant's point of view, the order in his favor is (iii), followed by (ii) and (i). As there shouldn't be a case where one party is at a disadvantage against the other, useful insight is being sought for the benefit of the applicant. First, the applicant can offer his intention to provide a payment mechanism (ii) or (iii) rather than (i) if he must deliver it. Second, if the beneficiary still wants to have (i) and the applicant is in a position not to reject it, the latter should thoroughly check any provisions that may work against him later. Third, the applicant could use counterbalancing provisions in underlying contract to cope with protective clauses in the guarantees. Forth, the applicant should review the beneficiary's sincerity to prevent unfair calling risks. The applicant may use an ECA(Export Credit Agency) in his country to which he can transfer not only unfair calling risks, but also political risks. On the other hand, a bank needs to keep the following advice in mind. The foremost important thing for the bank not to forget is that it provides a guarantee as a service provider, not as a responsible party for the feasibility of the project, etc. Credit risk of the applicant should require the greatest attention when issuing a guarantee: the bank should look into the possibility that it can procure immediate reimbursement from its customers after payment to the beneficiary. Second, the applicant's ability to complete the project should be reviewed by checking its track records, techniques and reputation, etc. Third, the bank may also use an ECA to cover the beneficiary's unfair calling risks as well as political risks. In the case of Korea, as Korea Export Insurance Corporation(KEIC) can cover all the risks mentioned above, the bank could use its service called 'Export Bond Insurance.' What's better for the bank is that ECA cover can enhance the bank's asset quality by putting it zero on its risk weighted asset.

신용장거래에서 개설은행과 매입은행의 주의의무와 준거법 -대법원 2011. 1. 27. 선고 2009다10249 판결의 평석을 중심으로- (A study on the duties of an issuing bank and a negotiating bank and proper law issues with the documentary credit)

  • Even though there are some discrepancies in detail with the legal characteristic of the issuing bank's notice to the beneficiary of opening of the letter of credit, article 25 of "the Korean Private International Act(hereunder, 'KPIA')" can be applied to the legal relation between the issuing bank and the beneficiary or the negotiating bank. According to article 26 of the KPIA, if there is no agreement between the issuing bank and its opponent party as to the governing law issues, a state's law which has the closest relationship with the subject case may be applied. In the latter case, given the facts that the issuing bank plays important roles in every phasis of the sale of goods by the letter of credit, a law of place where the issuing bank's business premises is situated(the $lex$ $situs$) can be the applicable law. Meanwhile, "the Korean Supreme Court(hereunder 'KSC')" held that the beneficiary or the negotiating bank can claim any damages arising due to the refusal or deferred payment of the issuing bank, and the law which governs the above mentioned situation is the same law that is applicable to the legal relation between the issuing bank and the beneficiary or the negotiating bank. The main reason of the KSC's ruling is that the nature of the legitimate interest rate which is stated in article 3 of "the Act on Special Cases concerning Expedition etc. of Legal Proceeding(hereunder 'ASCELP')" is substantial matters, not procedural. Taking into account, however, that the main object of ASCELP lies in expedition of legal proceeding, prompt realization of people's rights and duties, and prevention of delayed legal proceeding, it is recommendable that ASCELP, instead of the law applicable to the legal relation between the issuing bank and the beneficiary or the negotiating bank, should be applied to the cases in which the malicious debtor's only and main purpose is delaying the legal proceedings. On the other hand, even if the issuing bank's duty of examination of the documents which were tendered by the beneficiary or the negotiating bank is restricted to the formality and strict conformity of the documents and not the substantiality of the documents, the issuing bank still has to examine the documents with due diligence that is required to the banks whose main business is sales of documents, not the real goods. In this regard, under the circumstances where the document lacked the regularity and/or the formality on its face because of the forgery of the document and where it was expected that an ordinary banker might have easily found any faults with the document, the issuing bank must compensate any parties for damages when it pays money without due diligence as a banker who engaged in the sales of documents.

보육정책 이슈에 대한 수익자 집단의 인식과 복지정치 (Convergence and divergence of beneficiary groups'policy priorities in the child-care politics)

  • 이 연구는 보육정책 수익자 집단의 정책 선호와 관련하여 두 가지의 연구 과제를 제기하고 복지정치와 관련하여 논의한다. 이미 제도화되어있는 보육서비스를 기반으로 형성된 수익자 집단은 보육정책의 여러 이슈에 대해 각각 상이한 이해관계를 가질 수 있고 이는 이익집단 정치를 초래한다. 본 연구는 이러한 맥락에서 보육정책 이슈의 중요성 정도에 대한 수익자 집단의 상이한 인식을 살펴보았다. 한편, 수익자 집단이 가지는 선호, 혹은 인식은 담론에 의해 변형되거나 여과될 수 있기 때문에 담론정치는 복지정치의 또 다른 차원에서 고려될 수 있다. 이 연구는 보육정책 이슈들 사이의 우선순위에 대한 수익자 집단의 인식이 2010년 지방선거 이후 등장한 무상보육 담론의 영향을 받아 어떻게 수렴되었는지를 살펴봄으로서, 복지정치의 또 다른 차원인 담론정치의 양상을 분석해보았다. 이 연구의 두 가지 연구 과제를 탐구하기 위해서는 보육정책의 이슈가 체계적-포괄적으로 분류되어야 하고, 이에 대한 이해관계자들의 인식이 일관성 있게 계량화되어야 한다. 본 연구는 보육정책의 이슈를 4개의 상위계층과 11개의 하위계층으로 체계화하고, 계층화분석과정 기법을 이용하여 부모, 보육시설장, 보육교사와 같은 보육정책 수익자 집단의 인식을 중요성의 정도와 순위로 계량화하였다.

신용장거래에서 사기 및 서류위조에 따른 지급이행과 지급거절에 관한 고찰 (Honour and Dishonour Relating to the Fraud and Forgery in Letter of Credit Transactions)

  • Traditionally courts have been adopted over the years two standards of dealing with compliance of documents such as strict compliance and substantial compliance and the substantial compliance, which was somewhat less demanding than the strict compliance. However the new guidelines of ICC's international standard banking practice for the examination of documents under documentary credits set up how the UCP is to be applied in practice. The payment obligations of an issuing bank to a beneficiary are independence of the performance or the nonperformance of any contract underlying the letter of credit. However, strictly applying the principle of independence and abstraction could produce unfair results by operating unjustly enrich an unscrupulous beneficiary in case of fraud. Accordingly, when a beneficiary presents complying documents, the issuing bank is bound to honour the presentation unless the fraud rule applies on the facts of the case such as forged or material fraud. If it does, the issuing bank(issuer) needs not pay despite the complying presentation of documents by the beneficiary under the Uniform Commercial Code Article 5-109 and case law in America. However the fraud rule was not addressed in UCP 600. In conclusion, view in terms of legal principle and the court cases is variable and difficult to honour or dishonour the presentation in case of application of the independence principle and fraud rule such as the problems on burden of proof timely, possibility of granting injunction in order to protect against victim for bona fide applicant.

의사결정나무를 활용한 방산육성지원 수혜기업 결정요인 분석 (An Analysis of the Determinants of Government-Funded Defense Companies using a Decision Tree)

  • This study attempted to analyze the factors that influence the participation of beneficiary companies in the government's defense industry promotion support project. To this end, experimental data were analyzed by constructing a prediction model consisting of highly important variables in beneficiary company decisions among various company information using the decision tree model, one of the data mining techniques. In addition, various rules were derived to determine the beneficiary companies of the government's support project using the analysis results expressed as decision trees. Three policy measures were presented based on the important rules that repeatedly appear in different predictive models to increase the effect of the government's industrial development. Using the analysis methods presented in this study and the determinants of the beneficiary companies of the government support project will help create a sustainable future defense industry growth environment.

청구보증상 지급청구와 지급- URDG758을 중심으로 - (Demands and Payments under Demand Guarantees - Focused on the URDG 758)

  • This article examines two important issues of the demand for payment by the beneficiary and the payment by the guarantor to the beneficiary under the revised Uniform Rules for Demand Guarantee (URDG) published by ICC, which are called URDG 758 and effected on July 1, 2010. Here, after first briefly defining the concept and nature of the demand for payment, this article discusses various issues surrounding the demand: By whom, where and how the demand has to be made; which documents are required in demanding the payment; how much amount can be demanded and paid; when and where the payment has to be made and which currency has to be used for the payment. The demand for payment has to be made by the beneficiary to the guarantor on or before expiry of the guarantee at the place of issuance of the guarantee unless any other place is specified in the guarantee. The demand has to be made in paper form unless the guarantee requires an electronic form. Unless otherwise expressly stipulated in the guarantee, the demand must be supported by a statement by the beneficiary indicating the applicant is in breach of the underlying contract. Also the demand must identify the guarantee under which it is made, and the time for examination by the guarantor starts on the date of identification. The demand cannot be for more than the amount available under the guarantee. When the demand is complying the guarantor must pay the amount demanded. The payment has to be made at the branch or office of the guarantor that issued the guarantee unless any other place is indicated in the guarantee. The payment has to be made in the currency specified in the guarantee, unless the guarantor is unable to make payment in that currency due to an impediment beyond its control or any illegality under the law of the place for payment. In case of "extend or pay" or "pay or extend" demands, the demand is deemed to be withdrawn if the extension is granted. But if not, the demand has to be paid without any further demand by the beneficiary.

노인장기요양보험 등급인정자의 복지용구 이용효과 (The effects of assistive products in Korean long-term care insurance system for the beneficiary older adults)

  • Objectives : The purpose of this study is to evaluate the effects of assistive products usage on activity of daily living for the beneficiary older adults people in Korean long-term care insurance system. The study subjects were divided to assistive products users and non-users among the beneficiary older adults based on Korean long-term care insurance system to compare function improvement of the activity of daily living. Methods : In national wide 12 community elderly care center enrolled the National Health Insurance Corporation, The numbers of 281 beneficiary older adults(long-term care Grade I: 66, Grade II: 58, Grade III: 157) participated in this study. This survey assessment tool for activity of daily living was used the long-term care assessment instrument of the physical functions in the law of Korean long-term care insurance. The function items of Activity of daily living were included in clothing, washing, tooth brushing, bathing, eating, posture converting, stand sitting, move sitting, out of room, using toilet, controlling of stool, controlling of urine, washing hair. According to independence to complete dependence functioning level, remarks pointed 1 to 3 points. The data were analyzed by chi-square, two-way anova using SPSS V. 12.0. Results : The results appeared that the mean score of the functions in activity of daily living of assistive products users was a 27.60, and that of non-users was a 30.66. Assistive products were not effected in Grade I and II recipients, but that effected in Grade III recipients. Conclusion : Preparing for activation of assistive products based Korean long-term care insurance system, the result application as follows is possible. The usage of assistive products could improve the function of daily living activity in older adults. Related to Grade III beneficiary elderly people were improved function in activity of daily living by using assistive products, it is necessary to extend coverage the non-eligible elderly people in Korean long-term care insurance system.

신용장통일규칙(UCP600)상 양도에 관한 연구 - 보증신용장통일규칙(ISP98)과의 비교를 중심으로 - (A Study on the Transfer of Letter of Credit in the UCP600 - Focusing on Comparing with Transfer of drawing rights in the ISP98 -)

  • This study primarily concerns the transfer of letter of credit. A transferable credit is a credit that clearly specifies it is 'transferable' and may be made available in whole or in part to second beneficiary by the request of the first beneficiary. the transfer of the credit is available where the seller as a middleman in intermediate trades purchases from domestic and international supplier. The purpose of this study is to examine the transfer of letter of credit in the UCP600. Having recognized the differences, the study analyzes the transfer of letter of credit under the UCP600 in comparison to those under the ISP98. The ISP98, like the UCP600, stipulates for the requirement of transfer, the number of transfer, conditions of transfer, the replacement of the name of first beneficiary.
