The Influence of M&A Experience and Alliance Experience on Cross-border M&A Performance (인수합병과 제휴 경험이 글로벌 인수합병 성과에 미치는 영향)

  • This study examines the effects of the acquirer's experience on cross-border mergers and acquisitions(CB M&A) performance. We posit that various types of experience on M&A, including heterogeneity of experience, strategic alliance experience, first CB M&A, domestic and CB M&A experience may have an influence on the performance of CB M&A. The hypotheses are tested with multiple regression on global M&As made by Korean firms over the period of more than fifteen years. The empirical results indicate that firms with domestic M&A experience and the ones with CB M&A experience improve firm performance. Specifically, CB M&A experience more strongly and positively affects CB M&A performance. It also reveals that M&A experience and first CB M&A positively affect CB M&A performance. However, heterogeneity of experience negatively affects CB M&A performance and it has found no significant relationship between strategic alliance and firm performance. In addition, data show that the better explanation is an overall U-shaped relationship than a linear one between CB M&A experience and Performance. Overall, this study contributes to the literature on CB M&A by examining the effect of various types of experience such as heterogeneity of experience and alliance experience and offering a different explanation based on experience, more specifically, addressing the negative relationship between heterogeneity of experience and M&A performance.

  • 신재생에너지 산업의 인수합병은 2010년, 전년 대비 70%가 증가하였고 이런 추이는 2011년에도 계속되고 있어 신재생에너지 인수합병 효과에 대한 심도 있는 분석과 이를 바탕으로 한 적절한 정책과 전략이 요구되고 있다. 본 연구에서는 인수합병 유형이 신재생에너지 기업의 가치에 미치는 영향을 주가를 이용하여 한 사건이 기업의 가치에 미치는 영향을 평가하는 통계학적 방법인 사건연구(event study) 방법을 통해 분석하였다. 인수합병 유형의 구분은 (1) 같은 신재생에너지원 산업 내 인수합병(수직형 기업결합), (2) 다른 신재생에너지원 산업의 기업 간 인수합병(수평형 기업결합), (3) 대형에너지 기업과 신재생에너지 기업 간 인수합병(수평형 기업결합), (4) 관련이 없는 이종 기업 간 이루어지는 인수합병(혼합형 기업결합) 총 네 유형으로 구분하였다. 분석결과 수평형 기업결합 ( horizontal merger)은 두 경우 모두 인수합병의 효과가 통계적으로 유의하지 않은 것으로 파악되었으며 혼합형 기업결합(conglomerate merger)과 수직형 기업결합(vertical merger)이 유의한 효과가 있는 것으로 나타났다. 특히 에너지산업 외부의 기업이 신재생에너지 기업을 인수하였을 때 그 효과가 가장 큰 것으로 나타났는데 이는 변동성이 매우 큰 신재생에너지 산업에 특성이 반영된 결과인 것으로 판단된다.

  • Cross-border M&A brings positive benefits to corporations and social economic development which can not been given by any investment ways, having greatly reduced the investment risks and costs to enter the host country market, resulting in the rapid development of the Cross-border M&A in china. This study examines the factors affecting firm performance of Cross-border merger and acquisition on Chinese manufacturing industry. This study chooses a sample of 31 Cross-border M&A in the manufacturing industry in China and the relevant data were collected during the period 2001 to 2007. The data were analyzed using a multiple regression analysis to identify the factors that affect Firm performance. It is found that the Firm performance is significantly affected by the oversea investment experience, cultural distance between countries, cost in M&A transaction and the number of transaction shares.

An Empirical Analysis of Post-Merger Risk Following the M&As of IT Firms (IT 기업의 인수합병 이후 수익율 변동성에 대한 실증 분석)

  • Although economic growth has been retarded since the global economic crisis over recent decades, a large number of firms consider mergers and acquisitions (M and A) as a strategy to survive in a highly competitive market. In particular, an increasing number of firms pursue M and A with IT firms in recent years. In this study, we analyze the post-merger risks measured as ROA volatility for acquiring firms when they seek to acquire an IT firm. Our analysis suggests that a firm with prior experience in M and A acquires IT firms aggressively. Moreover, a substantial number of IT firms are relatively small and unlisted when they are acquired. We also show that an acquiring firm's post-merger risk (i.e., ROA volatility) increases after its acquisition of IT firms. However, an increase in post-merger risk is alleviated when relatedness exists between an acquiring firm and target.

  • This study empirically examined the effect of ownership on cross-border acquisition performance. This study analyzed 284 international acquisitions undertaken by Korean public companies between 1986 and 2008. This study showed that the ownership had a negative impact on cross-border acquisition performance. Furthermore, this study found that the interaction between the ownership and cultural distance had a negative impact on cross-border acquisition performance. This study also showed support that the interaction between the ownership and acquisition relatedness had a negative impact on cross-border acquisition performance. This study improved the understanding of roles of the ownership and complemented previous research on the relationship among cultural distance, acquisition relatedness, and cross-border acquisition performance.

  • 최근 국내에서는 은행산업의 구조조정과 부실은행의 정리과정에서 은행합병이 실시되었다. 1998년 6월 5개 은행이 퇴출되었고 이들 은행의 우량자산과 부채는 계약이전 방식에 의하여 우량은행들에게 인수되었다. 이어 1999년 1월부터 상업은행과 한일은행이 한빛은행으로, 하나은행과 보람은행이 하나은행으로 그리고 국민은행과 한국장기신용은행이 국민은행으로 합병되었다. 1999년 9월에는 조흥은행, 강원은행 및 충북은행이 합병을 실시하였다. 본 연구에서는 최근 실시된 국내 은행간 합병의 효과를 살펴보기 위하여 합병시점을 전후하여 위험성과 수익성 및 비용효율성을 비교 분석하였다. 합병은행과 자산부채이전(P&A) 방식의 인수은행으로 표본은행을 구분하고 합병효과를 분석하였는데 합병은행의 경우 합병후 수익성이 대체로 증가하나 위험도 증가하는 것으로 나타났다. 자산부채이전방식의 경우 합병후 위험이 증가하였으며 수익성은 대체로 악화되는 것으로 나타났다. 비용효율성 분석에 있어서 합병은행의 경우 합병전 기간에 비용감소를 보였으나 합병후에는 뚜렷한 비용감소가 없었는데 자산 부채이전 방식의 인수은행은 합병후 비용감소를 보였다.

Learning through Partnerships: Acquirer Firm's Experiences, Deal Partner's Characteristics and the Failure of Cross Border M&A (파트너십을 통합 학습: 인수기업의 경험, 거래 참여 파트너 기업의 특성 그리고 국경 간 M&A 실패)

  • This study investigates the effects of M&A experience of Chinese firms and characteristics of deal partners in cross border M&A deal failures. 1,610 firms that participated in 1,558 cross border M&As from 2000 to November 2015 are used as samples. The dependent variable is the M&A transaction failures, which were cases of deal pending or withdrawal of Chinese firms. Major independent variables are the nationality diversity of transaction partner firm, the partner firm belonging to a developed country, domestic M&A experience of the Chinese firms, M&A experience in a particular target country, etc. After conducting a probit model analysis, we find that deal partner firm's nationality diversity increases the failure rate of M&A. While prior domestic M&A experience in China has no influence on deal failure, prior M&A experience of Chinese and focal firms in a particular country have a negative effect on the probability of deal failure. This study has academic implication on figuring out why firms are likely to fail in the process of strategic activities based on the inter-organizational learning through partnerships perspective.

Ex Ante Expectations & Ex Post Operating Performances of Mergers and Acquisitions of the Korean and U.S. Construction Industry (국내외 건설부문 기업결합성과 분석)

  • The success of mergers and acquisitions(M&A) have been evaluated by either measuring ex ante expectations for the specified time period(Window) or assessing long term-based post operating performance (ex post operating performance). In this study, utilizing cumulative abnormal return(CAR) method, M&As which are observed in both domestic and U.S. construction industries were analyzed then research outcomes are compared. Analysis results indicate that stockholders of public construction companies did not realize significant economic gains from M&As. In other words, there was no synergistic gains from the construction M&As. Also, no significant performance difference was observed between related and unrelated diversifications.

  • A number of companies are considering for merger and acquisition (M&A) as one of business strategies for their growth and survival. However, many of them do not create the synergy they had sought, and failed M&A, often result in negative outcomes in terms of productivity, market share, profitability and turnover of qualified employees. There have been numerous research studies conducted to analyze the factors that determine the success and failure of M&A, and it has been found that with the increasing dependence of many companies on information systems, post-M&A IS (information systems) integration success has a critical effect on the success of M&A. However, there have been very few studies on post-M&A IS integration success, and most have been restricted to integration of IS organizations or physical information systems. In order to conduct a comprehensive research on the factors that affect the success of post-M&A IS integration, this study surveyed preceding researches on not only information systems but also strategic management, economics, finance, HRM (human resource management) and organization management. Based on the findings, a comprehensive and integrated model of the influential factors on post-M&A IS integration has been proposed. The proposed model categorizes the factors into perspectives of M&A, strategy, organization, HRM and IS, and provides an empirical evaluation of each factor on the success of IS integration based on comparative case studies.

  • The information technologies industry is now experiencing a rebirth of strong stable growth. However, very few studies have examined performance implications of strategic alliance or merger and acquisition from a knowledge-based view. Furthermore, none of these studies have investigated resource complementarities and alliance or merger and acquisition motive as potential sources of firm performance. This paper extends upon current knowledge-based literature to discover and explore linkages between resource complementarities and firm performance of strategic alliances or merger acquisitions. This study finds that strategic alliance and merger and acquisition announcements have provided abnormal positive returns of production alliances and merger and acquisition. This study can be used as a stepping stone for selection of strategic alliance or merger and acquisition.
