국제상사조정 및 중재제도 개선에 관한 UNCITRAL 논의동향 (Discussion by UNCITRAL for Development of International Commercial Conciliation and Arbitration Systems)

  • At its thirty-second session in 1999, the UNCITRAL had before it the requested note entitled "Possible future work in the area of international commercial arbitration." After concluding the discussion on its future work in the area of international commercial arbitration, it was agreed that the priority items for the working group should be conciliation, requirement of written form for the arbitration and enforceability of interim measures of protection. the Commission entrusted the work to the Working Group on Arbitration which held its thirty-second session at Vienna from 20 to 31 March 2000. The Working Group discussed agenda item 3 on the basis of the report of Secretary General entitled "Possible uniform rules on certain issues concerning settlement of commercial disputes : conciliation, interim measures of protection, written form for arbitration agreement." At its thirty-three session in 2000, the UNCITRAL had before it the report of Secretary General on agenda item 3 discussed by the Working Group. The Working Group discussed the issues relating to certain aspects of conciliation proceedings ; (1) Admissibility of certain evidence in subsequent judicial or arbitral proceedings ; (2) Role of conciliatior in arbitration or court proceedings ; (3) Enforceability of settlement agreements reached in conciliation proceedings ; (4) Other possible items for harmonized treatment : a) Admissibility or desirability of conciliation by arbitrators b) Effect of an agreement to conciliate on judicial or arbitral proceedings c) Effect of conciliation on the running of limitation period d) Communication between the conciliator and parties ; disclosure of information e) Role of conciliator. It was generally considered that decisions as to the form of the text to be prepared should be made at a later stage when the substance of prepared solutions would become clearer. However, it was noted that model legislative provisions seemed to be appropriate form for a number of matters proposed to be discussed in the area conciliation. There was general support in the Working Group for the proposition to perpare a legislative regime governing the enforcement of interim measures of protection ordered by arbitral tribunals. It was generally considered that legislative regime should apply to enforcement of interim measures issued in arbitration taking place in State where enforcement was sought as well as outside that State. It was generally observed that there was a need for provisions which conformed to current practice in international trade with regard to requirements of written form for arbitration agreement. The view was adopted by the Working Group that the objective of ensuring a uniform interpretation of the form requirement that responded to the needs of international trade could be achieved by : preparing a model legislative provision clarifying, for avoidance of doubt, the scope of article 7(2) of the UNCITRAL Model Law on International Commercial Arbitration : and adopting a declaration, resolution or statement addressing the interpretation of the New York Convention that would reflect a broad understanding of the form requirement. There was general agreement in the Working Group that, in order to promote the use of electronic commerce for international trade and leave the parties free to agree to the use of arbitration in the electronic commerce sphere, article II(2) of the New York Convention should be interpreted to cover the use of electronic means of communication as defined un article 2 of the Model Law on Electronic Commerce and that it required no amendment to do that. The UNCITRAL may wish to consider to the desirability of preparing uniform provisions on any of those issues concerning conciliation and arbitration proceedings, possibly indicating whether future work should be towards a legislative text or non-legislative text.

  • 경찰이 대처할 수 없는 수준까지 범죄가 증가함에 따라, 민간조사업 도입에 대한 논의는 계속해서 있어왔다. 그러나 민간 조사업 도입을 입법화 하려는 시도는 매번 법안이 발의될 때마다 실패했다. 이러한 이유는 기본적으로 민간조사업 도입에 대한 찬반의견이 어떤 가치를 우선시 하느냐에 따라 첨예하게 엇갈렸기 때문이었다. 그러나 이러한 의견충돌과 상관없이 민간조사업 도입의 필요성은 분명하게 되었다. 한국이 GATS 와 FTA 같은 서비스협정을 통해 자국의 서비스 시장을 개방함에 따라, 민간조사와 관련된 현행법 들이 GATS 와 한미 FTA와 같은 국제 조약을 위반하는 것으로 밝혀졌기 때문이다. 이 논문은 구체적 양허안을 중심으로 한 법적 분석을 통해 민간조사서비스를 규제하는 신용정보의 이용 및 보호에 관한 법률이 한미 FTA의 12.4(a)(i) 와 12.4(iii) 그리고 한-EU FTA 의 7.13 조항을 위반한다는 것을 밝혀냈다. 만약 한국이 현재 법안을 수정하지 않고, PI 에 관한 새로운 법안을 입안하지 않는 다면 이러한 불합치는 수천만 달러에 이르는 통상 분쟁으로 이어질 수 있다. 이러한 접에서 새로운 민간조사법안의 통과는 필수적이라고 할 수 있다.

선하증권과 중재합의의 효력 - 영ㆍ미의 판례를 중심으로 - (Bill of Lading and Effect of Commercial Arbitration Agreement -With Special Reference to English and American Decisions-)

  • Incorporation of an arbitration clause by reference to other documents occurs in many international business transactions. The reference is either to another document that contains arbitration clause or to trading rules which contain the arbitration clause, without the main contract mentioning that arbitration has been agreed upon. In fact, incorporation by reference in to a contract of an arbitration clause set forth in another agreement is deemed valid in any number of circumstances, even when the parties to the two contractual instruments are not the same. Difficulties arise when, instead of an express arbitration provision, a contract contains a clause which refers to the trading rules of a certain trade association, so-called external arbitration clause. The U.S. courts which will presume that the parties intended to arbitrate under a particular set of rules when they expressly mentioned arbitration in their agreement, have sometimes refused to enforce contract clauses that do no more than refer to particular trading rules, even if these rules contain provisions binding the parties to arbitrate their disputes. The courts in such cases tend to be careful in determinig whether intent to arbitrate is present. In maritime contracts, the arbitration clause in a charter party is often referred to in the bill of lading. Such reference usually is held binding upon the parties to the contract of carriage, their knowledge of such practice being presumed. A nonsignatory may compell arbitration against a party to an arbitration agreement when that party has entered into a separate contractual relationship with the nonsignatory which incorporates the existing arbitration clause. If a party's arbitration clause is expressly incorporated into a bill of lading, nonsignatories … who are linked to that bill … may be bound to the arbitration agreement of others. An arbitration clause in a charterparty will be incorporated into a bill of lading if either - (a) there are specific words of incorporation in the bill, and the arbitration clause is so worded as to make sense in the context of the bill, and the clause dose not conflict with the express terms of the bill; or (b) there are general words of incorporation in the bill, and the arbitration clause or some other provision in the charter makes it clear that the clause is to govern disputes under the bill as well as under the charter. In all other cases, the arbitration clause is not incorporated into the bill.

한국과 중국의 선박충돌법제의 비교법적 연구 (A Comparative Study of Ship Collision Legislation in Korea and China)

  • 한·중 무역거래가 날로 증가함에 따라 한·중 양국의 해상운송 규모가 빠르게 확대되고 있다. 하지만 이는 선박충돌문제를 초래하고 있으며, 특히 한·중 양국 선박이 밀집한 황해와 동해 수역에 집중되어 있다. 선박충돌 사고가 해상 교통안전과 해상 환경에 부정적인 영향을 미치는 동시에 선적국, 충돌발생지 등 섭외적 요인으로 인한 복잡한 법적 문제를 야기하고 있다. 한·중 양국의 국내법 규정이 서로 다르기 때문에 양국은 같은 문제에 대해 서로 다른 의견을 보이고 있다. 국제적으로도 일부 관련 선박충돌에 관한 국제조약들이 있으며 이러한 국제조약들은 모두 각국의 이익균형의 결과물이며 궁극적인 목적은 글로벌 선박충돌과 관련한 법률의 통일에 있다. 한중 양국은 선박충돌 방면에서 모두 국제조약을 참조하여 국내법을 국제조약에 접목하였으며 이는 동시에 해사국제법의 통일에도 적극적인 작용을 하였다. 침권책임법의 발전은 선박충돌의 침해에 대한 이론적 뒷받침을 제공하였다. 중국 해사법원이 발표한 보고서에 따르면 과학기술 수준의 제고에 따라 자연환경과 객관적 영향요인이 선박 충돌사고 위험을 크게 낮췄으나 해안에서 상선과 어선이 충돌하는 사고가 자주 발생하므로 이를 중시해야 한다. 국제조약과 중국국내의 입법에서는 선박충돌에 대한 세부적인 법적 규정을 두고 있지만 선박충돌침해이론에 대하여 여전히 이를 보완하고 발전해 나가야 한다. 본 글은 선박충돌 적용에 있어서 중국입법 및 사법사례의적용을 검토하는 동시에 한국의 법률규정을 참조하여 선박충돌문제에 대한 한중 양국의 법률규정에 대하여 비교하고자 한다.

  • As the international commercial transaction has drastically grown up with the mainland China, commercial disputes that are required to settle through ADR have tremendously increased during the last decade. Since China has not been fully exposed to the Free World for a long period of time, there would have been a great amount of misunderstanding about their competency and integrity to deal with internationally oriented commercial transactions with a view to internationally acceptable manner. This arbitration case was related to the contract in dispute of C&A Inc. as the importer v. China XX Importation Co. as the exporter for the sale of Silicon Metal. But after the contract were formed, exporter(respondent) declined to deliver the goods under the contracts because the market price of Silicon Metal increased according to the argument of the importer(claimant). Importer had to purchase alternative goods from other companies to substitute for the goods subject to the contracts in dispute. Importer purchased silicon metal of the same quality as under the contracts from two other Chinese companies as the necessary measure to mitigate the loss, paying prices higher than the contract price. Since exporter had breached the contracts, importer's loss should be compensated by the exporter as the Arbitration Tribunal decided for supporting importer's claim of loss for the substitute goods. This study is aiming at analyzing the rationale of the arbitral awards made by the Shanghai Commission in terms of (l)Place of Arbitration, (2)Applicable Law, (3)Validity of the Contracts, (4)Doctrine of Frustration, (5)Responsibility for the Mitigation of Damage by the Importer.

정기용선계약에서 갑판적재화물 손해에 대한 책임에 관한 연구 - Socol 3호 판결을 중심으로 - (A Study on the Liability for the loss of deck cargo under a time charter - Focused on the decision in the Socol 3 -)

  • It could be debated that the owners were indemnified from the charterers even in respect of the loss of deck cargo caused by the negligence on the part of the owners' servants by a clause 13(b) of NYPE(1993) form, where NYPE(1993) incorporated the Hague/Visby Rules by a paramount clause and did not contained an on deck statement to state or identify what or how much deck cargo was being carried, however the relevant bills of lading all had such statement. The socol 3 of U.K. is a very helpful decision on (1) an on deck statement in bill of lading was sufficient to exclude application of the Hague/Visby Rules to the carriage of deck cargo, as a result, the clause 13(b) should not be null and void by the clause 3(8) of the Hague/Visby Rules (3) the clause 13(b) could not protect the owners from the loss and/or liability caused by negligence and/or breach of the obligation of seaworthiness on the part of the owners, their servants and agents. Therefore, the purpose of this study is to critically analyze the decision in the socol 3, and provide the decision's practical implications in order to prevent legal disputes as to the on deck carriage between the owners and the charterters.

개정 국제사법(國際私法)의 소개 : 국제거래(國際去來)에 미치는 영향을 중심으로 (The New Conflict of Laws Act of the Republic of Korea)

  • The Law amending the Conflict of Laws Act of the Republic of Korea ("Korea"), which had taken two years to prepare, was promulgated on April 7, 2001 and finally took effect as of July 1, 2001. Accordingly, the old earlier Conflict of Laws Act which was called "Seoboesabeop" in Korean ("Prior Act"Old Act) was replaced by the new Conflict of Laws Act called "Gukjesabeop" in Korean ("New Act"). In fact the Old Act Prior Act was promulgated in 1962, but it was regarded as outdated from the moment of its promulgation. However, since the Old Act because it was modeled after the chapter of the Private International Law of the Einfuehrungsgesetz zum Buergerlichen Gesetzbuch (EGBGB) of the Federal Republic of Germany ("German PIL") and the Japanese Private International Law ("Japanese PIL") which had been promulgated toward the end of the 19th century., the Old Act was viewed as outdated from the moment of its promulgation. As a result of the drastic change of the environment for international trade of which that has taken took place in parallel with the global information technology revolution on a global basis, the scope of issues to be addressed which should be resolved by the conflict of laws principles has been remarkably expanded, and various new issues of an entirely which are quite new in its type and nature have arisen been raised. In the field of conflict of laws in its narrow sense, a revolution or crisis of the traditional conflict of laws has been brought about by the advent in the United States rise of a the new methodology for of the conflict of laws, of the United States of America and in the process of overcoming the such crisis the conflict of laws of the European continent has undergone substantial changes such as the diversification of the connecting principles, the expansion of the principle of party autonomy and the consideration of the value of the substantive law to protect socio-economically weaker parties of. The Prior Act, which was based on However, with the mechanical connecting principles and contained various outdated the inappropriate provisions, the Old Act could not cope with the issues raised by the internationalization and globalization of the Korean society. Furthermore In addition, the Old Act Prior Act was regarded as insufficient in that it lacked rules on international jurisdiction to adjudicate, or international adjudicatory jurisdiction, whereas the expectation of the public was that the Conflict of Laws a Act should function as the "Basic Law of the International Legal Relationships"encompassing rules on international jurisdiction given the increase of international disputes. Furthermore the private international law has also attracted more attention from the Korean At the beginning of the new Millennium, thanks to the promulgation of the New Act, I believe that Korea has succeeded in achieving the modest goal of reflecting in the its codification substantial parts of the major developments of the private international law which the leading advanced continental European countries had achieved during the last century. The New Act has followed the approach of the traditional conflict of laws of the European continent. It is a product of the efforts to eliminate the then existing problems of the Prior Old Act and to adapt the Korean private international law regime to the standard of international conventions and national laws of advanced countries. Unlike the Prior Old Act which was heavily dependent upon the prior Japanese PIL and the prior German PIL, the New Act has been prepared by taking into full account the Rome Convention, the Swiss PIL, the new German PIL which took effect in 1986 and various conventions adopted by the Hague Conference. Therefore, the New Act has substantially reduced dependence upon the Japanese PIL and the German PIL, and has gained relatively greater universal validity. The fact that the New Act expressly declares that the determination of international jurisdiction is a matter of conflict of laws is a clear sign that it has departed from the German tradition which confines the conflict of laws principles to choice of laws rules, and moved toward a broader and more practical approach widely accepted in the area of conflict of laws. It is hoped, and I am personally confident, that the New Act will be able to achieve its intended objectives in the 21st century as the basic law for the ever-increasing legal relationships with a foreign element.

외국인투자기업의 국제이전가격 결정에 영향을 미치는 환경 및 기업요인 (Factors Affecting International Transfer Pricing of Multinational Enterprises in Korea)

  • 기업환경의 국제화 및 세계화에 따라 국내에 진출하는 다국적기업의 수는 증가할 것으로 보이는데, 그들을 효율적으로 관리할 수 있는 적절한 수단은 별로 연구되고 있지 않은 것 같다. 다국적기업의 국제이전가격은 정교하게 설정되어 조세부담을 회피할 수 있기 때문에, 이를 관리하기 위해서는 다국적기업의 행태를 이해할 필요가 있다. 본 연구는 우리나라에 진출한 외국인 기업의 특성 및 환경적 요인이 국제이전가격의 설정방식에 미치는 영향을 확인하고자 하는데 그 목표를 두고 있다. 2004년 현재 우리나라에 미화 100만불 이상의 직접투자를 수행하고 있는 외국인 투자기업 861개 기업을 대상으로 설문조사를 시행한 결과 121개 기업이 응답하여 이를 본 연구의 분석자료로 사용하였다. 종속변수로는 국제이전가격설정방법이 시장기준 혹은 원가기준에 의거하였는지의 여부를 묻는 2원적변수를 채택하였다. 시장기준방법의 경우 객관성이 높아 세무당국이 선호하는 방법임에 비해 원가기준은 경영자의 주관적인 판단이 개입될 소지가 많아 객관성이 떨어진다는 점에서 구분되기 때문이다. 독립변수로는 법인세, 관세, 세무당국과의 관계, 세무조사가능성, 현지투자자의 지분율, 내부거래비중, 매출액 및 제품수명주기가 채택되었고, 통제변수로는 중소기업여부 및 투자자의 국적이 더미변수의 형태로 포함되었다. 분석 결과를 살펴보면 세무변수로는 법인세와 관세가 유의하게 나타났는데, 그 중요도가 높을수록 경영자에게 재량권이 있는 원가기준이전가격방식을 선호하는 것으로 나타났다. 또 세무당국과의 관계를 중요하게 평가할수록 시장기준이전가격방식을 선호하는 것으로 나타났는데, 현지 정부는 객관성이 높은 시장기준을 가장 선호하기 때문에 기업의 입장에서 이 점을 고려한 것이라 생각할 수 있다. 제품 수명주기의 성숙도가 높을수록 원가기준을 선호하는 것으로 나타났는데, 이는 제품의 성숙도가 높을수록 경쟁 때문에 현지자회사가 시장을 확보하는데 어려움을 느끼게 되므로 이를 지원하는 수단으로 원가기준을 선호하는 것으로 보인다.

다수당사자중재에 있어서 중재인 선정방법 (The Method of appointing arbitrators m Multi-Party Arbitration)

  • When several parties are involved in a dispute, it is usually considered desirable that the issues should be dealt with in the same proceedings, rather than in a series of separate proceedings. This saves time and money. It avoids the possibility of conflicting decisions on the same issues of law and fact, since all issues are determined by the same tribunal at the same time. Where there is a multi-party arbitration, it may be because there are several parties to one contract, or it may be because there are several contracts with different parties that have a bearing on the matters in dispute. In international trade and commerce, for individuals, corporations or state agencies to join together in a joint venture or consortium or in some other legal relationship of this kind, in order to enter into a contract with another party or parties, where such a contract contains an arbitration clause and a dispute arises, the members of the consortium or joint venture may decided that they would each like to appoint an arbitrator. A different problem arises where there are several contracts with different parties, each of which has a bearing on the issues in dispute. A major international construction project is likely to involve not only the employer and the main contractor, but also a host of special suppliers and sub-contractors. Each of them will be operating under different contracts often with different choice of law and arbitration clauses. The appointment of the arbitrator or the composition of the arbitral tribunal should be in accordance with the agreement of the parties. The parties have to be equally treated in the constituting of the arbitral tribunal and the arbitral proceedings. However, the right of the parties to nominate a member of the arbitral tribunal could be taken away from them, if they are subject to the restrictions by means of the law of the country where the arbitration is taking place. That is, multiple parties jointly should nominate one arbitrator, where there they have to exercise their substantive right in common, or one of them exert his substantive right, then it has an effect on another parties, or they, whether as claimant or as respondent, get the same or similar treatment in the arbitral procedure. Therefore it is necessary to intend to settle multi-party disputes quickly and efficiently.

해적행위의 범죄구성요건에 대한 비판적 고찰과 입법 방향 (A Critical Review and Legislative Direction for Criminal Constitution of Piracy)

  • 국제적 협력에도 불구하고 전 세계 주요해역에서는 여전히 해적행위가 근절되고 있지 않다. 수 출입에 절대적으로 의존하고 있는 우리나라의 입장에서는 안전한 해상교통로 확보는 우리의 생명줄이므로 해상 안전 및 보안에 대하여 사활을 걸어야 할 상황이다. 그렇지만 해적행위의 처벌에 관한 형법은 여전히 미비한 측면이 있어 입법적 고려가 필요하다. 해적을 인류 공동의 적으로 간주하고 있으므로 모든 국가는 자국의 피해여부와 관계없이 해적을 처벌할 수 있다. 국제사회는 이러한 보편적 관할권을 통하여 해상무역과 군사활동의 필수적인 공간인 공해(公害)상에서 해상교통로 안전을 확보하기 위하여 수백 년 전부터 국제적 공조에 박차를 가하고 있으며, 특히 아덴만 해역에서는 소말리아 해적을 단속하기 위하여 선진 각국에서 함대를 파견하여 합동작전으로 해상안보위협에 대처하고 있다. 국제관습법과 UN해양법협약에 따라 해적행위에 대하여 보편적 관할권이 허용되더라도 이를 위한 국내법적 제도가 미완비되어 있거나 국제법규와 상이한 내용으로 규정되어 있을 경우 해적행위에 대하여 효과적으로 대처하기 힘들다. 즉 죄형법정주의에 따라 국제규범에 상응하는 보편적 관할권과 해적죄의 구성요건이 형법에 규정될 필요가 있다. 이러한 작업의 선행 없이 무리하게 우리 형법을 확대 적용하여 해적을 처벌할 경우 세계인권규약이나 기타 국제규범을 위반하여 외교적 분쟁을 초래할 수 있다. 우리나라의 경우 해적을 범죄로 명시적으로 규정하여 처벌하는 규정이 없으며, 다만 형법 및 선박위해처벌법 등에서 해적행위와 유사한 행위를 처벌하고 있다. 그렇지만 국제적으로 통용되고 있는 해적행위를 충분히 포섭하고 있지 않아 실효성 있는 해적처벌에 한계가 있다. 이 논문에서는 해적죄의 구성요건에 대한 여러 제안을 비판적으로 고찰한 후 그 입법방향을 제시하고 있다.
