본 논문은 1997년 말 우리나라의 외환위기이후 IMF에 의해 주도된 경제개혁방안 중 기업지배구조 개선과 관련하여 최근에 취해진 정부의 기업지배구조 개선을 위한 제반 정책을 평가하고 향후 바람직한 우리나라 기업의 지배구조 개선방안을 제시하는 것을 목적으로 한다. 외환위기 이전의 우리나라 기업지배구조는 여러 가지 척도로 평가했을 때 전반적으로 비효율적이었으며 특히 소액주주의 보호라는 측면에서는 전 세계적으로 최하위의 평가를 받았다. 따라서 최근에 취해진 제반 지배구조 개선 조치는 주로 소액주주의 권리를 강화하는데 초점을 맞추면서 선진국에서 시행하는 제반 제도를 집중적으로 도입한 것이었다. 그러나 기업지배구조 개선의 궁극적인 목적이 기업의 장기적인 경쟁력제고라고 할 때 최근의 조치는 경영자로 하여금 단기업적주의에 치중하고 우리 경제 발전의 원동력이 된 기업가정신을 저해할 가능성을 상당히 포함하고 있으므로 앞으로는 지식근로자들의 이해관계를 조정하고, 은행의 지배구조를 개선하여 은행의 감시기능을 제고하며 시장의 기능을 활성화하는 방향으로 정책이 전개되어야 할 것이다.

In order to analyze the effect of strengthening the disclosure of remuneration for high-paid workers among the measures to improve the governance structure of financial companies by the Financial Services Commission in 2018, this study demonstrated the compensation system, management performance, and improvement of governance for Korean financial companies from 2015 to 2020. Analysis was performed. As a result of the empirical analysis, it was found that financial companies after 2018 decreased the employee compensation disparity and the majority shareholding ratio, while the stock performance and foreign ownership ratio increased. This study has the greatest contribution in that it is the first domestic study to verify the effect of applying the so-called Say on Pay, which discloses management's remuneration and allows shareholders to check its appropriateness through voting.

우리나라는 1997년 IMF 경제위기 이후 기업의 지배구조와 관련한 상법과 증권거래법 등이 수차례에 걸쳐 개정을 통한 정비가 되었다. 기업지배구조에 대한 문제는 우리나라 경우에만 한정되는 것이 아니라 미국을 비롯한 유럽 등 많은 선진국에서 중요한 문제점으로 대두되고 있는 것이 사실이다. 특히 우리나라에서 기업지배구조와 관련하여 많은 문제가 발생되고 있는 것은 지배주주와 경영진의 기업경영에 대한 감독 등이 제대로 이루어지지 않았을 뿐만 아니라 지배주주와 기업 경영진들에게 그에 책임을 제대로 묻지 않았기 때문이다. 그리고 아직도 우리나라 대부분의 기업들에 있어서 오너 경영자의 소유주식 비중이 높은 관계로 의사결정권을 독선적으로 행사하는 등 사실상 경영의 건전성을 확보할 수 없었던 것이다. 따라서 본 연구에서는 이사회가 본연의 기능을 회복하고 바람직한 지배구조를 개선하는데 있어서 걸림돌이 되는 부분을 검토하고 그에 대한 효율적인 개선안을 제시하고자 함이 연구의 목적이다.

Based on the theory of media governance, we analyzed the factors affecting the KBS system and the perception of the improvement of corporate governance, and suggested ways to improve the governance structure. The results of the study are as follows. First, the factors affecting the KBS system are politics, followed by the public broadcasting itself, that is, professionalism. Political factors were found to be the most influential factors in the public broadcasting KBS Institution. Second, the KBS governance structure, like the BBC, preferred a political independent model, while the board composition and proportions favored a German-style union model involving various stakeholders outside the political circle. Third, the future - oriented KBS governance model requires a change in the civil society (public) sphere that is deviated from the influence of politics and market. In the end, in order for the public broadcasting KBS system to operate stably, the political influence should be reduced, and the role of the government and the market should be controlled by the growth of the public sphere (civil society).

This study pays attention to the assumption that the governance including the appointment of CEO is a key factor in the internal colonialism of local broadcasting. To evaluate the tendencies, it collects and analyzes the profile of CEOs, directors, and shareholders of the 17 regional affiliates of MBC and 9 local commercial broadcasting companies between the early and mid-1990s and 2015. It also discusses the local broadcasting personnel and its operations. By doing so, the study attempts to reveal how the internal colonialism of local broadcasting works. It finds out that the governance of regional broadcasters of MBC is controlled by the head office located in Seoul. At the same time, the governance of local commercial broadcasters is encroached by the tyrannical practices of major shareholders caused by the non-separation of ownership and management. These kinds of abnormal management of governance tend to constrain the investment on personnel and production. Finally, this study suggests some desirable directions of governance focusing on the appointment of CEO in terms of both legislative system and self-regulation. They include establishing a new proviso for programming protocols in local broadcasting, introducing a CEO & non-executive director nomination committee, and so forth.

이른바 주주행동주의(shareholder activism)의 바람이 날로 거세지고 있다. 주주행동주의란, 과거 주주들이 배당금이나 시세차익에만 주력하던 태도에서 벗어나 적극적으로 기업지배구조에 영향력을 행사하면서 그들의 이익을 추구하는 경향을 말한다. 주주들은 경영성과나 임원선임 등 지배구조뿐만 아니라 기업의 사회적 책임을 요구하는 움직임도 보이고 있다. 이러한 경향은 우리 주식시장에서 외국인 투자비율이 높아지면서 더욱 뚜렷해지고 있다. 외국인 투자자들은 상당수가 국제 투자자본으로서, 그들은 투자수익을 극대화하는 방안의 하나로서 주주행동주의를 활용하고 있다. 주주들의 이러한 경향은 앞으로도 더욱 강화될 것으로 보인다. 주주들은 지배구조 개선이나 경영권 교체에 대한 영향력 행사를 통해 기업가치를 높일 수 있다는 것을 직접 체험한 것이다. 따라서 본 호에서는 주주행동주의의 법적인 구현이라고 할 수 있는 소액주주의 권리들에 대해 살펴보기로 한다.

공정거래위원회는 지난 ''97년 12월 29일 1998년도에 적용될 시장지배적사업자로 128개 품목의 311개 사업자(순사업자:188개)를 지정하고 ''98년 1월 1일부터 시행에 들어갔다. ''98년도에는 ''97년도 지정품목 및 사업자 중 13개 품목, 50개 사업자가 신규로 지정된 반면 14개 품목, 45개 사업자가 지정제외되어 지난해인 ''97년도에 비해 시장지배적사업자는 5개 증가한 반면, 시장지배적품목은 1개가 감소하였다. 이번에 공정위가 시장지배적품목 및 사업자의 변동상황을 분석한 결과, ''98년도에 신규로 시장지배적품목으로 지정된 품목은 주로 매출액의 증가에 따른 자연증가가 많았던 반면, 지정제외품목은 대부분 시장집중도 완화에 기인하고 있는 것으로 나타났다. 또한 시장지배적품목으로 계속 지정된 품목의 경우에도 사업자간의 시장점유율 순위와 상위 3사가 변동한 품목이 $32.3\%$에 달한 것으로 나타나 전반적으로 시장경쟁이 촉진되고 있는 것으로 분석되었다. 시장지배적품목의 시장집중도의 경우에는 1사 지배품목의 수와 3사 지배품목 중 $90\%$ 이상의 고집중품목의 수가 감소한 것으로 나타났다. 공정위는 앞으로 시장지배적사업자에 대하여는 최근의 경제상황을 감안하여 물가와 민생안정에 역점을 두고 공정거래법을 집행해 나갈 계획으로 있다. 이를 위해 가격남용, 출고조절, 공동행위 등 물가안정을 저해하는 시장지배적사업자의 법위반행위에 대한 감시를 강화하고, 특히 휘발유, 맥주, 라면 등 물가와 서민생활에 큰 영향을 미치는 독과점품목에 대하여 철저히 감시할 계획이며, 독과점시장 구조개선시책의 일환으로 ''96년부터 추진하고 있는 26개 우선개선대상품목의 경쟁촉진방안을 적극적으로 추진할 계획으로 있다고 밝혔다.

As the industrial structure of the mobile telecommunications market is transforming into the ICT ecosystem centered on smartphones, the regulatory system conforming to the new ICT environment has become the main subject of discussion in key developed countries. The EU segmented the mobile phone service into wholesale and retail. Simultaneously, the EU appraised mobile telecommunication carriers' market domination in segmented markets to continuously improve the scheme to promote competition in the telecommunications market. In Korea, also, there is discussion about adopting the EU scheme to segment the mobile phone market definition more finely and taking measures to appraise the market domination in accordance with object appraisal criteria. As such, this study analyzes whether the current criteria for appraising the wholesale termination rate market domination under the ICT's domestic mobile telecommunication ecosystem is adequate and presents the rational improvement measures reflecting the theoretically suggested evaluation factors.

In the bearing wall systems, a form work has a lot of room that saves cost because it takes a substantial proportion of construction cost. Therefore the systemic and efficient methods are required in the form work. This study focuses on methods that enhance the quality and the productivity of form work and presents the kicker form as an alternative plan to simplify the form work through being modular and automatical it. Work sampling method is used for productivity measurement. It is expected that it will reduce the work process and improve the Qualify and the podructivity of construction.
