An Empirical Study on the Role of Korean Banks' Information Production (국내 은행의 정보생산 역할에 관한 실증 연구)

  • We try to check empirically whether the Korean banks produce valuable information for the firms listed in KOSDAQ. The sample covers 164 KOSDAQ firms which disclosed long-term bank loans for the period of October 2004 and March 2006. The result shows no abnormal stock returns from bank loan disclosures while the bond issuance indicates a negative abnormal return. In addition, when we control the effect of different debt levels of sample firms, we could not find any statistically significant effect of all types of borrowings. Results suggest that bank borrowings do not convey any favorable information on stock return and, as a result, bank loan is just one of several financing tools rather than a special event conveying good news for the firm under asymmetric information situation.

An Empirical Study of Loan Commitment Fees: Evidence from Japanese Borrowers (대출 약정수수료에 관한 실증연구: 일본 차입자를 중심으로)

  • We examine the effects of information transparency, lender identity, and credit rating on the commitment fees of syndicated loans originated in Japan, employing a sample of 331 facilities. A syndicated loan is a financing instrument offered to a single borrower by multiple lenders, and Japanese syndicated loan volume increased 36% to a record-high of $283 billion in 2008 compared to 2007. We find that the more informational opaque the borrower, the higher the commitment fees the lender charges to the Japanese borrowers. There is evidence that a syndicate involving a Japanese lead agent is able to extract rents through higher commitment fees. We document that there is a significant relation between the credit rating of the borrower and the commitment fee cost of syndicated loans originated in Japan. Most importantly, our results provide evidence that banks in Japan extract higher returns on syndicated loans through the commitment fees in addition to higher loan spreads. Using a micro-level of Japanese borrowers, we contribute to existing literature by providing our empirical evidence after controlling for borrowing spread.

The Information Contents of Trade Credit (기업영업부채의 정보특성)

  • This paper analyses the information contents of the trade credit in Korea. Trade credit is not only a settlement device in business cycle but also an information messenger in the financial market with an asymmetric information. The empirical results support that in addition to the bank loan, trade credit takes a significant role in that it provide a cheap and reliable credit to firms that have financial difficulties because of the information problem.

The Joint Determination of Leverage and Debt Maturity (레버리지와 부채만기 결정의 상호관계)

  • In this study, we analyzed determinant factors of leverage ratio and debt maturity for Korean firms in the simultaneous equation system using 2SLS (two stage least square) method under assumption that two variables are jointly determined in the capital structure decision. As a result of the analysis, we found that leverage ratio and debt maturity are positively related. Also, as for determinant factors of debt maturity, agency cost hypothesis, asset maturity matching hypothesis, signalling and liquidity risk hypothesis are all generally supported, and further leverage ratio are significantly positively related with firm size, but negatively related with default risk. However, when we divided samples into groups according to bank debt level and Chaebul affiliation, with contrast to existing study which worked on similar issues with OLS, we found no evidence supporting the argument that the information asymmetry problem is less severe in firms with more bank debt, whereas information asymmetry and financial constraint problems are more severe in non-Chaebul affiliated firms.

Securities Holdings of Banks in Incomplete Capital Markets (불완전자본시장 하에서 은행의 유가증권 보유 동기에 관한 연구)

  • When banks prefer securities holding to lending, bank-dependent borrowers would be rationed in bank loan markets. This paper examines, both theoretically and empirically, the incentive of banks to hold securities rather than loans. When banks are in trouble due to an external shock and subsequent drain of deposit, they cannot reduce their loans quickly because loans are illiquid and are not easy to sell. Therefore, banks should respond to insured deposit drain by raising uninsured CDs or debentures. However, they cannot raise enough money through uninsured CDs or debentures when there is costly external finance premium. Meanwhile, if banks hold securities which are highly liquid, they can sell those securities and thus endure deposit drain without costly external financing. This explains why banks hold liquid securities of which yields to maturity are lower than those of loans. Banks' preference for securities comes from the existence of costly external finance premium, which is inversely related with bank net worth. After all, if bank net worth is kept high enough or capital market incompleteness is not severe, the preference for securities should be weakened.

  • 은행과 고객기업의 장기적인 결속관계(結束關係)는 부작용이 없는 것은 아니지만 효율적인 정보관리(情報管理) 및 감시(監視), 도산위기시의 구제노력(救濟努力)등을 통해 기업의 자본조달비용(資本調達費用)을 낮추고 투자(投資)를 촉진하는 효과를 기대할 수 있다. 우리나라에서는 여신관리(與信管理), 정책금융(政策金融)등 지나친 금융규제(金融規制)로 인하여 은행-기업간 자생적(自生的) 협조적(協調的)인 결속관계를 발전시켜 오지 못하였는바, 이를 시정함과 동시에 회수가능한 은행부실채권(銀行不實債權)의 주식전환(株式轉換), 주주협의회(株主協議會)의 운영 등도 검토해 볼 수 있을 것이다. 은행-기업간 주식상호보유(株式相互保有)를 통한 결속관계의 유도는 현재로서는 문제가 많지만, 중장기적으로 금융자율화(金融自律化), 산업부문에서의 대내외경쟁(對內外競爭)의 심화, 기업소유분산(企業所有分散) 등이 진전되는 상황에서는 부작용(副作用)이 크게 완화될 수 있을 것이다. 향후에 예상되는 기업환경(企業環境)의 변화를 감안할 때 은행-기업관계는 기업의 규모(規模)나 신용도(信用度)에 따라 상이한 모습을 보일 전망이다. 은행차입의존(銀行借入依存)이 크게 낮아질 초우량기업(超優良企業)은 국제금융 증권관련업무 등을 위주로 몇 개의 은행과 동시에 경쟁적(競爭的)인 관계를 유지해 가는 반면, 신용이 양호(良好)한 대기업(大企業)과 유망중견기업(有望中堅企業)은 은행과의 전통적(傳統的)인 결속관계(結束關係)를 가장 긴밀히 발전시켜 갈 것이다. 은행은 중소기업(中小企業)과도 고객관계를 심화시켜 갈 것이나, 이를 기업의 회계(會計) 등 경영투명성(經營透明性)의 결여(缺如)는 장기적인 결속관계를 형성해 가는 데 제약(制約)으로 남을 것이다.

Monetary Policy in a Two-Agent Economy with Debt-Constrained Households (가계부채 제약하의 통화정책: 2주체 거시모형(TANK)에서의 정량적 분석)

  • This paper examines monetary policy quantitatively in a two-agent and small-scale New-Keynesian economy with debt-constrained households that cannot smooth their consumption intertemporally and frictionlessly since highly indebted households are not allowed to borrow above a certain debt ceiling in incomplete financial markets without additional risk premiums due to information asymmetry between savers and borrowers. We find that, in the event of cost shocks, the asymmetric responses of borrowing households without, and saving households with, dividend incomes lead to different labor supplies and consumptions over heterogeneous households, and eventually to an extension of the monetary policy transmission channels. The income effect and low elasticity of the labor supply play key roles in such asymmetric responses over heterogeneous households. We also find that the social welfare in a flexible inflation targeting (FIT) monetary policy, in which both the inflation gap and the output gap are considered in an integrated manner when policy-making, is similar to that of the Ramsey optimal monetary policy (ROP), in which the shares of debt-constrained households, as well as all economic states, including both the inflation gap and output gap, are considered comprehensively for policy-making, and that it is greater than that of simple inflation targeting (SIT) monetary policy, in which only the inflation gap is considered mechanically for policy-making. Such social welfare implies that a FIT policy may still work even in an economy with a sizable number of debt-constrained households. Further, the responses of cost shocks to consumption and labor supply are dying out more slowly under FIT and ROP policies than under an SIT policy.

Information Externality, Bank Structure, and Economy (경제발전 및 정보의 외부성에 따른 최적 은행구조에 대한 고찰)

  • This paper addresses the question of whether a monopolistic banking system can lead to a higher steady state level of capital stock. Information externality has enhanced as the advance of the financial system such as the establishment of the credit bureau system, networking, etc. Hence this paper aims to analyze the effects of both information externality and economic development on the determination of the optimal banking market structure. This paper shows that the presence of information externality together with asymmetric information would explain how a monopoly bank leads to a higher steady state level of capital stock. It also shows that not only under-developed countries but industrialized countries may also benefit from a concentrated banking system. This analysis provides an alternative explanation of the recent deregulation and resulting trends in mergers and acquisitions. This also provides a theoretical foundation to support governments' policy changes toward promoting merger and acquisition activities.

기업지배구조의 변화 모색

  • 우리 나라 기업의 지배구조의 문제점은 대체로 이사회와 감사의 경영감시기능 부족, 기업인수시장의 활성화 미흡, 채권자로서의 은행의 경영감시역할 미흡 등이 지적되고 있다. 그러나 우리 나라의 기업지배체제는 오너체제로 대표되며, 여러 가지 폐해에도 불구하고 신속한 의사결정과 과감한 투자가 가능하다는 장점도 갖고 있다. 따라서 본 고에서는 우리 나라에서 바람직한 지배구조를 모색해 보기 위해 미국과 일본의 지배구조를 참고하여 다음과 같은 몇 가지를 제시하고자 한다. 첫째, 이사회와 감사의 기능을 활성화하는 것이다. 둘째, 기업인수시장의 활성화가 필요하다. 한편 차입경영이라는 특징을 가진 우리 나라 기업의 현실에서 은행이 적극 개입함으로서 경영감시의 효율성이 높아질 수 있다고도 한다. 그러나 금융기관의 소유구조와 자율성 및 독립성이 선결과제로 해결되어야 할 것이다. 기업의 지배구조에 대한 논의는 기업의 효율성을 높일 수 있고, 기업의 경쟁력을 높일 수 있는 방향으로 이루어져야 한다. 기업지배의 개념은 소유와 경영의 분리를 전제로 정의된 것이기 때문에 소유자경영이 보편화되어 있는 우리 나라의 기업 현실에 외국의 기업지배제도를 그대로 적용하는 것은 바람직하지 않다. 따라서 지배구조의 개선 노력은 점진적으로 그리고 전반적으로 추진되어야겠지만 선택은 기업의 자율에 맡기는 것이 바람직하다.

The Effect of Banking Relationships on IPO Underpricing : Evidence from Korea (은행과의 관계가 최초공모주 가격결정에 미치는 영향에 관한 연구)

  • Using a unique data set from a sample of 343 IPOs during the period from January 2001 to September 2003 in the KOSDAQ stock market, this paper investigates how a firm's pre-IPO relationship with a bank affects the firm's IPO underpricing phenomenon. Contrary to the findings by James and Wier (1990) using the U.S. data, we find no evidence that a pre-IPO banking relationship can help reduce IPO underpricing. On the other hand, we find that firms without pre-IPO banking and venture capitalist relationship have the smallest abnormal returns. Our results suggest that the KOSDAQ market participants positively perceive firms with pre-IPO banking and venture capitalist relationship as good quality firms and demand more issues when they go public. It also suggests that in the Korean IPO market, there has been over demand for issues of firms, which have had pre-IPO relationships with banks and venture capitalists.
