A Recent Case Study on the Formation of Contract in International Sale of Goods (국제물품매매거래에서 계약의 성립에 관한 최근 판례연구)

  • This study mainly deals with a recent case held as to the formation of contract under the United Nations Convention on International Sale of Goods(CISG). In order to analyse the fact of the case and the justification of its holdings, it examines the rules on the formation of contract under the CISG, focusing on the requirements of offer and acceptance, the time when such offer and acceptance become effective, the issues on the battle of forms. In addition to these, it particularly investigates the rules on a delayed acceptance under the CISG. After looking into those rules, it criticizes the holdings and provides legal and practical advice to contracting parties who intend to conclude a contract under the CISG as a governing law. It finds that whose e-mail in the case amounts to an offer and an acceptance is depended upon the interpretation of intention of the parties expressed in their statement. According to such interpretation, even if a purchase order is requested by the seller for the formation of contract, a contract may be concluded by a simple statement which commits the buyer himself to purchase the seller's goods. This is particularly the case where such request is made only to clarify the buyer's intention to purchase them.

  • Decision-making in construction projects often include options features. Such embedded options are difficult to value properly and many decision makers do not have experience in option analysis. The purpose of this paper is to demonstrate how real option analysis can be used to value capital expenditures on construction materials. We propose a real option framework to evaluate decision-making processes involving the purchase of construction materials. A case study was conducted by evaluating the purchase decision-making of solar cells, a good with high price volatility. Using real option analysis two strategies to improve the financial feasibility of installing a solar panel system were derived. The first strategy involves using a price cap that gives the project manager the right, but not obligation, to buy the modules for a predefined price during the next year. The second strategy is to defer the purchase of the solar cells until future price information becomes clearer. Both of the strategies in the case study were valued using the binominal model. This study will help to improve the financial feasibility of purchasing construction materials with high price volatility by including the value of managerial flexibility.

A Study of Suppliers' Participation in Private Exchanges: Focusing on MRO Markets (MRO 시장에서의 공급자의 전용마켓 참여에 관한 연구)

  • Many B2B electronic markets (EMs) are struggling to survive because they failed to attract enough participants. Thus reaching critical mass of participants is one of the key success factors for various types of EMs. The main purpose of this study is to investigate factors that lead MRO (maintenance, repair, and operating) suppliers to participate in private exchanges (PE), the buy-side EM. This paper introduces the characteristics of the PE according to the classification schemes introduced in previous studies about EM types. Literature is reviewed on suppliers' adoption of inter-organizational information systems focusing on EDI adoptions issues. Data analysis based on incomplete contract theory and the social exchange theory is then presented. The results of this study show that the number of suppliers and subsidy are factors that influence suppliers' participation in PEs. Nonsignificant results relating to trust imply that suppliers who are invited to participate in a PE do not expect their off-line relationships with the buyer to be transferred to the PE.

The Design of Optimal Recall Insurance Product (최적 리콜보험상품 설계에 관한 연구)

  • In the process of designing pareto optimal insurance contract, it is necessary to assume that insurance contract conditions are endogenous to build a model. The expected utility, the non-expected utility and the state-dependent utility function can be applied as a insurance decision making principle. The insurance costs may have the linear, convex, and concave ralationship with the indemnity schedule. However, the sunk cost and fixed cost must be recognized. The deductible which decides whether an insurance contract to be a full or partial insurance contract can exist in the forms of straight deductible or diminishing deductible. Indeciding the level of deductible, the types of the insurance and the risks to be insured should be the deciding factors. Especially for recall insurance, there is relatively high chance that the recalling company being bankrupt. Therefore, the possibility of bankrupcy should be the considering factor in deciding the policy limit. The existence of the incomplete market and uninsurable background risk should be understood as restricting conditions of the pareto-optimal insurance contract.

  • Since core scholarly journals have been digitalized, license contracts for e-resources have been dramatically increased. Librarians have had difficulties in understanding various and complex license models that are proposed by publishers in a period of time. The standardization of license models for journals have been more in demand and standard model license for journals have been developed by librarians, publishers, consortia and the third party. In this study, we explain the development of the standard license model of KESLI consortium.(hereafter, KESLI model) The availability of KESLI model has been analyzed by comparing with established standard license models. As a result, KESLI model is proved to be adopted and used in a practical contract process of e-journals through consortium.

  • 본 논문에서는 에너지 데이터 플랫폼에서의 데이터 거래 가이드라인을 연구 및 제안한다. 타 산업에서의 데이터 플랫폼들의 현황과 에너지 데이터 플랫폼 구조를 분석하여 에너지 데이터 거래에서의 이해관계자를 정의한다. 또한, 타 산업에서의 데이터 거래가이드를 분석하여 에너지 거래 가이드 구성요소와 거래 계약 거래 원칙을 정의한다. 에너지 데이터 거래 가이드의 구성 요소로는 데이터 거래 이해관계자 정의, 데이터 거래 유형, 데이터 거래 유형별 거래 계약 원칙, 데이터 구매 및 판매비용 산정 방안, 데이터 플랫폼 이용료 산정 방안, 데이터 거래시 법적 쟁점으로 구성된다. 본 연구에서는 데이터 거래 이해관계자 정의, 데이터 거래 유형, 데이터 거래 유형별 거래 계약 원칙에 대해 정의하였다.

Strategy of Purchasing Management for Hotel Food Materials (호텔 식자재 구매관리 전략)

  • This research, through an empirical analysis of the management of food materials in the super deluxe and deluxe hotels in Seoul, verified the difference, and established strategies according to the difference. According to the study, to enhance the level of the food material management, the introduction of scientific methods and system of the deluxe hotels has to be preceded, the training of special inspectors and the utilization of inspection methods needs improvement, and the purchasing contracts and effective purchasing methods have to be renewed. As for the storing management, the difference between hotel grades was low. The implication of this study as follows. First, to enhance the efficiency of man power operation, we have to introduce computer systems. Second, training based on the food materials purchasing manual has to be achieved. Third, we have to increase inspectors' specialty through the arrangement of man power rotation.

Influencing Factors on the Duration of Offset Agreement (절충교역 계약 소요기간 영향요인)

  • Republic of Korea has been applying offset to defense acquisition program for some benefits such as modernization of defense industry and enhancement of R&D capabilities since 1983. But in point of implementation, there is the possibility of delay of offset agreements based on the value of proposed technologies. As it often happens that the delay of offset agreement negatively affects the time schedule of main defense deal, it is necessary to prepare for this issue. The purpose of this study is to extract some factors affecting the duration of offset agreement by statistical analysis. Reviewing existing papers and contract process, nationality of enterprise, the number of project participants, properties of project, the number of technologies in the first proposal, level of domestic defense technology in each weapons system, the amount of main contract were used as independent variable and duration of agreement as dependent variable. To hypothesis testing, correlation and multiple regression analysis were conducted using the previous 25 contract cases. As a result of correlation analysis, the amount of main contract, the number of technologies in the first proposal and properties of project have positive relationships with dependent variable. In multiple regression, the amount of main contract and the number of project participants have significant effect on the duration of offset agreement.

Spatial Characteristics of the Relationships Between Urban Large Retailer and Agro-food Suppliers (대도시 대형유통업체의 농식품 구매 및 거래관계의 공간적 특성)

  • The purpose of this paper is to find out the spatial characteristics of the relationships between urban large retailer and agro-food suppliers. For this purpose, Dong-A department store which is one of the most famous local distribution company was selected as a case study firm. The case study company has its own systematic food supply chain in the process of food procurement, selection, delivery, and marketing. It mainly does businesses in Daegu and Gyeongbuk province, but also procures and delivers products all around the country. Customers' recent concerns over the freshness and the period of circulation made the company use the local physical distribution system that it purchases products in nearby areas and perform procurement and delivery in nationwide areas. It is identified that trading types are significantly different by locations of suppliers in that more thin 40$\%$ of suppliers in Daegu are food manufacturers, whereas suppliers in Gyeongbuk mainly belong to the ones in fresh food production areas. In terms of durability of the retailer-supplier relation, the case study firm has relatively long-term relationship with suppliers, maintaining the relationship fer over 5 years in more than 70$\%$ of suppliers.

  • 본 연구는 최근 국내 SI 기업의 활발한 해외시장 진출과 관련하여 일반적인 IT 서비스의 성질을 도출해 고객의 구매결정을 방해하는 요인을 찾아내고 이를 해결하기에 적합한 시장진출유형을 제시하는 것을 목적으로 한다. 또한 거래비용 관점에서 SI 기업에게 가장 효율적인 진출유형이 무엇인지를 도출하는 것이다. IT 서비스는 구매계약이 체결된 이후에 생산이 시작되므로 일단 사용해 본 후에야 품질평가가 가능한 경험적 성질을 갖는다. 따라서 해당 SI 기업과의 사업경험이 없는 고객은 구매 전에 IT 서비스의 품질을 평가할 수 없기 때문에 구매에 대한 높은 불확실성을 인식하게 되고 이것은 구매결정을 방해하는 요인으로 작용한다. 이러한 문제는 SI 기업이 새로이 해외시장에 진출할 때 현지에서 명성과 신뢰를 쌓고 있는 기업과의 합작투자를 통해 해결될 수 있다. 왜냐하면 이럴 경우 IT 서비스와 관련해서는 아직 사업경험이 없다고 할지라도 현지 기업의 명성이나 신뢰, 또는 기존의 돈독한 사업관계를 통해 SI 기업이 자신을 속이거나 배반하지 않을 것이라는 기본적인 믿음을 통해 고객의 불확실성을 감소시킬 수 있기 때문이다. 또한 시장거래비용과 관리적 거래비용 측면에서 순수 자회사 설립보다는 현지 시장 및 고객환경에 밝은 현지 기업과의 합작회사 설립을 통해 진출하는 것이 보다 효율적이다. 이와는 달리 최근 국내 대형 SI 기업의 해외진출 현황을 살펴보면 자회사 설립을 통한 진출을 선호하는 것으로 나타났는데 이것은 이들이 속한 그룹사들이 많은 해외시장 경험을 통해 해당 시장환경에 익숙하기 때문에 현지 기업의 도움 없이도 시장개척이나 고객확보가 가능하다고 판단했기 때문이라고 해석된다. 본 연구결과는 특히 해외시장 경험이 아직 부족한 국내 SI 기업들이 해외시장에 진출할 때 유용한 자료로 활용될 수 있다.
