The Amendments of 'Securities and Exchange Act' and the Announcement Effects of M&A (증권거래법 개정과 합병공시효과)

  • This study analyzed the effects of M&A announcement before and after the 1998 amendments of 'Securities and Exchange Act' through the event study. The M&A firms turned out to gain the abnormal returns during the entire periods. The cumulative average abnormal returns of M&A firms was 1.38%(market adjusted model) or 5.37%(industry-adjusted model) higher after the 1998 amendments than before. The differences of performance of M&A were significant also in case of the related M&A, vertical or horizontal M&A, M&A in booms. In regression analysis, the 1998 amendments of Act was the significant factor to explain the cumulative abnormal returns.

An Empirical Study on the Risk Index of Korean Securities Industry (우리나라 증권산업의 위험지수 작성에 관한 실증연구)

  • This paper calculates the Risk Index of Korean securities industry that summarizes the information contained in seventeen financial indicators that represent risk categories such as capital adequacy(C), asset quality(A), earnings(E), and liquidity(L) by using the NBER statistical methodology. For the validation of Risk Index, expected default frequency has been used, and the result has been proved to be positive. According to the compiled Risk Index, the level of risks of Korean securities industry has been decreasing from the second quarter of 2003 to the first quarter of 2006 by 22 percent. But the risk has been increasing during the periods from the first quarter of 2002 to the first quarter of 2003 and from the first quarter of 2006 to the last quarter of 2006.

Guarantees of Applying Disclosure and Transparency on the Companies Listed in the Saudi Capital Market

  • By explaining the essence of corporate governance as well as disclosure and transparency, the study examined the guarantees of applying disclosure and transparency to firms listed on the Saudi stock exchange. The research also addressed the disclosure and transparency duties of firms listed on the Saudi stock exchange. Finance to prepare a prospectus, as the Capital Market Authority's regulations required that the prospectus includes information that enables the investor in securities to make his investment decision based on real foundations based on the issuing company's financial position and to ensure that companies fulfill that disclosure in the prospectus. Firms who fail to disclose are required by law to do so, and the Capital Market Authority's laws mandate companies listed on the financial market to regularly report fundamental events linked to the issuer or the securities issued by it. The Capital Market Authority must make it available to the public dealing with the business issuing the securities, and The Capital Market Authority's Law and Regulations have imposed fines on corporations that do not comply with disclosure and make the Board of Director's report available. The research focused on activities that the legislator deemed to be a breach of the obligation of openness, such as the danger of many measures aimed at ensuring the impartiality and transparency of trading in the Saudi financial market, as well as the absence of conflicts of interest. The research also addressed the sanctions imposed on The source for failing to meet the obligation of disclosure and openness, as well as the mechanisms of compensating persons harmed by the failure to meet that responsibility.

Effectiveness of Securities Market Plans, $1980{\sim}2004$ ($1980{\sim}2004$년 동안의 증시부양정책 및 증시규제정책의 실효성)

  • We explore how stock returns and volatility have been impacted by securities market stimulating and controlling plans during the 1980-2004 period, using return analysis, event study, and BFL tests. First, we examine effectiveness of the stimulating plans for a depressed market and the controlling plans for an overheated market with respect to different firm sizes and industries as well as the whole market. KOSPI, large-sized, finance, and manufacturing company stock prices significantly rise following stimulating plans, implying that the plans are quite effective. Controlling plans also seem effective as stock prices stop rising and tend to decline following the plans. Second, we test whether securities market plans have any further impact with respect to fun sizes and industries in addition to the impact on the entire market. Only large-sized stocks show additional response to stimulating plans, while small-sized, electrical-electronic equipment, distribution, and manufacturing industries are further impacted by controlling plans. Third, the results of BFL tests show that volatility does not change around the announcement dates of stimulating and controlling plans. It appears that securities market plans have no impact on volatility. Only stock returns respond to the plans.

  • This paper analyzes the independent financial advisory business that is not yet active in Korea and proposes a plan to activate the independent financial advisory business using fintech technology. A bill was enacted in 2017 for the domestic independent financial advisory business, but it has not been activated much until now for various reasons. Although existing studies have proposed solutions in various ways, there is no clear solution yet. This paper proposes a new method of revitalizing the independent financial advisory business through fintech technology using the trust system that has recently attracted attention. Digital securities fintech technology using blockchain distributed ledger technology presents new possibilities in the real estate and music copyright markets, and related fintech venture companies continue to emerge in Korea. By combining these digital securities fintech technologies and the business process of ETF, a method was derived so that independent financial advisors can have their own financial products. The proposed model is more decentralized than the existing financial product sales structure, and presents the possibility of a protocol economy through a structure close to a private blockchain while complying with the existing financial order. This paper is meaningful in that it presented new solutions to completely different markets from information convergence perspectives on two completely different markets, and we hope that more business solutions will emerge through knowledge management activities that converge various perspectives in the future.

The Effects of Patents on Firm Value: Venture vs. non-Venture (특허활동이 경영성과에 미치는 영향: 벤처기업 대 일반기업)

  • Utilizing the patent application data between 1997 and 2002, this study focuses on analysing the impact of patents on firm value. Especially we attempt to examine the difference of patents between venture firms and general firms. This paper first shows that the number of the patent applications of general firms listed on the securities market is more than that of venture firms listed on KOSDAQ. It is thought that this result is originated from the facts that the size of firms of the securities market is usually bigger than that of the firms of KOSDAQ and that these large firms could manage R&D more efficiently. Second, this paper reports that there is no difference in the ratio of patent maintenance between venture firms and general firms. Both venture firms and non-venture firms would do their best to keep their patents after patent regisration. Third, in the regression of patent index and firm growth, we find that the excellence of patent and the number of patents per employee would have an impact on the growth of firms. Fourth, the regression of patent index and profitability shows that the excellence and the number of patents per employee might have an effect on the profitability of firms.

  • Korean public power isn't currently performing its duties of crime prevention or public security services as effectively as the people expect from it due to excessive work load, insufficient budget, and equipment or work force problems, although it should protect the people from increasing crimes. The mutual cooperation between the police and the private security firms can' t be enhanced unless both parties are involved. Above all, the private security companies should secure superior security personnel and provide them with systematic education and training to improve their qualities. The police should also make an effort. In order to foster the private security firms soundly, the police should improve the system if necessary, and establish, guide and monitor the department wholly responsible for the private security affair. Both parties also should deal with crimes systematically by exchanging information for crime prevention, having informal meetings and introducing a joint patrol system. In order to cope with crimes threatening the livelihood of the people in our society, the public and private securities' mutual cooperation plans should be formulated. For this purpose to be achieved, the private security firms and the police should understand each other and bilateral efforts should be made. If both parties understand each other and make an effort, the relationship between them will be improved greatly and developmental plans for preventing crimes can be made.
