Financial Performance of M&A: Focusing on E-commerce Companies in China (M&A 기업성과: 중국 전자상거래 기업을 중심으로)

  • With the rise and rapid development of the "Internet+" economic model, the internet is deeply integrated with the social economy and penetrates every corner of life. Compared with expanding the scale of business operations through internal investment and capital accumulation, e-commerce companies are more inclined to directly gain control of other companies through efficient merger and acquisition (M&A). The purpose of this study is to analyze changes in financial performance before and after M&A of Alibaba, China's largest e-commerce company in the Internet era. To present the impact of M&A events on Alibaba's stock price and shareholder wealth more intuitively, this study selected the market model in the event study method to measure abnormal returns. The results show that an M&A event led to a reduction in Alibaba's shareholder wealth in the short term. This study presents the theoretical basis for the M&A performance of e-commerce companies.

The Moderating Effect of Internal Control on Performance of Cross-Border M&A under the Uncertainty of Economic Policy: Evidence from China

  • Purpose - The purpose of this paper is to investigate the relationship between internal control, economic policy uncertainty, and performance of cross-border merger and acquisition (M&A) based on the panel data of Chinese listed firms. The authors expected that internal control has a positive moderating effect on the performance of cross-border M&A and that it mainly occurs during periods when economic policies are relatively stable. In addition, the authors tried to find out the mechanism of internal control affecting cross-border M&A and the corporate performance. Design/methodology - The authors tested the hypotheses by a multivariate regression model based on the panel data of Chinese listed firms from 2009 to 2017. The dependent variable is the change value of business performance (DROA_1,2,3) and the explanatory variables are cross-border M&A (MA), China's uncertainty of economic policy (EPU), and internal control level (IC) respectively. Findings - The authors find that internal control has a positive moderating effect on the relationship between cross-border M&A and corporate performance. Further, the authors find that the moderating effect is more significant in state-owned enterprises and that it mainly occurs during periods when economic policies are relatively stable. Originality/value - This paper is the leading study that tries to analyze empirically the relationship between internal control, economic policy uncertainty, and performance of cross-border M&A. It provides a new avenue through which internal control might reasonably mitigate the risks of cross-border M&A and correspondingly improve the performance of cross-border M&A. It also confirms the moderating effect of internal control on the performance of cross-border M&A under the uncertainty of economic policy.

  • In this paper our main focus is to provide insight into the history of M&A's for this purpose we have analysed the different waves of M&A. We have analysed these waves in context of available literature and fact and figures. During the study we realised that almost all of the waves of M&A's ended because of financial crises, although impact and severity of that crises may differ. We analysed the impact of current crises on M&A in global context and in order to establish how companies have and in post crises era i.e. after crises of 2007 onwards how the companies have changed their corporate strategies to accommodate M&A's. We have also analysed which factors fuelled M&A's in past and were these factors present in post crises era M&A activities. By first quarter of 2011 the many firms saw new growth opportunities in M&A activities seemed to rebound as large companies used M&A's as part of their corporate strategy but this was cut short by events like US debt ceiling, down grade of USA's credit ratings along with fears about Eurozone's financial health and their impact on future prospects of M&A's would they continue to prosper or would they be weighed down by these events.

Analysis of Determinants on the Entry Modes of Multinational Firms: Focused on the Effects of Corruption and Political Instability (해외진출 기업 유형의 결정요인 분석: 부패와 정치적 위험 영향을 중심으로)

  • This paper aims to analyze the effects of external uncertainty on the entry modes decision of multinational firms. On the basic assumption that the entry modes of the firms are dependent on ex-ante or ex-post perceived risk, we empirically analyzed the impacts of perceived risk factors on the investment patterns of firms. We found that the larger the population, the higher the level of GDP per capita, and the larger the trade volume as a ratio of GDP resulted in increased M&A FDI and greenfield FDI. The economic growth rate variables were found to be significantly positive effect on only greenfield entry mode. Regarding the main variables, lower levels of corruption and increased stability regarding political issues resulted in the host country receiving increased M&A investment. However, we found only a positive statistical significance of the political stability variable on the explaining greenfield FDI. Results show that M&A entry mode is affected by both corruption and political instability level. However, the greenfield FDI featuring sunk costs, seems more responsive to political instability.

  • Customer Relationship Management (CRM) is indispensable for companies in recent business environment, in which the customers are recognized as more valuable asset to increase the earning power of enterprise. For gaining competitive advantage, most companies want to maintain existing customer relationships and generate more profits with customers through long-term relationships. In this study, we developed the models which are designed to select CRM systems in financial institution, which is one of competitive sectors and undergoes rapid changes due to M&A(Merger and acquisition), innovation and reengineering in Korea. The selection model of CRM systems for financial institution was developed utilizing the Analytic Hierarchy Process (AHP) and the expert's knowledge were built up of three groups; researcher group, developer group, and user group. We found that there are significant deferences for the weights of criteria in our selection model according to the kind of experts. This study provides helpful guidance on how to assign appropriate weights to each criteria in selection models when financial institution introduce the CRM systems.

  • Recent years have witnessed various attempts of firms to acquire new knowledge. Purchasing intellectual property or merger and acquisition (M&A) can be such attempts, but joint venture can also be an effective way internalizing new complementary assets from external partners. However, due to difficulties in the formation and implementation of learning strategies, many joint ventures have failed to acquire necessary knowledge. In this respect, based on contingency theory and dynamic capability, the current research aims to investigate the failure case of knowledge transfer in an international joint venture - KEFICO established by Hyundai motors and BOSCH. Case firm optimized for hardware technology but did not establish a differentiated learning strategy and organizational structure to acquire software skills, which are intellectuals of different natures. Due to this inconsistency, it was not able for KEFICO to absorb new type of knowledge (skills related to engine control system). This study suggests the theoretical framework illustrating the case and provides some important implications for organizational learning.

  • Due to the fact that it is relatively easy to transfer technology between application developers or content providers, low entry barrier in the business causes fierce competition among the venture companies in mobile service industry. Our study examines a sustainable strategies to operate a business for venture companies that are in a highly competitive technology-intensive industry. In this paper, we examine how venture firms created a network and brought synergy effects, using network theory. Korean venture firm, YelloMobile, uses unique strategies of merger and acquisition through the method of swapping equity and thereby establishing network. We contribute to expand network theory by examining three elements of network: such as network structure, network governance mechanisms, and network contents.
