우크라이나와 브라질 간의 발사체 국제협력의 목적은 우크라이나의 사이클론-4 발사체를 브라질 알칸타라 발사장에서 발사하는 것이다. 이를 위하여 양국은 1999년부터 현재까지 협력을 위한 공동작업을 진행하여 왔으며, Joint-Venture를 설립하였다. 그러나 양국간의 국제협력은 진행이 계속 늦추어지고 있다. 이는 양국간의 협상, 협정 체결, 국회 승인 과정과 기술보호 및 제3국 기술 유출방지를 위한 협정 체결에 많은 시간과 노력이 소요되었기 때문으로 보인다. 따라서 우리도 발사체 분야의 국제협력을 추진하는 경우에는 기술적인 사안뿐만 아니라, 정부 차원의 행정적 외교적 사항을 면밀히 검토하여야 할 것이다.

The increase need for agricultural machinery production and its globalization through international Joint ventures are discussed in this paper. Examples of joint businesses for the overseas manufacturing of farm machinery are given and problems are pointed out. Overseas production of automobiles is illustrated through a few examples and suggestions are made for farm machinery production . Measures to be taken to promote global production of agricultural machinery through international joint ventures are mentioned.

Licensing contracts between partners in International Joint Ventures(IJV) have not only aspects of relation contract, which is interdependent and long-term cooperative relationships in interpartner but also aspects of discrete contract which is exposed to opportunistic risk caused by IJV partners who maximize individual profit instead of joint payoff maximization. In this circumstance, appropriate compensation structures such as lump-sum and royalty can reduce conflicts and spur interpartner cooperation. In addition, compensation structures that stipulate each party's rights, duties, and responsibilities under various sets of environmental conditions have strong implications for transaction cost minimization and joint payoff maximization. On the other hands, compensation structures such as lump-sum and royalty in IJV licensing contract have benefits and costs depending on IJV partners uncertainty, partner dependency, and environment uncertainty. Therefore, the purpose of this paper is to empirically show how partner uncertainty, partner dependence and environment uncertainty influence compensation structure chosen by licensor in IJV.

Project-based joint ventures are often used in the construction industry to assemble an organization that meets a client's project needs and matches or exceeds the capacities of competitors. The joint venture / partnerships provides the means for a firm to quickly add resource, political, technical, or other required strengths that will increase project acquisition. This paper sets out to study the types of joint ventures, different issues or problems while having joint ventures and the critical factors that contribute to successful joint ventures. A questionnaire was designed and administered to survey the issues and present practices of joint ventures in the South Florida construction industry. Along with the questionnaire, personnel interviews were also conducted to get first hand knowledge about the subject matter. The results are presented in the paper. These results specifically identify the overall practice of joint ventures in South Florida as well as indicate the most significant factors leading to failure or success of these ventures.

Since the last decade, the fisheries industry in Korea has faced many difficulties in terms of comparative economic advantage partly because of marine environmental damage caused by Pollution and coastal reclamation, and partly because of too expensive production factors like labor. In addition, new order of world trade created by Uruguay Round will force the Korean fisheries industry to prepare some remedies including a joint-venture business with China for international compatativeness. As a result, this paper mainly deals with an analysis on feasibility of Sino-Korean joint cooperation in fisheries business. Especially, the Shandong Province in China is expected to take advantage of its geographical proximity to Koreas well as of its abundance in marine natural resources in order to achieve a fast economic growth. Thus, for the next decade to come, it would be very important for the Korean fisheries industry to cope with the international fisheries market by the Sino-Korean joint-venture combining the capital and technology from Korea with the cheap labor and favorable marine environment for aquaculture from China.

본 논문은 국내세법, 한 중 조세협약, 중국세법을 근거하여 특수목적회사(SPC), 사모펀드(PEF) 등의 간접투자 방식과 직접투자 방식에 대한 투자시뮬레이션을 활용하여 최상의 투자형태 협상전략을 제시하였다. 분석결과 중국내 고정사업장이 없는 경우 홍콩과 같은 조세회피지역에 특수목적회사를 설립하여 중국에 투자하는 형태가 직접투자 혹은 국내에 PEF 설립을 통한 투자보다 더 합리적이었다. 더욱이 특수목적회사는 국내의 여러 가지 규제에서 벗어나 자유로운 펀드운용과 새로운 투자추진시 국내과실 송금 처리절차를 거치지 않고 재투자가 가능하다는 점을 포함하여 다양한 장점을 가지고 있었다. 중국 등의 해외투자 고려시 조세회피지역에 특수목적회사를 설립하고 이를 통해 투자를 실행하는 것이 가장 효율적인 방안임을 고려하여 투자방식과 JV협상을 진행하여야 할 것이다.

본 연구는 국제합작사업 기업들을 대상으로 합작사업 참여기업 간 특성이 지식공유 및 활용과 합작 성과에 어떠한 영향을 주는지를 살펴보고자 하는 실증연구이다. 본 연구에서는 국제합작사업 참여기업 간 특성을 참여기업간 계약준수, 사업참여동기 및 의지, 경영자율성, 조직문화들이 지식공유 및 활용과 합작성과에 어떠한 유의한 영향을 미치며 또한, 국제합작사업 기업들만이 가지는 특징을 실증분석을 통하여 알아보고자 한다.

급변하는 환경에서 지속 가능한 경쟁우위를 확보하기 위해 기업들은 끊임없이 새로운 지식을 획득해야 한다. 인수합병이나, 지식재산권의 구매 등이 이를 위한 대표적인 수단이나, 합작회사의 설립도 보완자산을 내재화하기 위한 효과적인 지식 획득 방법으로 주목받고 있다. 그러나 모든 합작회사가 새로운 지식을 성공적으로 획득하는 것은 아닌데, 이는 기업들이 획득하고자 하는 지식의 특성에 맞는 적절한 학습전략 및 조직 구조를 갖추지 못했기 때문인 경우가 많다. 본 연구는 이 같은 문제의식 하에 상황이론 관점에서 지식의 특성을 다차원 적으로 구분하고 지식 특성에 맞는 학습전략과 조직구조의 필요성을 자동차 부품분야의 국제 합작회사 사례를 통해 살펴보았다. 하드웨어 기술에 최적화된 사례 회사(국제합작회사)는 다른 성격의 지식인 소프트웨어 기술을 습득하기 위해 차별화된 학습 전략과 조직구조를 갖추지 못했고, 이러한 미스매치로 인해 합작회사를 통한 새로운 지식(엔진제어시스템 기술)의 흡수에 실패하였다. 본 연구는 기업이 성공적 지식흡수를 위해 고려해야 할 요소들을 이론적 프레임워크를 통해 제시하고 실증분석을 통해 이를 검증함으로써 합작회사 설립, 인수합병 등 조직 변화를 통해 동태적 역량을 확보하고자 하는 기업들에게 실무적 시사점을 제공하고 있다.

The consumer surplus under the open economy is greater than that under the closed economy from the viewpoint of social welfare. This indication has been proved when only the product market is considered. This article is to show how this result is changed if the R&D market as well as the product market is considered. We find the possibility that the closed economy is preferred to the open economy in case of the (international) R&D joint venture.

본 연구는 우리나라의 국제합작투자 기업들을 대상으로 국제합작 사업에서의 합작파트너 간 통제유형(산출(Output Contro), 과정(Process Control), 사회적(Social Control))에 따라 국제합작투자 기업의 성과에 어떠한 영향을 주는지를 살펴보고자 하는 실증연구이다. 국제 합작기업들간의 투자형태가 다양하기 때문에 통제유형에 따라 국제합작투자사업 성과에 어떠한 유의한 영향을 미치며 또한, 한국합작투자기업들만이 가지는 특징을 실증분석을 통하여 알아보고자 한다.
