Interpretation of the Umbrella Clause in Investment Treaties (국제투자조약상 포괄적 보호조항(Umbrella Clauses)의 해석에 관한 연구)

  • One of the controversial issues in investor-state investment arbitration is the interpretation of "umbrella clause" that is found in most BIT and FTAs. This treaty clause requires on Contracting State of treaty to observe all investment obligations entered into with foreign investors from the other Contracting State. This clause did not receive in-depth attention until SGS v. Pakistan and SGS v. Philippines cases produced starkly different conclusions on the relations about treaty-based jurisdiction and contract-based jurisdiction. More recent decisions by other arbitral tribunals continue to show different approaches in their interpretation of umbrella clauses. Following the SGS v. Philippines decision, some recent decisions understand that all contracts are covered by umbrella clause, for example, in Siemens A.G. v. Argentina, LG&E Energy Corp. v. Argentina, Sempra Energy Int'l v. Argentina and Enron Corp. V. Argentina. However, other recent decisions have found a different approach that only certain kinds of public contracts are covered by umbrella clauses, for example, in El Paso Energy Int'l Co. v. Argentina, Pan American Energy LLC v. Argentina and CMS Gas Transmission Co. v. Argentina. With relation to the exhaustion of domestic remedies, most of tribunals have the position that the contractual remedy should not affect the jurisdiction of BIT tribunal. Even some tribunals considered that there is no need to exhaust contract remedies before bringing BIT arbitration, provoking suspicion of the validity of sanctity of contract in front of treaty obligation. The decision of the Annulment Committee In CMS case in 2007 was an extraordinarily surprising one and poured oil on the debate. The Committee composed of the three respected international lawyers, Gilbert Guillaume and Nabil Elaraby, both from the ICJ, and professor James Crawford, the Rapportuer of the International Law Commission on the Draft Articles on the Responsibility of States for Internationally Wrongful Acts, observed that the arbitral tribunal made critical errors of law, however, noting that it has limited power to review and overturn the award. The position of the Committee was a direct attack on ICSID system showing as an internal recognition of ICSID itself that the current system of investor-state arbitration is problematic. States are coming to limit the scope of umbrella clauses. For example, the 2004 U.S. Model BIT detailed definition of the type of contracts for which breach of contract claims may be submitted to arbitration, to increase certainty and predictability. Latin American countries, in particular, Argentina, are feeling collectively victims of these pro-investor interpretations of the ICSID tribunals. In fact, BIT between developed and developing countries are negotiated to protect foreign investment from developing countries. This general characteristic of BIT reflects naturally on the provisions making them extremely protective for foreign investors. Naturally, developing countries seek to interpret restrictively BIT provisions, whereas developed countries try to interpret more expansively. As most of cases arising out of alleged violation of BIT are administered in the ICSID, a forum under the auspices of the World Bank, these Latin American countries have been raising the legitimacy deficit of the ICSID. The Argentine cases have been provoking many legal issues of international law, predicting crisis almost coming in actual investor-state arbitration system. Some Latin American countries, such as Bolivia, Venezuela, Ecuador, Argentina, already showed their dissatisfaction with the ICSID system considering withdrawing from it to minimize the eventual investor-state dispute. Thus the disagreement over umbrella clauses in their interpretation is becoming interpreted as an historical reflection on the continued tension between developing and developed countries on foreign investment. There is an academic and political discussion on the possible return of the Calvo Doctrine in Latin America. The paper will comment on these problems related to the interpretation of umbrella clause. The paper analyses ICSID cases involving principally Latin American countries to identify the critical legal issues arising between developing and developed countries. And the paper discusses alternatives in improving actual investor-State investment arbitration; inter alia, the introduction of an appellate system and treaty interpretation rules.

A Study of Accelerator Investment Determinants Based on Business Model Innovation Framework (비즈니스 모델 혁신 프레임워크 기반의 액셀러레이터 투자결정요인 연구)

  • Despite the uncertainty and risky factors of startups, the special and critical role of accelerators in carrying out professional nurturing and investment for them is becoming increasingly significant in the startup social-system. However, academic research on investment determinants that have a profound impact on the survival of accelerators is lacking, and there are only a few empirical studies on the classification and importance of factors, and they do not enjoy the benefits of theoretical studies. This study proposes a business model innovation framework based on the business model innovation theory that reflects the nature and properties of startups that are investment targets of accelerators and derives 12 investment decision factors. The framework defines that the target, direction, and performable force of startup innovation are a business model, strategy, and dynamic capability. Besides, the framework analyzes the investment decision factors of the existing accelerators based on the business model innovation framework to verify the suitability and sufficiency of the composition. As a result of the analysis, first, most of the items were faithfully composed from a static point of view of business model innovation, but it was found that the factors related to the core activities to evaluate the activity and customer relationship were insufficient. Second, from the strategic point of view, the necessity of developing factors that can encompass the definition and content of core resources, which are internal strategic factors, was raised. Third, from the dynamic point of view, it was found that many of the investment determinants of accelerators were concentrated on the lower level of dynamic competencies. This can be judged as a result of reflecting the characteristics of a startup that needs to develop a solution with few resources and a small number of team members. In addition, the roles and interrelationships between each factor are not clear, thus it was found as a limiting point for startups to view and evaluate the direction and process in which startups dynamically innovate their business models. This study is considerably differentiated in that it provides a business model innovation framework and offers a theoretical basis for investment determinants by deriving the investment determinants of accelerators based on the framework and design the foundation for subsequent research. The business model innovation framework presented in this study has great implications in that it contributes to the achievement of startups, accelerators, and startup support organizations.

A Study on the Methodologies of Economic Analysis for National R&D Program (국가 연구개발사업의 경제성분석 방법론 고찰 : 가치평가를 중심으로)

  • Technological, policy and economic factors are both important variables in maximizing the results of a national R&D program and key indicators in evaluating an R&D program's eligibility for financial support. Economic analysis, in particular, is used when selecting R&D programs, setting priorities, and estimating economic effects. This paper examines a series of methodological issues related to the economic analysis of national R&D programs within the framework of the current preliminary feasibility evaluation system, and proposes alternative approaches to each of the issues discussed. The issues include the definition of R&D valuation and establishment of valuation factors; estimation of sales attributable to R&D investment; assessment of the total economic value of R&D as intellectual assets; estimation of R&D benefits and assumption of related to sales; and the application of discount rates based on the weighted average cost of capital. Finally, this study presents directions for future research on analytical procedures and methods of improving the reliability of the results of economic analysis within the national technology planning system.

  • The technological innovation has been recognized critical factors of productivity of firms and key contribution of improvement of firm performance for a long time. Many researchers have investigated the relationship between R&D investment or patents as a proxy of innovation and productivity. But there were some problem such as lacking of data and ambiguity of innovation definition. So, previous literatures have some difficulty in reliability of analysis for using only survey data. And investigating the relationship R&D and other factors is very difficult. Therefore, this paper tries to investigate and analysis the relationship between innovation and performance of Korean manufacturing firms. Using KIS2002(Korean Innovation survey 2002) which was based on Oslo manual in 2002 and financial data of firms (KISINFO), I will intend to establish the reliability of multiple analysis. In detail, I will investigate whether the innovation input have effect on the innovation output, whether the innovation output have effect on productivity for heterogeneity and what factor of innovation environment have effect on the innovation itself.

  • This paper aims to provide a better understanding about how Information and Communication technology (ICT) has diffused. The investigation is conducted with the consideration of ICT evolution in terms of technological change and usage pattern. The definition used is presented as 'the ICT is a process of convergence of technologies between information-processing and information-transforming technologies, mainly due to the advent of microelectronlcs'. After examining technological changes of ICT, the diffusion path of ICT is traced through the usage ratio in total input and/or investment based on Input-Output tables (I-O). It shows that the evolution of ICT from the change of usage pattern is an up-and-down usage pattern rather than a uni-modal usage time path. With this recognition, the diffusion index is prepared. A Case Study on Assessing the Productivity of a BIM team in a Construction Company

  • Due to the labor-intensiveness, high investment cost, long execution time, frequent change orders, and many stakeholders in a BIM project, a BIM manager is bound to face a lot of risks to make decisions in cost managing process. Since the productivity of a BIM team will affect the execution cost, this study investigates a simple method of assessing the productivity of a BIM team using the working timesheet records of the team. In this research, the productivity of a BIM team is defined as the effective working floor area (in square meters) of BIM uses per labor-time (in man-months) spent by the team. After the applicability of this method is tested by regression analysis using data from 5 real BIM projects in the construction phase, it is found that the simple productivity definition adopted in the method, although easy-to-implement, does not produce a statistically constant productivity value. More research is therefore needed in the future to devise better indicator(s) for assessing the productivity of a BIM team.

  • In recent, the rapid convergence of telecommunication and broadcasting has been considered as one of the hot issues in the IT industry. This convergence will provide telecom operators with both opportunities and threatens. This is because that telecom operators can enter the broadcasting industry, whereas broadcasters will also have a chance to provide telecom services. This work aims to discuss the business strategy for telecom operators to provide a TV VOD service, one of the convergence services between telecommunication and broadcasting, through the high-speed internet which is so much served in Korea. It seems that this service will achieve two business goals, namely "to minimise an additional investment" and "to find out a new benefit source", by fully utilising a current high-speed internet infrastructure. Finally, this paper mainly contains the market overview of in telecom and broadcasting service, the definition of TV VOD service and the necessity for this service, a market forecasting and the provision strategy of major telecom operators, and key success factors and a benefit model.

Economic Evaluation of Early Detection System for Warranty Issues (품질보증 이슈 조기감지 시스템의 경제성 평가)

  • An early detection system for warranty issues periodically collects customers' claim data and automatically reports alarms about emerging issues based on statistical algorithms. It helps companies to reduce an issue definition time and save the handling cost of warranty claims. This paper provides an evaluation framework to validate the economic effect of an early detection system project. For this purpose, we present economical index of a project with explicit formulas such as ROI(return on investment), PP(payback period), NPV(net present value), PI(profitability index) and IRR(internal rate of return) and analyze the sensitivities of the index according to the variation of project input parameters. The proposed analysis framework is expected to be used for evaluating economic values of various system integration projects.

  • Rural amenity resources are damaged without organized management infra. National rural resources institute perform the project of developing rural amenity infra techniques from 2005 to 2009 targeting 1,230 eup-myun rural community. There are many resource surveying project in national level. For avoiding duplicated investment, clear definition of rural amenity and essential surveying items are needed. In this study, concept of rural amenity and relation with resource are considered and 10 rural amenity resource tables and items considering management, accessibility, and amenity period are developed. Finally, developed tables and items are compared with items in previous developed surveying system.

  • The methodology for maintenance system development should overall be considered with all of task characteristic, schedule, and the technical condition of investment sources. This research applies Waterfall model to methodology for the development and construction of maintenance system through customizing the CD (Custom Development) procedure of "HSDM (Hyundai System Development Methodology)" based on information engineering. The waterfall model called as classic life cycle paradigm is defined for the sequent development procedure, which make progress a next step after that a previous step is admitted with thorough review. This model which is popular and the oldest paradigm is used for system development by four steps; demands analysis, design, construction, and maintenance. This methodology advances higher abstract step from higher lower step using top-down approach from concept definition to construction, which notices the end of a step whenever a step is over. Therefore, each step is exactly divided, and consequently the output is clearly yielded.
