The Influence of Corporate Governance on Dividend Decisions of Listed Firms: Evidence from Sri Lanka

  • This study investigates the role of corporate governance in the dividend decision of 198 non-financial companies listed on the Colombo Stock Exchange of Sri Lanka, over the period from 2009 to 2016. Four corporate governance indicators are used in this study; managerial ownership, the board size, board independence, and CEO duality. Furthermore, this study considers three control variables such as profitability, firm size, and corporate tax. This study employed the Generalized Method of Moments (GMM) model to estimate the regression models on panel data study. The major contribution of this study is exploring the insight into the effect of corporate governance factors on dividend decisions. The results of the study revealed that managerial ownership showed a significant positive impact on the dividend payout ratio. Board size showed a significant positive influence on the dividend payout ratio. Board independence negatively but significantly influenced the dividend payout ratio. CEO duality showed an insignificant negative impact on the dividend payout ratio. In the framework of these CG indicators, Sri Lankan listed firms are recommended to have dispersed ownerships, large Board size and maintain a balance of power and authority by separating the individual who is assuming the position of the CEO from the Chairperson of the Board and maintain at least two independent directors.

Corporate Governance and Firm Performance: An Empirical Study from Indonesian Manufacturing Firms

  • The use of different proxies to measure good corporate governance (GCG) may be a probable cause of the mixed results. Therefore, the application of a new single measure to enhance comparable empirical studies is required. The purpose of this study is to examine the relationship between corporate governance and firm's performance. This study involved all manufacturing companies listed on the Indonesia Stock Exchange (IDX) from 2014 to 2016 through purposive sampling with specific criteria. out of 144 qualified companies, 110 companies could be processed because of completed data in the form of financial information from their financial statements during the research period. The data were obtained from the official websites of IDX. This study applies a new measure of the corporate governance: the efficiency of the GCG. The corporate governance is calculated by relating inputs of components of the corporate governance and outputs of sales, assets and firm equity capital. By using financial data from firms listed on the Indonesian Capital Market, this study finds that the corporate governance significantly improved firm's performance. More importantly, the study confirms and supports the new single measure of the GCG. This result is very important to avoid dealing with different indicators of the corporate governance.

  • The current study is at the forefront of examining the theory of principal-agent framework and financing constraints to explain the level of corporate innovation. To boost the firm's level of innovation, this study uses corporate governance and corporate performance as driving factors. The study's secondary goal is to give information on the parallel relationship between corporate governance and the level of corporate innovation. This study used a two-step least square (TSLS) regression analysis to examine such a simultaneous association using secondary data from Indonesian listed businesses from 2000 to 2021, which totaled around 1,910 observations. This study uses the Principal Component Analysis (PCA) tool to test cumulative variances of potential corporate governance indicators such as the total commissioner of the firm (TCOM), total independent commissioner of the firm (INDPCOM), the proportion of institutional ownership (INSOWN), total female commissioner (FEMCOM), CEO duality (CEODUAL), and type of the firm (SOE). As a result, PCA reveals that four of these variables, omitting CEODUAL and SOE, were a corporate governance construct. Furthermore, the study discovered that the amount of firm innovation and corporate governance are related.

The Impact of Corporate Governance on Firm Performance During The COVID-19 Pandemic: Evidence from Malaysia

  • The purpose of this study is to evaluate the effect of COVID-19 on corporate governance attributes and firm performance association. This research used a sample of 188 non-financial firms from the Malaysian market for the years 2019-2020. We found that the COVID-19 has affected all firm characteristics including firm performance, governance structure, dividend, liquidity, and leverage level, yet, the difference between prior and post COVID-19 pandemic is not significant. Also, the investigation revealed that board size exerts a significant positive impact on firm performance. After splitting the sample based on year, however, we found that board size does not matter in the uncertain time of the current crisis, while board diversity appeared to be significantly enhancing firm performance in the crisis time compared to the prior year where it has an inverse association with firm performance in both indicators. Board meetings and audit committee meetings seemed to have a significant negative influence on firm performance pre and post-COVID-19. This study contributes to the limited literature by providing the first empirical evidence on the impact of Coronavirus on the firm performance and corporate governance association.

ESG 영역별 평가등급이 중국 상장기업 가치에 미치는 영향 (The Effect of ESG Ratings on the Value of Chinese Listed Companies)

  • Purpose - ESG(Environmental, Social and Governance) rating is an indicator to predict the sustainable development and long-term value creation of enterprises, which is becoming more and more important. This study divided the ESG rating into each sector(E, S and G) to identify which ESG elements are effective in enhancing enterprise value according to the characteristics of the enterprise, which is different from previous studies. Design/methodology/approach - In this study, Bloomberg ESG Disclosure Score was used to empirically analyze the relationship between ESG ratings and corporate value by taking the listed companies of China's Shanghai Composite Index from 2017 to 2020 as the object. Findings - First, the relationship between ESG ratings and enterprise value shows a statistically significant positive correlation, which supports the results of previous studies. Second, the analysis results from the classification of ownership structure of enterprises (state-owned enterprises and non-state-owned enterprises) show that compared with state-owned enterprises, the ESG ratings of non-state-owned enterprises is more closely related to enterprise value. Third, the analysis of various industries (manufacturing and non-manufacturing) shows that compared with manufacturing, ESG scores of non-manufacturing has a more positive effect on enterprise value. Lastly, the analysis by industry type (heavy-contaminated companies, non-contaminated companies) confirmed that ESG scores of non-contaminated companies has a positive effect on corporate value than heavy-contaminated companies. Research implications or Originality - This study classified ESG evaluation grades(E, S and G) for listed companies in China and analyzed in detail how they affect corporate value according to corporate characteristics, drawing implications for what ESG indicators should be focused on to increase corporate value.

내외부 압력이 ESG 활동과 경영성과에 미치는 영향에 관한 연구 (A Study on the Effect of Internal and External Pressures on ESG Activities and Business Performance)

  • This study is a leading case of empirical analysis of whether, when corporate stakeholders (government, investors, customers, managers, employees) put pressure on companies for ESG management, it affects the introduction and implementation of ESG activities (environmental, social, governance) and affects business performance. As for the research method, a sustainability report was published, and a web survey of Korea Research Inc. was conducted from May 10 to May 20, 2022 targeting ESG management managers of 192 companies, and analyzed through the PLS structural equation model. As a result of the study, it was found that the introduction and execution of ESG is closely influenced by the pressure from the government, investors, managers, and employees, and in particular, the internal pressure of current managers and executives and employees has a great impact on the introduction and implementation of environmental, social, and governance activities. In particular, although external pressure also has some influence, it is practical to suggest that strong internal pressure is necessary for continuous activities and performance. And, methodologically, the main activity indicators of the GRI Reporting Guidelines, which are the most representative ESG management indicators, were developed as a questionnaire, and reliability, validity, and model fit were secured through comparison with indicators of multiple systems and expert reviews. The limitations of this study are that more in-depth analysis by industry or size is possible when ESG management is mature and sufficient samples are secured, and complex ESG pressure factor modeling is possible when more diverse stakeholders are added.

The Optimal Determination of the "Other Information" Variable in Ohlson 1995 Valuation Model

  • Purpose: This study delves into the application of the Ohlson 1995 valuation model, particularly addressing the intricacies of the "Other information" variable. Our goal is to pinpoint the most suitable variables for substitution within this category, focusing specifically on the Mongolian Stock Exchange (MSE) context. Research design, data, and methodology: Employing data spanning from 2012 to 2022 from 60 MSE-listed companies, we conduct a comprehensive analysis encompassing both financial and non-financial indicators. Through meticulous examination, we aim to identify which variables effectively substitute for the "Other information" component of the Ohlson model. Results: Our findings reveal significant outcomes. While all financial variables within the model exhibit importance, certain non-financial indicators, notably the company's level and state ownership participation, emerge as particularly influential in determining stock prices on the MSE. Conclusions: This study not only contributes to a deeper understanding of valuation dynamics within the MSE but also provides actionable insights for future research endeavors. By refining key variables within the Ohlson model, this research enhances the accuracy and efficacy of financial analysis practices. Moreover, the implications extend to practitioners, offering valuable insights into the determinants of stock prices in the MSE and guiding strategic decision-making processes.

중소기업의 ESG 평가지표 활용 방안: ESG 평가지표와 기업가치의 관계를 중심으로 (A Method of Utilizing ESG Evaluation by Small and Medium Enterprises: Focusing on the relationship between ESG Performance measure and Corporate Value)

  • 최근 COVID-19 장기화 영향과 원자재 가격 급등으로 국내 대출금리가 가파르게 오르면서 빚으로 버티는 중소기업에 대한 우려가 커지고 있다. 또한, 높은 대출금리와 금융권의 대출심사 시 과도한 제출서류와 재무제표 위주의 심사로 인해 경영 환경에 힘든 중소기업의 대출은 거절되는 경우도 증가하고 있다. 따라서 중소기업의 자금조달과 투자 활성화 방안에 대한 논의가 필요하기에 본 연구는 중소기업의 ESG 제도의 활용을 통한 투자증진방안을 확인하였다. 본 연구의 목적은 비재무적 지표로 활용되는 ESG 평가지표의 활용이 중소기업의 기업가치를 예측하는 데 도움이 되며, 중소기업이 ESG 정보공시에 적극적으로 참여해야 하는 중요성을 제시하는 것이다. 본 연구는 자금조달이 중요한 중소기업의 ESG 도입과 실천의 필요성을 제언하며, 비재무적 지표의 활용이 기업가치를 예측하는 데 도움이 된다는 것을 실증적인 결과로 제시하였다. 연구결과, 중소기업의 ESG 성과와 기업가치는 정(+)의 관계를 가졌다. 중소기업의 ESG 부문별 등급과 기업가치는 모두 정(+)의 영향 관계를 맺는 것으로 볼 수 있다. ESG 종합등급은 기업가치에 긍정적 영향을 미치는 것으로 확인되었고 뿐만 아니라 ESG 환경, 사회, 지배구조 등급이 높은 중소기업일수록 기업가치를 높게 평가받는다는 것을 확인할 수 있었다. 연구결과에 따르면, 중소기업에게도 ESG 평가지표의 활용이 필요함을 제시하고, 중소기업의 성장을 도모하기 위해서는 중소기업의 기업가치를 재조명하는 방안을 연구하는 것이 필요함을 제언한다. 따라서, 본 연구는 중소기업의 ESG 경영과 기업가치의 관계에 대한 이해를 통해 중소기업의 ESG 경영 전략 수립 방안이 필요하다는 점과 ESG 정보공시를 위한 노력이 곧 중소기업의 정보 비대칭성을 해결하는 데 도움이 될 수 있음을 시사한다.

빅데이터 품질이 기업의 경영성과에 미치는 영향에 관한 연구 (A study on the Effect of Big Data Quality on Corporate Management Performance)

  • 4차산업혁명시대에 정보통신기술의 비약적인 발전, 고객구매 성향의 다양함, 복잡함은 산업 전체적으로 데이터의 양적 중가를 가져와 '빅데이터' 시대를 맞이하게 되었다. 빅데이터 시대는 데이터를 분석, 활용하여 기업의 전략적 의사결정에 활용하는 것이 기업의 핵심 역량으로 자리 잡게 되었다. 하지만 현재 빅데이터 연구들은 기술적 이슈와 미래 잠재 가치 중심이었다. 반면 기업이 보유한 내.외부 고객 빅데이터의 품질 및 활용 수준관리에 대한 연구와 논의는 부족하였다. 본 연구에서는 기업의 내.외부 빅데이터 품질관리 정보시스템 측면와 품질경영 측면으로 인식하여 영향요인을 도출하였다. 또한 빅데이터 품질관리, 빅데이터 활용 및 수준관리가 기업의 업무 효율화와 기업 경영성과에 유의한 영향을 미치는지 204명의 임직원 설문을 통해 조사하였고, 가설을 설정하여 검증하였다. 연구결과 경영층의 지원, 개인 혁신성, 경영환경변화, 빅데이터 품질활용 지표관리, 빅데이터 거버넌스 체계 마련이 기업 경영성과에 유의한 영향을 미쳤다.

ESG 안전 평가지표 개발에 관한 연구 (A Study on the Development of ESG Safety Evaluation Index)

  • 산업에서 발생할 수 있는 각종 위험을 발굴하고 제어하는 리스크관리에서 기업의 지속 가능한 발전을 목표로 ESG(환경·사회·지배구조)경영을 도입하고 있다. 앞으로는 기업 지속가능성에 대한 가치 판단 도구로써 ESG 평가가 더욱 활용될 것이다. 이러한 ESG 평가를 활용하여 기업의 사고 예방 정도를 관리하고 있다. 현행 ESG 평가체계에 대한 형태소 분석을 통하여 안전에 대한 평가항목을 분석하여, ESG에서 활용 가능한 정량적 '안전평가지표'가 미흡함을 알았다. 본 연구에서는 국내외 산업 사고 데이터를 분석하고 집중 관리가 필요한 '사고 기여 인자'를 도출했으며, 해당 결과를 기반으로 보완이 필요한 주요 안전관리 항목을 선정했다. 선정한 항목들은 '사고 예방 관리'에 적합한 평가 요소로 최적화시키는 과정을 거쳐, ESG 안전 평가지표를 개발하였다.
