A Study on the Clause of Uniform Commercial Code for Electronic Bills of Lading

  • In 2003, the Uniform Commercial Code(UCC) which is a kind of model law to unify commercial law between several states in US was amended to use electronic document of title including bill of lading. It is the second following the Australia legislation in 1996. Also, the Korean government amended Commercial Act and made the Presidential Decree for using electronic bill of lading in 2008. In this paper the authors reveal the characteristics of the clause of UCC for electronic bill of lading. The characteristics of the clause are on the technical neutrality of the signature, the possibility of reissuance in alternative medium, and adoption of the concept of "control." It helps to suggest some implications for Korean government authority. The authors suggest the amendment of the Presidential Decree to the Korean government authority to use additionally digital signature authorized by non Korean government such as VeriSign. It will activate the use of electronic bill of lading issued by Korea repositary out of Korea.

  • Among various export financing, Assignment of Receivables is very important. Various countries make use of this method. But Korean law system had shortage of International legal system. This paper looks into Opposing Rights on Assignment of Receivables relation to legal system. And this paper analyze not only detail Korean civil law system about Opposing rights on Assignment of Receivables but also comparative other International system. There are UNIDROIT Principles and United Nations Convention on the Assignment of Receivables in International Trade. Especially, Korean civil law system of Opposing rights on Assignment of Receivables compares UNIDROIT Principles system of Opposing Rights on Assignment of Receivables or United Nations Convention on the Assignment of Receivables in International Trade of Opposing Rights on Assignment of Receivables. In the context, This paper compares Korean civil law system about Assignment of Receivables with International standard rule about Assignment of Receivables. This is good for the commercial practice party in terms of financing and receivable assignment. Thus this paper will make direction to International Trade Practicer. There are argument on method of having an action or manual about international trade practice. The purposes of this are to examine revitalizing on Assignment of Receivables. And this paper deals with improvement of International Commercial Activation.

  • 본 연구는 정부의 전자상거래 활성화 종합대책의 일환으로 산업자원부가 추진하여 2000년 6월 17일 입법 공고되어 2001년 3월부터 시행된 대외무역법의 디지털제품(온라인거래)의 수출이입실적 인정 및 전자무역중개기관도입 관련조항 등의 개정내용을 중심으로 전자무역지원법령으로의 대외무역법이 개정되는 의미를 평가하고, 개정 내용의 조문에 나타난 문제점을 구체적으로 지적함으로써 실무자들로 하여금 적용상의 유의점들을 제시하고 향후 입법의 방향을 제시하는데 일조함을 목적으로 한다.

  • Arbitration is a consensual process in which a dispute is resolved by an impartial arbitrator outside the courts. Arbitration is flexible, neutral, time- and cost-efficient, and confidential. In 1985, the United Nations Commission on International Trade Law(UNCITRAL) enacted the UNCITRAL Model Law on International Commercial Arbitration to help countries reform and modernize their arbitration laws. In 1999, South Korea adopted the model law. Later in 2006, UNCITRAL amended the model law to promote international arbitration. The amended model law includes, among other things, specific provisions regarding interim measures. In 2016, in order to adopt the newly amended version of the model law, South Korea revised its Arbitration Act. The revised act includes a more comprehensive legal regime regarding interim measures, including definitions, types, processes, requirements, the court's recognition and enforcement, and liability. This paper examines the revision of the Arbitration Act of Korea and its legislative intent, presents the problems, and offers recommendations for resolving the problems.

국제상거래에서의 UNIDROIT원칙 적용에 관한 연구 - 국제물품매매계약에 관한 유엔협약(CISG)과의 비교를 중심으로 - (A Study on the Application of UNIDROIT Principles in International Commercial Transaction)

  • 국제상거래의 증가는 분쟁의 증가로 나타나 소송이나 중재로 명확히 반영되고 있다. 국제상거래의 중요성에도 불구하고, 최근까지 어떻게 법이 실제 무역관행과 상호작용하는지 잘 알지 못하고 있다. 전 세계에 걸쳐 소송과 중재법정은 국제물품매매계약에서 CISG를 준거법으로 적용하고 있지만, 해결되지 않는 문제점에 대한 국제 판례가 축적되고 있다. 이런 점에서 국제 판례법에 대한 유니렉스(UNILEX) 데이터베이스는 대표적인 사례라 할 수 있다. 오늘날 확실히 CISG가 국제상사계약에서 중요한 역할을 담당하고 있지만, CISG가 경성법(hard law)으로서의 특징 때문에 갖는 한계로 준거법 적용에 따른 문제가 있다. 이에 비하여 UPICC는 국제협약이나 법률이 아닌 국제상거래일반의 법의 리스테이트먼트(restatement)이다. 즉 연성법(soft law)으로서 UPICC는 CISG보다도 유연하고 포괄적이다. 따라서 본 연구는 UPICC 2010년 개정에 착안하여 2012년 8월 현재까지 유니렉스(UNILEX)에 포함된 CISG와 UPICC의 적용사례 통계를 비교 분석하여 UPICC가 CISG의 한계를 보완하는 기능을 담당할 수 있음은 물론이고, 더 나아가 국제상거래의 준거법으로서 적용에도 유용성이 있음을 밝혀 UPICC의 국제상거래에서의 적용을 촉진하고자 한다.

국제상사중재(國際商事仲裁)에서 준거법(準據法)의 결정(決定) (Determination of Governing Law in International Commercial Arbitration)

  • The governing law in international commercial arbitration may be divided into governing arbitration law and governing substantive law. The former governs the parties' arbitration agreement and the conduct of any subsequent arbitration. But the later governs the parties' substantive rights and obligations, which means the law that governs contract formation and performance, and the law to be applied by the arbitrator to the merits of the dispute. The purpose of this paper is to examine how to determine the substantive governing law when there is express choice or implied choice between parties. Moreover this author checked any restrictions on party autonomy and also any possibilities to deviate from the governing law. In case of express choice the sources of the law or rules of law might be the national law of one of the parties, the neutral law, the general principles of law or lex mercatoria according to the arbitration law selected by the arbitral tribunal. Some arbitration laws or rules empower the arbitrator to decide the case ex aequo et bono or to act as amiable compositions. If the governing law could be determined expressly or impliedly by the parties, the arbitral tribunal would make a selection. In this case the criteria for selecting a governing law are not exactly same from country to country. But failing any indication by the parties as to governing law, the arbitral tribunal should apply the rules of law, the law or the law under the rule of conflict that the arbitrators consider applicable, according to the governing arbitration law. Among the connecting factors offered by the conflict rules, (which means the factors that the arbitrators consider applicable), some legal systems give precedence to the formation of the contract, other system to the place of performance of the contract, and others to the closest connection or centre of gravity. But the Rome Convention, which unified the conflict rules of the contracting states, gives precedence to the law of the domicile of the party which has to effect the performance which is characteristic of the contract. Finally this author suggested the Choice of Law Clause which covers governing substantive law and governing arbitration law at the same time. Thus the UNIDROIT Principles as well as any national law may be included as a governing law in international arbitration. So when we make sales or service contract, we should take into consideration of the UNIDROIT Principles as a governing law or a supplement to the governing law.

  • This paper discusses the problem of extraordinary delay in the commercial arbitration process, increased arbitration fees, and denial of the benefits of arbitration to other parties due to the abuse of procedural rights by relevant parties in commercial arbitration process. This paper proposes measures to reduce abuse of process in commercial arbitration, such as statutory modification, judicial supervision, amendment of arbitration rules and the intervention of disciplinary bodies.
