Lotte Shopping Co. started its business from Lotte Department Store. From the beginning, Lotte Shopping Co. opened the largest department store and, since then, has expanded its business size through the processes of active developments of its own stores and merges and acquisitions of other companies. Currently, it operates a variety of retail shops such as department stores, discount stores, movies theaters, shopping malls, and supermarkets along with a TV home-shopping station and an online shopping mall. Lotte group, a business conglomerate Lotte Shopping belongs to, has an objective of becoming TOP 10 business group in Asia by 2018. Lotte group declared its vision statements in 2009 and has spent its effort to accomplish the goal. Lotte Shopping is implementing the group-level growth strategy through merges and acquisitions and diverse marketing programs. We will briefly investigate the current situation of Lotte Shopping and will then analyze its 1) entertainment shopping center and multi-channel strategy, 2) global market entry, and 3) education system.

지난 10년간 세계 농약산업을 이끌어온 농약메이저들간에 많은 변화가 있어왔다. 기업간의 합병, 인수와 미국달러(US$\$$)를 기준으로 한 매출액 순위도 매우 심한 변화를 보여왔다. 최근 농약전문지인 는 창간 10주년을 맞아 발간한 특집부록에서 1985년부터 94년까지 10년간 세계 농약 메이저회사들의 매출액 순위를 분석, 그들의 성쇠(盛衰)를 평가해 놓았다. 전문을 번역 소개한다.

이원진 한국어도비 신임 대표이사는 지난해까지 한국매크로미디어 지사장을 지내다 매크로미디어가 어도비에 인수 합병되면서 새롭게 어도비코리아의 리더가되었다. 매크로미디어 지사장으로 있을 당시 '뛰어난 기술력'과 '미래지향적인 비전'을 중요시 했기 때문에 앞으로의 어도비코리아의 행로에 많은 관심이 모아지고 있다. 이원진 어도비코리아 신임대표이사를 만나 앞으로의 계획을 들어봤다.

This research explores how different corporate cultures can influence the post-M&A performance of the airlines undergoing strategic M&A in Korea. The sample size of this research is 214 respondents that is strictly limited to the employees of airlines under M&A process, and CFA and SEM were employed for the statistical analysis. This research investigated that corporate cultures including group-oriented, development-oriented, and rationale-oriented will positively influence the post M&A performance of both efficiency and effectiveness through a mediation of collaboration during M&A process. In contrast, relations between grouporiented culture and interaction, interaction and effectiveness were not revealed positive influences. The findings of this research will provide valuable insights into the potential risks that can impede successful M&A within the M&A process, specially focusing on the conflicts between organizations stemming from different organizational cultures, which can have an adverse impact on M&A performance.

While relatively many researches have been performed on the legal issues of leverage buyout(LBO) in the Korean capital market, the on-going 'interdisciplinary studies' between the legal and the financial aspects of LBO financing structure seems to be relatively few so far. In this particular study, the concept and major financing structures on LBO have been discussed, by which domestic investors including institutional investors, may acquire in-depth knowledge on the issue given the dynamically changing circumstances surrounding the Korean domestic capital market. Moreover, legal analyses related to the conventional case studies on two types of LBO structures such as 'asset-backed LBO' and 'merger-related LBO', have been illustrated, coupled with the review of the previous literature on mergers & acquisitions(M&A) related to the financial aspects of LBO financing structure. From the director's perspective, who is employed by an acquired firm, legal issues in terms of 'fiduciary duty' and 'duty of loyalty' have been discussed, along with the logical scope of 'business judgement principle' in terms of modern finance theory.

1997년과 1998년 4월 1일자의 M&A제한규정이었던 증권거래법 제200조의 철폐와 적대적 M&A의 전면허용 그리고 외국자본의 투자제한의 간소화 등 규제완화조치와, 향후 외국인에 대해서 100%까지 주식을 매입할 수 있는 적대적 M&A가 허용될 것으로 보여 우리나라에서도 M&A활동이 보다 본격화 될 것으로 전망되고 있다. 우리나라에서는 1980년대부터 M&A에 대한 관심과 연구가 시작되면서 지금까지 기업합병ㆍ인수의 동기와 효과에 대해서 많은 연구가 이루어져 왔다. 지금까지의 연구내용은 대부분 기업의 M&A동기는 시너지효과를 얻기 위함이며, 또한 공시정보가 합병공시일 전후동안에 주가수익율에 반영되어 합병 당사기업의 주주의 부에 영향을 미치는지의 주가변화 유무에 국한된 것이었다. 또한 1985년부터 1991년 초 사이에 이루어졌던 연구는 당시 국내 M&A 환경이 매우 열악하고 극히 제한된 비정상적인 자본시장 상황 하에서 이루어진 사례에 의한 연구이었기 때문에 연구결과의 문제점과 한계성이 있었고, 실효성 측면에서도 다소 미흡하였다고 할 수 있다. 우리나라 M&A의 성장발전과정을 크게 2단계로 분류한다면, 제1단계는 1975년부터 시작하여 1990년까지로써 이 기간동안의 M&A환경은 그 여건조성과 성숙준비단계였으며, 제2단계인 1990년 초부터 비로소 선진국형 시장경제원리에 근거한 보다 경쟁적이고 자율적인 M&A 시장구조가 형성되면서 활성화 단계로 진입하였다고 볼 수 있을 것이다. 본 연구의 주된 목적은 1990년부터 1996년 사이에 이루어진 상장기업의 M&A 사례를 표본으로 하여 한국에서의 기업합병과 기업인수(주식취득)가 기업가치에 미치는 영향을 구명하는데 있다. 이를 위하여 먼저, M&A 당사기업의 합병성과 발생과 차이 유무를 주가수익율을 측정하여 실증분석하고 다음으로 M&A에 따른 시너지의 잠재적 원천이 어디에 있는지 재무성과분석을 통해서 이를 실증하는데 목적이 있다.PA-designated retailers ("sellers") must accept end-of-life items returned to them by the consumers. 본 연구에서는 교통부 자동차 등록 원시자료를 이용하여 자동차제작사가 직접 사용할 수 있는 사후관리를 위한 등록통계 시스템을 개발해서 결과를 제시하고자 한다. 특히 통계 활용범위를 극대화하도록 하기 위해 차명은 코드화로 작성하여 통합차명으로 표준화, 업계재편과정으로 인한 종전 자동차 제작사는 합병, 인수한 최종 자동차제작사에 통합, 단산 및 양산 차명별로 차령별분류, 시.군.구의 행정단위별의 통계정보 수록 및 자동차소유자의 구매성형분석을 위한 년령별분류외 15개 유형별로 개발결과를 제시함으로써 효율적이고 과학적인 통계를 산출할 수 있도록 하고자 한다.
