기업합병매수후 자산매각에 대한 실증분석

  • 본 연구는 기업합병매수후 자산매각(資産賣却)이 기업가치에 어떠한 영향을 미치는가를 분석한다. 특히, 기업합병매수후에 자산이 매각될 때의 기업가치에 대한 영향과 기업합병매수와 관련이 없이 자산이 매각될 때의 기업가치에 대한 영향을 비교하여 어떠한 차이가 있는지를 파악하고자 한다. 이러한 분석을 위해 본 연구는 Shleifer와 Vishny(1991)가 정의한 자대매각(資臺賣却)의 유동성비용(流動性費用)(Liquidity Cost of Asset Sale)이라는 개념을 원용하였다. 그들은 자산매각의 유동성비용을 어떤 자산의 급매가치(急賣價値)와 최적활용시(最適活用時) 그 자산이 가져다주는 현금흐름의 순현재가치와의 차이(差異)라고 정의하고 있다. 또한 그들은 어떤 기업이 재무적(財務的) 곤경(困境)에 처해 있을 때 자산매각의 유동성비용이 매우 높다는 것을 보였다. 이러한 개념하에 자산매각이 기업합병매수후 발생할 때 자산매각의 유동성비용이 보다 높은지 여부를 분석하였다. 이를 위해 1982년부터 1989년까지 1,185개의 자산매각 사건들을 합병매수후 자산매각 사건과 합병매수와 관련이 없는 자산매각 사건으로 분류하여 시장위험조정수익률(市場危險調整收益率) 모형(模型)과 시장모형(市場模型)을 이용하여 두표본집단간의 주가변화의 차이를 분석하였다. 그 결과 두집단모두 자산매각에 의해 통계적으로 유의한 정(正)의 초과수익(超過收益)을 보이지만, 기업합병매수후 자산이 매각될 경우가 기업합병 매수와 관련이 없는 경우에 비해 통계적으로 낮은 초과수익을 보이고 있다. 이러한 차이를 본 연구에서는 기업이 합병매수후 겪고 있는 재무적 곤경을 피하기 위해 자산을 신속히 매각하였기 때문에 발생한 유동성 비용이라 해석하고 있다.

A Study on the Evaluation and Improvement of Rental Housing Asset Securitization in Korea: Case Study on Korea Land and Housing Corporation (임대주택 자산유동화 사례평가 및 구조개선사항 연구)

  • This study aimed to assess the rental housing ABS in Korea, and to suggest ways of improving the structure of existing rental housing ABS. Thus, the three major assessment for existing public rental housing ABS case can be summarized as follows : First, when viewed in terms of the accounting treatment, rental housing ABS which use the future receivables as underlying asset, can not enjoy off-balance-sheet effect. Second, when viewed from the point of financing costs, the rental housing ABS interest rate being higher than unsecure bond is very unreasonable nevertheless the ABS being off-balanced. Third, when viewed from the liquidity effect, the originator (LH) use the ABS as a means of diversifying funding in a serious liquidity crisis situation. The Improvement of rental housing ABS based on the evaluation results can be summarized into two broad. First, it is a plan to handle the off-balance-sheet effect in a way of changing the accounting treatment of rental payment. Second, it is a plan to reducing the structuring cost and interest rate in ways of multi-asset securitization structure, self-trust structure, and adopting legal CB structure.

  • 본 연구는 거래비용이 최적 소비 및 투자결정에 미치는 영향을 다루고 있다. Constantinides (1986), Davis와 Norman(1990) 그리고 Shreve와 Soner(1994) 등은 위험이 없는 하나의 유동성 자산과 현금배당이 지급되지 않는 하나의 비유동성 자산이 존재하는 경우에 있어서 소비와 포트폴리오 선택문제를 연구한 바 있다. 본 연구는 이러한 기존연구들을 확장하여 다수의 유동자산과 현금배당이 지급되는 하나의 비유동성 자산이 존재하는 경우의 최적 소비 및 투자결정 문제를 다루고 있다. 투자자의 비유동성 자산에 대한 잠재가치(implicit value)평가와 소비 및 투자결정간의 관계식을 구하여 이를 적용해 본 결과, 투자자의 최적 소비 및 위험부담(risk taking) 수준은 일반적으로 그들의 포트폴리오상에 유동성 자산의 비율이 증가할수록 증가한다는 사실을 확인할 수 있었다. 또한 거래비용이 존재하는 경우에는 기업의 배당정책이 투자자의 최적 소비 및 투자결정에 중요한 영향을 미치는 것으로 확인되었다.

  • The purpose of the study is to know the current status of the assets backed securities(ABS) in Korea. ABS enables banks, depository institutions, finance companies, and other corporations to liquefy their assets (i.e., raise cash by borrowing against assets) and develop new sources of capital. ABS are bonds that represent pools of loans of similar types, duration and interest rates. By selling their loans to SPC, the originator recover cash quickly, enabling them to make more loans. The ABS market in Korea has grown so rapidly since Financial Crisis in Korea. In current, So many different types of loans are securitized and sold in the investment markets. For more prospering ABS in Korea, some problems in ABS should be make up.

Interaction Analysis between Construction Business Indicators and Business Performance Indicators of Specialty Contractors providing Labors (노무중심 전문건설업체의 건설경기지표와 경영성과지표의 상관성 분석)

  • This study is to suggest strategies of specialty contractors that provide labors oriented engineering service by interaction analysis between construction business indicators and business performance indicators. For specialty contractors that mainly provides labor oriented engineering service, the amount of construction orders imposes lasting impact to the turnover ratio of current assets supposedly because they are operating current assets to secure labor. In other words, this type of specialty contractors are focused on mobilization of labor not materials or equipment. So, it is determined that they will be able to increase revenue by operating current assets to address current liabilities and labor mobilization.

  • This study is to suggest specialty contractors with countermeasures to construction orders falling off, one of the construction business indicators for the construction industry, by analyzing the impact of dwindling construction orders to business performance indicators of specialty contractors as well as identifying inter-relationships between those performance indicators. To do this study, a data was analyze for construction business indicators and business performance indicators of specialty contractors providing heavy equipment. For specialty contractors that provide and utilize heavy equipment, the amount of construction orders is imposing a lasting impact to the turnover ratio of current assets. Therefore, it is determined that a business strategy needs to be established in order to secure current assets to respond to decrease in construction orders.

  • This study is about whether the new Project Finance scheme called "Asset Backed Short Term Bond(ABSTB)" with Project Finance Guarantee Cover provided by Korean Exim Bank(KEXIM) is an appropriate and valid financing structure, through close examinations on domestic and overseas IPP case studies. This study clearly indicates that (i) the interest rate of ABSTB with KEXIM's Project Finance Guarantee is relatively more competitive than the interest rate of other ABSTB guaranteed by EPC Companies (ii) the lower credit rated EPC companies make higher ROE(Return on Equity) through this financing structure. Lastly, Korean EPC Companies can secure profitability through this innovative financing scheme which will also lead to winning more power plant Contracts and become globally competitive.

The Financial Status of Single Households (독신가구의 재정상태 분석)

  • This study attemped to analyze the financial stati of single households. The financial stati of single households were analyzed using the income and expense stati, balance sheet status and selected financial ratios as components. The data of 757 single household's from the 1998 Korean Household Panel Study were utilized. The major findings are summarized as follows; 1. Male single households had higher income and expense stati than those of females but lower holdings of other asset with the exception of liquid assets. Single elderly households had the highest holdings of both real assets and debt. 2. Usually single households were retained more short-term than long-term liquid assets. The debt burden ability in using net assets was the lowest of all assets. To accumulate capital those in single household were more likely to have savings than investment assets.

  • This study presents the results from an investigation into ABS to revitalize small and medium construction enterprises, and to analyze merits and demerits of ABS introduction using sensitivity analysis some realistic cases. According to some available procedures, this study suggests ABS introduction structure of new education facilities construction in BTL projects of two different types. In order to analyze the effectiveness of introduction, a model was built as new education facilities construction in this paper. In addition, this study tried to put a figure on finance interest changes by analyzing changes for earning rates and money that payed by the government. Moreover, this study also presents merits and demerits of ABS introduction.
