A Case Study of Post-Merger IT Integration Methodology on Cross-Border Mergers and Acquisitions (해외기업 인수합병 시 정보시스템 통합 방법론에 관한 사례연구)

  • Recently, Mergers and Acquisitions (M&A) have become increasingly popular in the last few decades, and overseas' M&A are particularly increasing to sharpen corporate competitiveness on a global scale. Previous studies showed that one of the main reasons attributes to failures of mergers was the lack of attention to merging information systems. In recent years, both academy and industry have more focused on Post-Merger Integration (PMI) and the integration of information systems (IS) between two companies is one of the critical success factors of corporate. This paper focused on Post-Merger IT (Information Technology) Integration Methodology of Cross-Border M&A. We followed a single-site qualitative case study method in order to investigate the type of phenomenon in M&A's natural setting. Moreover, we examined a typical energy and power company case in order-based industry, so that other industry players may have different results to determine post-merger IT integration method and scope.

INTERNATIONAL TAKEOVERS: A COMPETITIVE ACQUISITION MARKET (국제기업합병: 경쟁적 인수시장)

  • This study investigates the wealth effect of foreign acquisition of U.S. based firms. Contrary to previous studies, this analysis demonstrates that after appropriate control of domestic-acquired targets, the wealth gains to the shareholders of targets in foreign takeovers are similar to those in domestic takeovers. This paper investigates the validity of the competitive acquisition market in cross-border takeovers and concludes that : 1) in cases of inward foreign direct investment into the U.S., foreign firms do not realize significant net benefits from acquisitions; and 2) the foreign acquirer is as well informed as its U.S, counterparts about the target's market. The results of this study are consistent with the view that each country has different motivations for investing in the U.S. market. Consider, for example, Japan. The evidence suggests that Japanese companies pay a considerable price for U.S. targets which have performed poorly before the takeover. While there is no specific rationale to explain why Japanese firms buy the most volatile and worst performing firms, international barriers may provide a possible reason for these anomalies. Overall, the evidence of this paper supports the view that foreign takeovers occur in a competitive acquisition market.

  • 2000년대 이후 국내 통신시장이 인수합병을 통해 주요 사업자로 재편되면서 유무선과 차세대 신규 서비스를 중심으로 통신사업자간 경쟁이 치열하게 전개되고 있다. 통신사업자간 경쟁은 개별 서비스간 경쟁을 넘어 에코시스템의 경쟁으로 부상하고 있으며 이에 따라 요금경쟁, 결합서비스 제공경쟁, 신규 서비스 설비경쟁을 통한 고객지향적인 비즈니스 전략이 기업의 핵심전략으로 부각되고 있다. 이러한 시장에서의 경쟁은 사업자의 재무상황에 영향을 미치고 있다. 특히 국내 통신시장이 대부분 성숙기에 진입, 재무적 측면에서 매출이 정체되는 상황에서 마케팅 비용이 급증하는 현상이 나타나고 있다. 이에 본 고에서는 국내 주요 유무선 통신사업자의 재무추이를 분석하고 우리나라 통신시장의 지속적인 성장을 위한 시사점을 제시하였다.

  • 기업의 성장동력 전략으로 내부 개발역량에 의존하는 자생적/유기적(Organic Growth) 방식과 전략적 제휴나 인수/합병을 통해 외부 자원을 활용하는 비유기적 성장(Inorganic Growth) 방식을 나눌수 있다. 하지만 이러한 혁신전략 안에는 성공과 실패가 공존하고 있으며 특히 최근에는 조직내 혁신을 달성하기 위해 연구 및 개발, 상용화에 이르기까지 혁신 과정을 개방하여, 외부 자원을 적극활용함으로써 혁신의 비용을 줄이고 성공가능성을 높여 부가가치 창출을 극대화하는 혁신활동중 하나로 개방형혁신(Open innovation)을 많이 활용 하고 있다. 하지만 더 나아가 사업의 지속 가능한 성장을 위해서는 External Organic Innovation을 같이 활용하는 새로운 혁신전략 활동 전개가 필요하다. 그래서 본 연구에서는 이러한 혁신 전략들의 성공-실패 사례분석을 통해 4차 산업혁명시대에 맞는 혁신전략을 살펴보고자 한다.

A Study on the Determining Factors and Strategies to the Globalization of Logistics Service Providers in Korea (한국물류기업의 국제네트워크 구축요인 및 방안에 관한 연구)

  • The purpose of this study is to investigate the motivating factors determining global logistics network construction and to suggest the most suitable solution for the Korean logistics providers in order to facilitate effectively in global logistics network. The major findings are as follows ; Firstly, 'the factor of network' would be the most essential element for the Korean logistics providers. Secondly, we discovered that among various types of global logistics networks, 'Strategic Alliance' would be the most suitable type for the Korean logistic providers. This study provides the basic information for enhancing global logistics network construction to logistics providers and the Korean government respectively. It also suggests that the implication of Government policy to support global logistics networking business for the Logistics providers should be concentrated on supporting and encouraging M&A among the local logistics partners.

Union Substitution Strategy and Human Resource Management by Non-Unionized Valero Energy Co. (비노조기업 Valero Energy의 노조대체전략과 인적자원관리)

  • This study is a case study about the Valero Energy Corporation, the largest American independent refinery company, examining the characteristics of human resource management as a union avoidance strategy. The main research questions here are whether union substitution strategy differs clearly from union suppression strategy in the context of Valero Energy. Since the establishment in 1980, the Valero had maintained non-union tradition. The typical examples of human resource management in the non-unionized American companies are easily found in the Valero, such as strong CEO leadership, manpower policy emphasizing corporate culture and teamwork, direct communication between company and individual employees, no lay-off policy and no outsourcing policy of HRM, salary level around average of industry and best level of fringe benefits in the industry, non-union tradition and well-functioned alternative dispute resolution system and so on. Until now, based on tremendous growth and profitability, the company have applied union substitution method adopted by good companies as concrete method of union avoidance strategy instead of union suppression method that marginal enterprise prefers.

Types and Structure of Chinese Companies Outward Foreign Direct Investment (중국기업의 해외직접투자 유형과 구조)

  • This study attempted to understand the characteristics of foreign direct investment by Chinese companies from the perspective of Dunning's OLI paradigm. This development of OFDI by Chinese companies was influenced by the Chinese government's policy, internal factors of the Chinese economy, and the economic and institutional environment of the investment target country. The characteristic of Chinese companies' OFDI is that investment in developed countries is gradually increasing amid regional concentration in Asia. And the proportion of tertiary industries is high, In the meantime, the structure of the secondary industry is changing. In addition, Chinese companies are gradually expanding and showing characteristics by considering the economic and political factors of the investment target country in the selection of overseas investment areas, and then selecting areas with little cultural difference from China's system. This characteristic of OFDI by Chinese companies is basically evaluated to be in line with the OLI paradigm of Dunning. However, the difference is that Chinese companies' OFDI not only advances in overseas investment using the strengths of companies, but also advances in investment to compensate for their shortcomings.

  • Korean government recently plan to transform Korean economic system into so called "creative economy" in which entrepreneurial activities play major role. Therefore, a large number of new public support program for entrepreneurs have been announced. On the other hand, there has been growing needs for fairness of economy: large companies are regarded to have abused their negotiating power so far. These two very apparent social trend may require active role of large companies to develop sustainable entrepreneurial ecosystem in Korea. In this study, the author tries to review current situation and to find what would drive active participation of large companies as seen in other countries.

한국기업의 M&A 조회공시의 효율성: 일반 투자자들의 관점

  • 본 연구에서는 기업의 인수 합병(M&A)과 관련하여 풍문 설이 유포되었을 때 사건연구 방법을 사용하여 조회공시를 확인, 부인, 혹은 검토의 유형별로 분석하여 공시의 정확성과 효용성(정보전달 효과)을 살펴보고, 공시가 적시성이 있는지를 살펴보았다. 본 연구의 실증분석에 따르면 조회공시는 대체적으로 효율적이지 못하다고 결론지을 수 있다. 우선 공시의 적시성에 있어서는 조회 공시일 이전에 주가 수익률이 급격하게 상승함으로 미루어 증권시장에 풍문이 난무하여 공시가 충분히 신속하지 않았다고 할 수 있다. 공시의 정확성과 그 효용성 측면에서 보면 부인공시의 결과는 결코 합리적이지 못하다. 즉, 부인공시는 정확하지만 정보로서의 효용성이 없다. 그런데, 조회공시 유형별로 정보전달 효과는 조금씩 차이가 있어 일반 투자자들에게 투자 전략적으로 시사하는 바가 있다. 확인공시의 경우는 공시 전에는 주가의 상승정도가 미미하여 부인공시의 경우보다 적지만 공시내용의 확인을 거치면서 주가가 꾸준히 상승하여 부인공시의 수익률을 초월하여 제한적이지만 정보의 효용성이 있었다. 한편 검토 중 공시의 초과수익률은 확인공시나 부인공시의 경우보다 항상 낮게 나타나 증권시장에 퍼져있는 풍문이 사실과 거리가 있을수록 관련된 투자자들이 초과수익을 더 높일 수 있다는 비합리적인 주장을 뒷받침 한다. 결론적으로 조회공시 유형별로 정보전달 효과를 살펴보았을 때 M&A의 풍문에 대하여 사실무근이라는 유권해석이 투자자의 초과수익률에 나쁜 방향으로 작용하지 않는다는 것이다.

The Efficiency of the Large Logistics Providers Using the SBM Model and the Panel Cointegrating Vectors (여분기반분석모형과 패널공적분벡터를 이용한 대형물류기업의 효율성)

  • A voluminous research on efficiency employs the DEA(Data Envelope Analysis) models. There are, however, only very few that have an interest in the factors influencing such efficiencies. We, furthermore, do not see any studies which analyze the long-term efficiency of the logistics providers using the panel cointegration techniques. The purpose of this paper, hence, is to evaluate the efficiency, analyse its determinants and show a long-term relationship between turnover and the other variables employing the SBM(Slack Based Measure) model, Tobit model, the panel procedure and the FMOLS(Fully Modified OLS). The panel data are composed of 9 individuals and 6 years. The panel cointegrating vectors show that the group coefficient of asset and employees is not only significant but has expected signs, while some of the individual coefficients are insignificant or/and exhibit wrong signs. The panel cointegrating vectors from fully modified OLS also indicate that the estimated coefficients of the panel analysis tend to be overvalued and the asset influences the turnover far greater than the employee does.
