FIDIC 표준하도급 계약조건 핵심 리스크 세부조항 도출 (Deriving Key Risk Sub-Clauses of FIDIC Conditions of Standard Subcontract -Based on FIDIC Conditions of Subcontract for Construction, edition 2011-)

  • 최근 해외건설시장에 참여하고 있는 국내 중소하도급업체들은 하도급계약조건 중 리스크 세부조항의 중요성을 인식하지 못하여 지속적인 손해와 피해를 받고 있다. 따라서 하도급계약조건의 리스크 세부조항 도출의 필요성이 제기되었지만, 지금까지 선행연구는 발주자와 시공자간 표준건설계약조건의 리스크 세부조항 도출 위주의 연구만 수행하였다. 본 연구에서는 국제컨설팅엔지니어연맹(FIDIC)에서 발행한 2011년 표준하도급 계약조건 94개 세부조항을 대상으로 델파이기법을 통해서 세부조항의 영향력 크기를 기준으로 52개의 리스크 세부조항을 도출하였다. 또한, 최종적으로 발생도 및 영향도의 PI Risk Matrix를 통해서 33개의 핵심 리스크 세부조항을 도출하였다. 이러한 본 연구결과는 해외 하도급 건설공사 입찰 및 계약 체결 단계에서 계약적 리스크 최소화를 위해서 선행 검토가 필요한 핵심 리스크 세부조항에 대한 유용한 정보를 제공 할 것이다.

  • The author believes that the main task of study in international trade usage and practice is the management of transactional risks involved in international sale of goods. They are foreign exchange risks, transportation risks, credit risk, risk of miscommunication, etc. In most cases, these risks are more serious and enormous than those involved in domestic sales. Historically, the merchant adventurers organized the voyage abroad, secured trade finance, and went around the ocean with their own or consigned cargo until around the $mid-19^{th}$ century. They did business faceto-face at the trade fair or the open port where they maintained the local offices, so-called "Trading House"(商館). Thererfore, the transactional risks might have been one-sided either with the seller or the buyer. The bottomry seemed a typical arrangement for risk sharing among the interested parties to the adventure. In this way, such organizational arrangements coped with or bore the transactional risks. With the advent of ocean liner services and wireless communication across the national border in the $19^{th}$ century, the business of merchant adventurers developed toward the clear division of labor; sales by mercantile agents, and ocean transportation by the steam ship companies. The international banking helped the process to be accelerated. Then, bills of lading backed up by the statute made it possible to conduct documentary sales with a foreign partner in different country. Thus, FOB terms including ocean freight and CIF terms emerged gradually as standard trade terms in which transactional risks were allocated through negotiation between the seller and the buyer located in different countries. Both of them did not have to go abroad with their cargo. Instead, documentation in compliance with the terms of the contract(plus an L/C in some cases) must by 'strictly' fulfilled. In other words, the set of contractual documents must be tendered in advance of the arrival of the goods at port of discharge. Trust or reliance is placed on such contractual paper documents. However, the container transport services introduced as international intermodal transport since the late 1960s frequently caused the earlier arrival of the goods at the destination before the presentation of the set of paper documents, which may take 5 to 10% of the amount of transaction. In addition, the size of the container vessel required the speedy transport documentation before sailing from the port of loading. In these circumstances, computerized processing of transport related documents became essential for inexpensive transaction cost and uninterrupted distribution of the goods. Such computerization does not stop at the phase of transportation but extends to cover the whole process of international trade, transforming the documentary sales into less-paper trade and further into paperless trade, i.e., EDI or E-Commerce. Now we face the other side of the coin, which is data security and paperless transfer of legal rights and obligations. Unfortunately, these issues are not effectively covered by a set of contracts only. Obviously, EDI or E-Commerce is based on the common business process and harmonized system of various data codes as well as the standard message formats. This essential feature of E-Commerce needs effective coordination of different divisions of business and tight control over credit arrangements in addition to the standard contract of sales. In a few word, information does not alway invite "trust". Credit flows from people, or close organizational tie-ups. It is our common understanding that, without well-orchestrated organizational arrangements made by leading companies, E-Commerce does not work well for paperless trade. With such arrangements well in place, participating E-business members do not need to seriously care for credit risk. Finally, it is also clear that E-International Commerce must be linked up with a set of government EDIs such as NACCS, Port EDI, JETRAS, etc, in Japan. Therefore, there is still a long way before us to go for E-Commerce in practice, not on the top of information manager's desk.

브랜드 선호에 따라 제휴 로열티 프로그램 가입이 가맹점 브랜드 충성도에 미치는 영향 (Effects of Joining Coalition Loyalty Program : How the Brand affects Brand Loyalty Based on Brand Preference)

  • 제휴 로열티 프로그램(coalition loyalty program; 이하 CLP라고 한다)이란 하나의 로열티 프로그램 안에 다수의 제휴 기업들이 참여하며, 이들과 독립된 (로열티 프로그램 운영)기업이 관리하는 로열티 프로그램으로 정의된다(Blattberg 등 2008). 본 연구의 목적은 고객의 브랜드에 대한 사전 선호 수준에 따라, CLP가 고객 충성도를 증가시키는 원인과 제휴 네트워크 안의 주체 간 인식의 전이에 차이가 있을 것임을 밝히는 데에 있다. 고객 충성도의 동기는 전환장벽(switching barrier) 관점(Balabanis 등 2006; Colgate와 Lang 2001; Jones 등 2000)에 따라 자발적인 이유(브랜드 매력도)와 비자발적 이유 (브랜드 전환비용)로 설명하였다. CLP안에서 브랜드(비선호)-CLP-브랜드(선호)간 전이효과(spillover effect)는 인지적 일관성(Aaker과 Keller 1990; Hamilton 등 1989)과 정보 통합 이론(Anderson 1981; Simon과 Ruth 1998)을 적용하였다. 연구 결과는 다음 세 가지로 학문적 실무적 의의를 갖는다. 첫째, 브랜드에 대한 사전 태도에 따라 정보처리 경향이 달라진다는 소비자 행동 연구의 견해를 CLP 제휴 상황에서 검증하였다. 고객은 브랜드 선호가 높을수록 자발적 동기를 강화하고, 반대의 경우 비자발적 동기를 강화한다. 둘째, 브랜드에 대한 사전 태도가 해당 브랜드와 연관된 주체 간 인식 전이에 긍정적 조절효과를 함을 검증하였다. 즉 선호 브랜드와 어떤 주체가 연관될 때(비선호 브랜드와 연관된 경우에 비해) 인식의 전이가 더 많이 발생한다. 셋째, 기업이 CLP가입에 대한 전략적 선택을 할 때 마케팅 목적에 따라 고려해야할 사항이 달라진다. 기업의 목적이 충성고객의 유지라면, 로열티 프로그램 자체의 보상 방식과 활용 방식 등이 고려되어야한다. 하지만 목적이 비충성고객의 확보라면, 유명 브랜드의 제휴 여부를 따져야 한다. 또한 기업은 CLP의 효과(브랜드 충성도)에 안주할 것이 아니라 그 원인을 알아야 하는데, 비선호 브랜드처럼 비자발적 동기 강화에 따른 충성도 증가는 장기적으로 바람직하지 못하다는 견해가 있다(Egans 2001).

한국수산업의 해외진출전략에 관한 연구 (Foreign Entry Strategies for Korean Fishery Firms)

  • Fishery resources are still abundant compared with other resources and the possibility of exploitation is probably great. The Korean fishery industry has grown remarkably since 1957, and Korea is ranked as one of the major fishery countries. Its of fishery products reached the 9th in the world and the value of exports was 5th in 1982. But recently a growth rate has slowed down, due to the enlargement of territorial seas by the declaration of the 200 mile, Exclusive Economic Zone, the tendency to develop fishery resources strate-gically in international bargaining, the change in function of the international organizations, the expansion of regulated waters, the illegal arrest of our fishing boats, the rapid rise in oil prices, and the fall in fish prices, the development of fishery resources as a symbol of nationalism, the fishing boats decreptitude, the rise of crew wages, regulations on fishing methods, fish species, fishing season, size of fish, and mesh size, fishing quotas and the demand of excessive fishing royalties. Besides the the obligation of coastal countries, employing crews of their host countries is also an example of the change in the international environment which causes the aggravation of foreign profit of fishing firms. To ameliorate the situation, our Korean fishery firms must prepare efficient plans and study systematically to internationalize themselves because such existing methods as conventional fishing entry and licence fishing entry are likely to be unable to cope with international environmental change. Thus, after the systematic analysis of the problem, some new combined alternatives might be proposed. These are some of the new schemes to support this plan showing the orientation of our national policy: 1. Most of the coastal states, to cope with rapid international environmental change and to survive in the new era of ocean order, have rationalized their higher governmental structure concerning the fishery industries. And the coastal countries which are the objectives of our expecting entry, demand excessive economic and technical aid, limit the number of fishing boats’entry and the use of our foreign fishing bases, and regulate the membership of the international fishery commissions. Especially, most of the coastal or island countries are recently independent states, which are poorer in national budget, depend largely on fishing royalties and licence entry fees as their main resources of national finance. 2. Alternatives to our entry to deep sea fishing, as internationalization strategies, are by direct foreign investment method. About 30 firms have already invested approximately US $ 8 million in 9 coastal countries. Areas of investment comprise the southern part of the Atlantic Ocean, the Moroccan sea and five other sea areas. Trawling, tuna purse seining and five other fields are covered by the investment. Joint-venture is the most prominent method of this direct investment. If we consider the number of entry firms, the host countries, the number of seas available and the size of investment, this method of cooperation is perhaps insufficient so far. Our fishery firms suffer from a weakness in international competitive ability, an insufficiency of information, of short funds, incompetency in the market, the unfriendliness of host coastal countries, the incapability of partners in joint-ventures and the political instability of the host countries. To enlarge our foreign fishing grounds, we are to actively adopt the direct investment entry method and to diversity our collaboraboration with partner countries. Consequently, besides proper fishing, we might utilize forward integration strategies, including the processing fied. a. The enterprise emigration method is likely to be successful in Argentina. It includes the development of Argentinian fishing grounds which are still not exploited in spite of abundant resources. Besides, Arentina could also be developed as a base for the exploitation of the krill resources and for further entries into collaboration with other Latin American countries. b. The co-business contract fishing method works in American territorial seas where American fishermen sell their fishery products to our factory ships at sea. This method contributes greatly to obtaining more fishing quotas and in innovation bottom fishing operation. Therefore we may apply this method to other countres to diffuse our foreign fishing entry. c. The new fishing ground development method was begun in 1957 by tuna long-line experimental fishing in the Indian Ocean. It has five fields, trawling, skipjack pole fishing and shrimp trawling, and so on. Recently, Korean fisheries were successful in the development of the Antarctic Ocean krill and tuna purse seining. 3. The acceleration of the internationalization of deep sea fishing; a. Intense information exchange activities and commission participation are likely to be continues as our contributions to the international fishery organizations. We should try to enter international fishery commissions in which we are not so far participating. And we have to reform adequately to meet the changes of the function of the international commissions. With our partner countries, we ought to conclude bilateral fishery agreements, thus enlarging our collaboration. b. Our government should offer economic and technical aids to host countries to facilitate our firms’fishery entry and activities. c. To accelerate technical innovation, our fishery firms must invest greater amount in technical innovation, at the same time be more discriminatory in importing exogeneous fishery technologies. As for fishing methods; expanded use of multi-purpose fishing boats and introduction of automation should be encuraged to prevent seasonal fluctuations in fishery outputs. d. The government should increases financial and tax aid to Korean firms in order to elevate already weak financial structure of Korean fishery firms. e. Finally, the government ought to revise foreign exchange regulations being applied to deep sea fishery firms. Furthermore, dutes levied on foreign purchaed equipments and supplies used by our deep sea fishing boats thould be reduced or exempted. when the fish caught by Korean partner of joint-venture firms is sold at the home port, pusan, import duty should be exempted.

부산항 경쟁력 강화를 위한 운영체제 개선에 관한 연구 (Study on Operating System Improvements to the Competitiveness of Busan Port)

  • 본 논문은 부산항 경쟁력 강화를 위한 운영체제 개선방안 도출을 위해 운영사 통합 측면에 집중하여 그 대안을 모색하였다. 그 결과 통합에 따른 가치평가 기준과 통합시기에 대한 로드맵 마련, BPA의 통합 참여여부, 범위와 역할 설정 및 북항 신항 운영사 통합과정의 분리와 연계 추진을 그 대안으로 제시하였다. 구체적으로 살펴보면 다음과 같다. 첫째, 통합에 따른 가치평가 기준은 국제기준을 적용하되, 참여기업의 재무상황, 영업실적, 수익성과 같은 양적 요소와 경영능력, 기술력, 노사관계 등과 같은 질적 요소를 동시에 고려해야 한다. 둘째, 통합시기는 북항과 신항을 분리하여 추진할 수 있지만 단기적으로 북항 운영사 통합을 우선적으로 고려하되 신항 2-4, 2-5, 2-6단계 개장 시기와 연계하여 추진하고 신항 운영사 통합은 비교적 장기적 관점을 가지고 추진할 수 있는 로드맵을 제시하는 것이 바람직하다. 셋째, BPA의 통합운영사 참여는 각 터미널간 정책적 조정자로서 공공성과 K-GTO(Korean global terminal operator) 육성을 통한 해외사업 진출이라는 수익성 추구라는 2가지 측면에서 함께 고려하되, 출자지분의 제한과 국적, 외국적 운영사 구분에 구애받지 않고 터미널 운영사업의 경험과 기술을 최대한 확보할 수 있도록 참여범위와 역할을 제시하였다. 넷째, 북항 신항 운영사 추진방안으로 북항 운영사의 단일법인 형태로의 물리적 통합이 어렵기 때문에, 초기에는 특수목적법인(Specail Purpose Company, SPC)을 설립하여 통합운영의 효과를 기대하고 참여 운영사들이 국가나 부산항만공사와 체결한 부두임대 계약기간의 종료시기 등을 감안하여 지주회사 형태로 전환한 후 최종적으로는 단일법인으로 합병해 나가는 방안을 제시하였다. 끝으로 본 연구에서 제시한 운영사 통합 추진이 부산항 운영상의 문제를 모두 해결할 수 있는 대안이 될 수는 없지만 최소한 근본적인 문제 해결을 위한 접근으로는 평가될 수 있으며, 물리적 통합에 집착하지 않고 현실적으로 실현가능한 통합방안을 모색하는 것이 필요하다고 사료된다.
