중국기업의 해외 인수 합병의 성과 결정요인 (The Performance Determinants of Chinese overseas M&A)

  • 본 연구는 중국의 해외 인수 합병 현황과 영향 요인에 대한 관련 이론과 기존의 연구를 살펴본 뒤 중국기업의 해외 인수 합병의 성과에 미치는 영향을 실증분석 하였다. 분석의 결과 과거성과, 인수지분율, 국유지분율, 문화적 차이는 성과에 정의 영향을 미치는 것으로 나타났으며 문화적 차이가 클수록 과거성과의 인수합병의 성과에 미치는 영향이 크게 나타나는 중재효과가 있음을 보이고 있다. 그러나 조직 연령, 수출비중, 잉여현금흐름은 유의한 영향을 미치지 않고 있다.

  • Purpose-This paper aims to do research on success and failure of Chinese enterprises and suggest the implications to the Chinese enterprises by comparing the representative examples of Chinese enterprises' overseas M&A. Research Design, Data, and Methodology-This paper selected by six cases of Chinese enterprises' overseas M&A to do the contrast. Results-Consulting company still plays a very important role in Chinese enterprises' overseas M&A because Chinese enterprises' overseas M&A is being placed in growth stage. And how to grasp the development trend of industry accurate and choose the correct target enterprises is a very important issue for Chinese enterprises which can make Chinese enterprises to avoid blind investment. Conclusion-Chinese Enterprises have to evaluate the target enterprise with the aid of authoritative investment and consulting company, focus on training qualified talents and the integration after the M&A when they Overseas M&A in the future.

Political Connection, M&A and Enterprise Performance: Evidence from China Listed Companies

  • Based on the samples of the Chinese listed companies, this paper studies the influence of political connection on enterprises M&A. We show that the political networks of the listed corporations in China considerably affect their M&A activities. More and greater M&A appear on the companies with political connection. The government mostly influences the political connections on the enterprises M&A. Moreover, we try to find out how much political connection affect the results of the enterprises M&A. Our study can contribute to a new aspect of the political connection in literature, as well as its fiscal consequences in China.

Piracy of China's Trade Marks and Domain Names and Cultivation of its Famous Brands

  • A large number of Chinese trade marks and domain names have been registered improperly or illegally by foreign companies or businessmen. Additionally, a large number of famous Chinese brands have vanished through joint ventures, mergers and acquisitions since foreign direct investment (FDI) came to China more than two decades ago because some Chinese managers have not been fully aware of the value of trade marks and domain names. Consequently, the number of China's registered trade marks and famous brands does not match China's export volume and its Number four trade status in the world. China's enterprises have yet to realize the effects of these events. It is very important for China to protect and cultivate its own famous brands. This paper discusses Chinese companies' neglect of the value of their trade marks and domain names, and the possible consequences. Additionally, this paper puts forward suggestions concerning the protection and cultivation of China's famous brands.

The Effect of Green Transformation on the Operating Efficiency of Green M&A Enterprises: Evidence from China

  • Environmental protection has been infused into the development of numerous fields by the Chinese government. The government's implementation of green development has also shifted its focus to green transformation and governance of highpolluting companies. In the context of green and sustainable development, this study employs DEA data envelopment analysis to compare the operating efficiency of listed firms that implemented Green Mergers and Acquisitions (M&A) in China in 2018. The conclusions of this study are as follows: First, China's green M&A enterprises are unevenly dispersed among the country's east, middle, and western regions. Second, compared to before the implementation of Green M&A, operational efficiency has improved in most industries. Third, the difference in Green M&A across industries is generally favorable, showing that most organizations have improved their operational performance as a result of Green M&A implementation. In 2018, however, the gap in operating efficiency is more negative. Fourth, whereas the eastern and western areas' operational efficiency has improved as a result of Green M&A, the central region's has not. Based on this conclusion, this study makes recommendations for China's future sustainable development of heavily polluted firms.

Digital Transformation, Manipulation of Asset Evaluation and M&A Performance: Discussion on the Intermediary Effect of Internal Control

  • Purpose - The purpose of this study was to examine the internal relevance between digital transformation, manipulation of asset evaluation and corporate M&A performance and further explores the impact path of manipulation of asset valuation on corporate M&A performance. Design/methodology/approach - This study based on the financial data of A-share listed companies in Shanghai and Shenzhen Stock Exchanges from 2013 to 2021. Findings - First, manipulation of asset evaluation is negatively correlated with M&A performance. Second, Digital transformation significantly weakens the negative correlation between manipulation of asset evaluation and corporate M&A performance. Third, The effectiveness of internal control plays a partially intermediary role in the process of manipulation of asset evaluation affecting M&A performance. Research implications or Originality - Enriching the existing literature on the subject, the study can also provide useful reference for improving the performance of corporate mergers and acquisitions, regulating asset valuation, promoting the digital transformation of enterprises and improving internal control mechanisms, with both theoretical and practical implications.

중소기업의 M&A가 합병 공시효과와 장기 영업성과에 미치는 영향 (The Impact of M&A of Small and Medium-Sized Companies on Merger Disclosure Effect and Long-Term Operating Performance)

  • 본 연구는 중소기업이 M&A를 할 때 중소기업의 집단적 특성이 합병의 공시효과와 합병 이후 장기영업성과에 미치는 영향을 분석하고자 2000년부터 2012년까지 우리 나라의 인수합병 사건 중 코스닥시장에서 중소기업법 제2조와 동법 시행령 제3조의 규정을 적용하여 선정한 중소기업의 사례 717개 사건을 표본으로 사건연구 및 영업현금흐름수익률을 영업성과변수로 하는 다중회귀분석을 실시하였다. 그 결과 첫째, 합병공시효과에 미치는 영향에 있어서는 기존의 한국자본시장을 대상으로 한 선행연구와 동일하게 중소기업 인수합병 사건에서도 규모효과가 존재함을 확인하였으나 다각화효과, 상장효과, 국제간인수합병효과는 확인하지 못하였다. 그리고 일반적 기업을 대상으로 한 선행연구 결과와는 다르게, 중소기업은 인수합병의 공시효과에 있어서 과거의 생산효율성이 높아 과거의 영업성과가 높은 기업들이 더 높은 초과수익률을 올리고 있음을 확인하였다. 둘째, 인수합병의 집단적 특성에 따른 영업성과에 미치는 영향은 비관련합병이 장기영업성과에 긍정적인 영향을 미친다는 기존의 선행연구와는 다르게, 평균적인 상장기업에 비해 열위의 시장경쟁력을 가지고 있는 중소기업의 특성상 동종기업과 관련합병을 할 때 생산의 효율성을 극대화하여 장기 영업성과에 긍정적인 영향을 미치고 있음을 확인하였다. 이러한 본 연구는 대기업의 산유물로만 여겨져 왔던 인수합병의 사례를 중소기업에 적용하여 인수합병의 공시효과와 집단적 특성에 따른 장기 영업성과에 미치는 영향을 살펴봄으로써 중소기업 인수합병 사건 연구에 새로운 시각을 제공하였다는 데에 큰 의미를 가지고 있다.

Chinese SOEs and the Completion of Cross-border M&As: The Moderating Role of M&A Experience

  • Purpose - The purpose of this study is to investigate the relationships among Chinese state-owned enterprises (SOEs), previous M&A experience, and the probability of deal completion in cross-border mergers and acquisitions (CBMAs). Since Chinese SOEs tend to be recognized by host countries as agents of their home country government, this study argues that SOEs will face difficulties in completing CBMA deals. However, the study expects that these difficulties may vary depending on whether the firm has previous M&A experience because firms can gain the knowledge and capabilities necessary to implement subsequent M&As successfully from past M&A experience. Design/methodology - To investigate our argument, we conduct a logistic regression using a sample of 363 CBMA deals from 304 Chinese publicly listed firms during 2007 to 2017. We used SOEs as an independent variable, experience of domestic and foreign M&As as moderating variables, respectively, and CBMA deal completion as the dependent variable. Findings - The study shows a negative and significant relationship between Chinese SOEs and the completion likelihood of CBMA deals. We find that this negative relationship is strengthened when the firm had prior domestic M&A experience, whereas foreign M&A experience alleviated the negative relationship. Originality/value - The issue of government ownership has remained unclear since government intervention has both advantages and disadvantages in pursuing CBMAs. Our findings support literature that argues Chinese SOEs face legitimacy concerns in the host countries, thereby lowering their CBMA deal completion likelihood. Furthermore, the study enriches the literature by identifying different moderating effects of domestic and foreign M&A experience on the negative relationship between SOEs and CBMA deal completion.

중소기업 M&A 의사결정 과정에 관한 연구 (Case Study on Decision-Making Process for M&A in Small and Medium Companies)

  • Purpose - A rapidly changing business environment places great demands on small and medium-sized enterprises (SMEs). These SMEs need to find strategic alternatives for continued growth and, ultimately, survival. Thus, mergers and acquisitions (M&A) are deemed an acceptable solution. Research to date has dealt with M&A in major organizations and focused on post merger integration (PMI). Our study focuses on SMEs, as they are relatively new and unknown to the public. Therefore, this study highlights successful M&A and decision making for SMEs through a case study analysis. Research design, data, and methodology - For this study, we examined an M&A case between company S, which produces cell phone parts, and company P, which produces SSD cases. We reviewed theories and previous studies in M&A literature. We comprehensively examined the decision-making procedure at each M&A stage, describing the situation of the buying company and the selling company from the period of the M&A announcement through deal completion. In addition, we conducted interviews with both companies. The data regarding this case study were collected through interviews with managers of both companies who actively participated in the M&A process. When necessary, we asked them about additional relevant information during the interviews. Results - The result of the M&A between company S and company P was deemed acceptable with the exception of the long negotiation period. However, company S was not able to prepare for PMI after the acquisition due to a controversy over acquisition values. Moreover, the employees of the newly formed company, especially those who came from company P, complained about the M&A and attempted to leave. Thus, implications for successful M&As of SMEs are as follows: First, the procedural compliance of the M&A is needed. Second, support is needed from the CEO for the working group, rather than excessive intervention during due diligence. Third, the right, talented members of the organization should be part of the process of the M&A. Fourth, the use of various types of outside expert or business consultants is needed. Fifth, the strategic intervention by Human Resource managers is required. Last, sharing M&A information among employees is important as information dissemination will help employees be more receptive to such a change. However, this study has several limitations as a single case study; more varied SME M&A case studies are needed in order to generalize the results of the study. Conclusions - Most of the research dealing with M&As has focused on major companies and PMI and neglected SMEs. Thus, our study focuses on SMEs and the decision-making procedures for M&A. This study has significantly contributed to the literature in this area and has provided practical information around the implications of sound decision-making during M&As. Specifically, the results of the study contribute to the need for research on M&A among SMEs, which to date has often been neglected as a topic of choice.
