세계경제위기와 '노동계약법'의 결합효과로서 중국 파견노동의 증가 (Increase of Labor Dispatching in China as a Combined Effect of the Global Financial Crisis and the 'Labor Contract Act')

  • 중국에서 고용의 이원체제라 할 수 있는 '쌍궤제'는 개혁개방 시기 들어서도 사라지지 않고, 도시호구와 농민공이라는 분할선을 통해 최근까지도 유지되고 있다. 2천년대 들어 이원체제를 해소하려는 노력이 <노동계약법>의 반포로 실현되는 듯 했으나, <노동계약법>의 절충적 성격에 덧붙여 2008년 세계금융위기가 발발하면서 중국 고용의 이원체제는 파견노동의 증가라는 새로운 방식으로 다시 강화되고 있다. 중국에서 파견노동은 예외적이 아니라 정규적이 될 만큼 대규모로 빠르게 증가하고 있다. 중국에서 파견노동은 국유기업의 구조조정 과정에서 직접 해고를 방지하는 방식으로 실업문제를 해소하려던 시도를 배경으로 하고 있다는 점에서 중국적 특색을 보이고 있다. <노동계약법>과 세계경제위기의 결합 효과는 파견노동을 규제하기보다 더욱 늘리도록 작용하였고, 특히 파견노동은 '역방향 파견'이라는 방식의 편법을 허용하여 비용과 법률적 부담을 줄이려는 기업들에 의해 넓게 활용되고 있다. 파견노동은 새로운 이원체제를 형성시키고 있고, 새로운 이원체제는 기업의 부담을 파견업체로 이전하는 구도에 의해 강화되고 있다. 중국에서 고용의 이원체제는 여전히 보호가 필요한 층을 보호로부터 더 배제시킨다는 문제를 낳고 있다.

신용장거래에서 운송서류 불일치에 대한 지급거절 (Payment Refusal against Discrepancy in Transport Document under L/C Transaction)

  • 본 연구는 신용장거래에서 불일치서류에 대한 은행의 지급거절통지의 절차를 한·중 판례를 중심으로 고찰한다. 한·중 무역거래 비중이 높은 상황에서 한국 기업과 신용장을 개설하는 우리나라 은행들이 서류심사 결과로서 지급거절을 통지함에 있어 주의해야 하는 사항들과 신용장 관련 분쟁을 해결하기 위한 방안에 대한 제언을 목적으로 한다. 본 연구에서 고찰한 판례는 중국 매도인이 개설은행을 상대로 중국법원에 소를 제기한 것으로, 개설은행의 지급거절통지가 UCP 600 제16조 (c)항 (ii) (iii)의 내용적인 요건을 충족하지 못한다고 판시한 중국법원의 판결이다. 본 판결을 볼 때, 우리나라 기업들과 신용장 개설은행들은 첫째, UCP 600 제16조 (c)항의 규정에 근거하여 하자에 대한 통지의 내용을 자세하게 기재해야 한다. 둘째, 신용장 계약에서도 무역계약 마찬가지로 준거법에 대한 합의를 명확히 하는 것이 필요하다. 셋째, 한·중거래에서 중국법원의 편파적인 판결과 더불어 외국법원의 판결이 중국에서 집행이 어려운 점을 감안해서 분쟁해결 방식으로 중재를 활용하는 것이다. 신용장 개설 시 중재조항을 삽입하여 법적인 효력을 갖도록 하고, 국제신용장중재센터나 DOCDEX 시스템을 활용하는 것을 권고한다.

항공기사고에서 국제근로계약과 불법행위의 국 제재판관할권 판단기준 (A Comment on the Standard for International Jurisdiction to foreign-related cases by the employment contract and tort in Air crash)

  • 이 논문은 외국적 요소가 있는 사안에 있어서 우리나라의 국제재판관할권에 관한 판례를 분석한 것이다. 대상 판결은 우리나라에서 발생한 항공기사고에 기인한 외국항공사와 외국인승무원간의 근로계약관계 그리고 불법행위에 대한 우리 법원의 국제재판관할권의 유무를 판단한 판례로서 이후 우리 법원의 판례에 기준이 되고 있다. 본 사건은 항공기가 대한민국 내에 추락함으로써 사망한 중국 국적 승무원의 부모가 그 항공운송인으로서 중국 법인인 피고 항공사를 상대로 대한민국 법원에 그 손해의 배상을 구하는 것으로, 이는 외국적 요소가 있는 법률관계에 관한 분쟁으로 우리 국제사법의 규정에 따라 대상사안에 관하여 우리나라에 국제재판관할권이 있는가의 여부에 대한 판단이 필요하였다. 제1심법원은 우리나라의 국제재판관할권을 부정하였으나, 대법원은 우리나라의 국제제판관할권을 긍정하였다. 이는 국제사법에 따라 국제재판관할권의 유무를 판단하게 되는데, 이에 있어 '실질적 관련성'에 대한 검토가 필요하다. 이에 본 판례평석에서는 국제사법 제2조에서 규율하는 국제재판관할권에 있어서의 판단기준인 실질적 관련성과 국제재판관할 배분의 이념에 부합하는 합리적인 원칙, 토지관할과 국제재판의 특수성에 관한 이론적 배경에 대하여 알아보고, 당해 사안에 대하여 토지관할권과 예측가능성에 따른 국제재판관할권의 인정 여부로서 불법행위지, 근로계약을 검토하고, 예측가능성과 항공기 승무원의 노무의 특징, 준거법 등에 관하여 대법원판결과 제1심, 학설 등에 비추어 그 의의와 쟁점을 살펴보기로 한다. 또한, 이번 사안에서와 같이 항공기 승무원의 노무와 그 근로계약에 따른 법적 성질에 관하여 EU의 계약상 채무의 준거법에 관한 'Rome I'(Regulation(EC) 593/2008 on the law applicable to contractual obligations) 상에서 논의된 '기지 원칙'에 따른 적용을 해 보았다.

중국 상사중재에서 CISG의 적용에 관한 연구 - CIETAC 중재사례를 중심으로 - (A Study on Application of CISG in the Commercial Arbitration of China - Focus on CIETAC Arbitration Cases -)

  • This study analyzed some cases of the China International Economic and Trade Arbitration Commision (CIETAC) related to the application of the Contracts for the International Sale of Goods (CISG). As a contracting party of the CISG, China has accumulated a considerable amount of experience in applying CISG through commercial arbitrations. This study sought to understand how CISG is operated in commercial arbitration in China. By analyzing actual cases in China, Korean commercial arbitration can avoid mistakes and further improve. This study of Chinese cases will give some useful information for Korean companies. As defined by the CISG, the applicability can be divided into direct application and indirect application. When China joined the CISG, it made a reservation out of Article 1(1)(b). Korea and China are contracting parties to CISG and CISG is, therefore, directly applied. It is beneficial for Korea to understand how CIETAC is indirectly applied in China then. Some of the results of this study are as follows: First, CIETAC made a correct judgment most of the time on the direct application of CISG. However, there were mistakes in the judgment of the nationality of the parties in a few cases. The parties must clearly define applicable laws when entering into a contract. Secondly, the 2012 "CIETAC Arbitration Rules" was revised so that the "party autonomy" was introduced into Chinese commercial arbitration concerning indirect application. Therefore, the principle of autonomy of the parties was not fully recognized in the past judgments. Instead, the domestic law of China was applied in accordance with the reservation of Article 1(1)(b). Thirdly, China did not explain the application of CISG in Hong Kong, which led to ambiguity in concerned countries. Therefore, it is necessary to confirm the status of CISG in Hong Kong. In addition, Korean companies should clearly define the applicable laws when dealing with Hong Kong companies.

아시아 주요국가(主要國家)들에 있어서의 바르샤바 체제(體制)의 적용실태(適用實態)와 전망(展望) (The Current Status of the Warsaw Convention and Subsequent Protocols in Leading Asian Countries)

  • The current status of the application and interpretation of the Warsaw Convention and its subsequent Protocols in Asian countries is in its fredgling stages compared to the developed countries of Europe and North America, and there is thus little published information about the various Asian governments' treatment and courts' views of the Warsaw System. Due to that limitation, the accent of this paper will be on Korea and Japan. As one will be aware, the so-called 'Warsaw System' is made up of the Warsaw Convention of 1929, the Hague Protocol of 1955, the Guadalajara Convention of 1961, the Guatemala City Protocol of 1971 and the Montreal Additional Protocols Nos. 1,2,3 and 4 of 1975. Among these instruments, most of the countries in Asia are parties to both the Warsaw Convention and the Hague Protocol. However, the Republic of Korea and Mongolia are parties only to the Hague Protocol, while Burma, Indonesia and Sri Lanka are parties only to the Warsaw Convention. Thailand and Taiwan are not parties only to the convention or protocol. Among Asian states, Indonesia, the Phillipines and Pakistan are also parties to the Guadalajara Convention, but no country in Asia has signed the Guatemala City Protocol of 1971 or the Montreal Additional Protocols, which Protocols have not yet been put into force. The People's Republic of China has declared that the Warsaw Convention shall apply to the entire Chinese territory, including Taiwan. 'The application of the Warsaw Convention to one-way air carriage between a state which is a party only to the Warsaw Convention and a state which is a party only to the Hague Protocol' is of particular importance in Korea as it is a signatory only to the Hague Protocol, but it is involved in a great deal of air transportation to and from the united states, which in turn is a party only to the Warsaw Convention. The opinion of the Supreme Court of Korea appears to be, that parties to the Warsaw Convention were intended to be parties to the Hague Protocol, whether they actually signed it or not. The effect of this decision is that in Korea the United States and Korea will be considered by the courts to be in a treaty relationship, though neither State is a signatory to the same instrument as the other State. The first wrongful death claim in Korea related to international carriage by air under the Convention was made in Hyun-Mo Bang, et al v. Korean Air Lines Co., Ltd. case. In this case, the plaintiffs claimed for damages based upon breach of contract as well as upon tort under the Korean Civil Code. The issue in the case was whether the time limitation provisions of the Convention should be applicable to a claim based in tort as well as to a claim based in contract. The Appellate Court ruled on 29 August 1983 that 'however founded' in Article 24(1) of the Convention should be construed to mean that the Convention should be applicable to the claim regardless of whether the cause of action was based in tort or breach of contract, and that the plaintiffs' rights to damages had therefore extinguished because of the time limitation as set forth in Article 29(1) of the Convention. The difficult and often debated question of what exactly is meant by the words 'such default equivalent to wilful misconduct' in Article 25(1) of the Warsaw Convention, has also been litigated. The Supreme Court of Japan dealt with this issue in the Suzuki Shinjuten Co. v. Northwest Airlines Inc. case. The Supreme Court upheld the Appellate Court's ruling, and decided that 'such default equivalent to wilful misconduct' under Article 25(1) of the Convention was within the meaning of 'gross negligence' under the Japanese Commercial Code. The issue of the convention of the 'franc' into national currencies as provided in Article 22 of the Warsaw Convention as amended by the Hague Protocol has been raised in a court case in Korea, which is now before the District Court of Seoul. In this case, the plaintiff argues that the gold franc equivalent must be converted in Korean Won in accordance with the free market price of gold in Korea, as Korea has not enacted any law, order or regulation prescribing the proper method of calculating the equivalent in its national currency. while it is unclear if the court will accept this position, the last official price of gold of the United States as in the famous Franklin Mint case, Special Drawing Right(SDR) or the current French franc, Korean Air Lines has argued in favor of the last official price of gold of the United States by which the air lines converted such francs into us Dollars in their General Conditions of Carriage. It is my understanding that in India, an appellate court adopted the free market price valuation. There is a report as well saying that if a lawsuit concerning this issue were brought in Pakistan, the free market cost of gold would be applied there too. Speaking specifically about the future of the Warsaw System in Asia though I have been informed that Thailand is actively considering acceding to the Warsaw Convention, the attitudes of most Asian countries' governments towards the Warsaw System are still wnot ell known. There is little evidence that Asian countries are moving to deal concretely with the conversion of the franc into their own local currencies. So too it cannot be said that they are on the move to adhere to the Montreal Additional Protocols Nos. 3 & 4 which attempt to basically solve many of the current problems with the Warsaw System, by adopting the SDR as the unit of currency, by establishing the carrier's absolute liability and an unbreakable limit and by increasing the carrier's passenger limit of liability to SDR 100,000, as well as permiting the domestic introduction of supplemental compensation. To summarize my own sentiments regarding the future, I would say that given the fact that Asian air lines are now world leaders both in overall size and rate of growth, and the fact that both Asian individuals and governments are becoming more and more reliant on the global civil aviation networks as their economies become ever stronger, I am hopeful that Asian nations will henceforth play a bigger role in ensuring the orderly and hasty development of a workable unified system of rules governing international commercial air carriage.

프랜차이즈 본부의 성과 및 재계약의도에 영향을 미치는 요인들에 관한 연구 : 중국프랜차이즈 시장을 중심으로 (The Factors Affecting on the Franchisor's Performance and Its Intention of Recontracting with Franchisees : Focused on the Chinese Franchise Market)

  • 본 연구는 세계 최대의 프랜차이즈 시장으로 부상하고 있는 중국 프랜차이즈 시장에서 가맹 본부와 가맹점 간의 재계약 성과에 영향을 미치는 요인에 관한 연구이다. 선행 연구를 토대로 하여 프랜차이즈 재계약 결정요인으로서 가맹본부특성, 가맹점 특성, 본부와 가맹점간 관계적 특성, 환경적 특성 등 4가지로 설정하고, 가맹본부 특성, 가맹점 특성, 관계적 특성, 환경적 특성을 본부의 경영성과와 가맹점에 대한 만족도 영향변수로, 본부의 경영성과와 본부의 가맹점에 대한 만족도를 재계약의도의 영향변수로 하여 연구모형을 설정하였다. 이러한 연구모형을 실증적으로 검증하기 위하여 중국 프랜차이즈 시장에서 가맹본부를 중심으로 설문조사를 실시하여 실증분석을 하였다. 설정한 가설 중에서 경영성과 영향요인으로서 본부특성, 가맹점특성, 관계적 특성, 환경적 특성 요인이 영향을 미치는 것으로 나타났으나, 본부특성 구성요인 중 가맹점에 대한 통제와 관계적 특성 중 몰입은 경영성과에 유의한 영향을 미치지 않는 것으로 나타났다. 본부의 가맹점에 대한 만족도 영향요인으로는 가맹점 특성이 채택되었지만 관계적 특성인 신뢰, 몰입과 갈등 변수등도 유의하지 않은 것으로 나타났다. 가맹본부의 경영성과와 가맹점에 대한 만족은 가맹본부의 재계약 의도를 높이는 것으로 나타났다. 이러한 연구분석 결과는 중국 시장에 이미 진출해 있거나 향후 진출하려는 국제 프랜차이즈 기업의 전략적 분석과 수립에 도움이 될 구체적인 실무지식을 제공해 줄 수 있을 것으로 기대된다.

북한의 외국인투자법과 대외경제중재법의 적용범위 (The Scope of Application of North Korea's Foreign Economic Arbitration Act and Foreign Investment Act)

  • The Scope of Application of North Korea's Foreign Economic Arbitration Act and Foreign Investment Act This article examines whether the Foreign Economic Arbitration Act and the Foreign Investment Act of North Korea apply to South Korean parties or companies. This article analyzes laws and agreements related to economic cooperation between South Korea and North Korea. Furthermore, this article compares and evaluates laws related to foreign investment and enacted in North Korea. Now, North Korea's door is closed due to economic sanctions against it, but it will be opened soon. Thus, this article prepares for the future opening of North Korea's markets. Is there a rule of laws in North Korea or just a ruler? Are there laws in North Korea? North Korea has enacted a number of legislation to attract foreign investors, referring to those Chinese laws. For example, North Korea enacted the Foreigner Investment Act, the Foreigner Company Act, the Foreign Investment Bank Act, the Foreign Economic Arbitration Act, the Foreign Economic Contract Act, the International Trade Act, and the Free Economy and Trade Zone Act, among others. Article 2 (2) of the Foreign Investment Law of North Korea states, "Foreign investors are corporations and individuals from other countries investing in our country." It is interpreted that South Korea is not included in the "other countries" of this definition. According to many mutual agreements signed by South Korea and North Korea, the relationship between the two Koreas is a special relation inside the Korean ethnic group. An arbitration between a South Korean party and a North Korean party has the characteristics of both domestic arbitrations and international arbitrations. If the South Korea and North Korea Commercial Arbitration Commission or the Kaesong Industrial Complex Arbitration Commission is not established, the possibility of arbitration by the Chosun International Trade Arbitration Commission, established under North Korea's Foreign Economic Arbitration Act, should be examined. There have been no cases where the Foreign Economic Arbitration Act is applied to disputes between parties of South Korea and North Korea. It might be possible to apply the Foreign Economic Arbitration Act by recognizing the "foreign factor" of a dispute between the South Korean party and North Korean party. It is necessary to raise legislative clarifications by revising the North Korea's Foreign Economic Arbitration Act as to whether Korean parties or companies are included in the scope of this Act's application. Even if it is interpreted that South Korean parties or companies are not included in the scope of North Korea's Foreign Economic Arbitration Act, disputes between South Korean companies and North Korean companies can be resolved by foreign arbitration institutes such as CIETAC in China, HKIAC in Hong Kong, or SIAC in Singapore. Such arbitration awards could be enforced in North Korea pursuant to Article 64 of North Korea's Foreign Economic Arbitration Act. This is because the arbitration awards of foreign arbitration institutes are included in the scope of North Korea's Foreign Economic Arbitration Act. The matter is how to enforce the North Korean laws when a North Korean party or North Korean government does not abide by the laws or their contracts. It is essential for North Korea to join the New York Convention (Convention on the Recognition and Enforcement of Foreign Arbitral Awards) and the ICSID Convention (Convention on the Settlement of Investment Disputes Between States and Nationals of Other States).
