The Role of Accounting Professionals and Stock Price Delay

  • Purpose: The stock price delay phenomenon refers to a phenomenon in which stock prices do not immediately reflect corporate information and the reflection is delayed. A prior study reported that the stock price delay phenomenon appears strongly when the quality of corporate information is low (Callen, Khan, & Lu, 2013). The purpose of the internal accounting control system is to improve the reliability of accounting information. Specifically, the more professionals such as certified public accountants are placed in the internal accounting control system, the more information is prevented from being distorted, so the occurrence of stock price delay will decrease. Research design, data and methodology: In this study, companies listed on the securities market from 2012 to 2016 were selected as a sample to analyze whether the stock price delay phenomenon is alleviated as accounting experts are assigned to the internal accounting control system. The internal control personnel data were collected in the "Internal Accounting Control System Operation Report" attached to the business report of each company of the Financial Supervisory Service's Electronic Disclosure System(DART). The measurement method of the stock price delay phenomenon was referred to the study of Hou and Moskowitz (2005). The final sample used in the study is 2,641 firm-years. Results: It was found that companies with certified accountants in the internal accounting control system alleviate the stock price delay phenomenon. This result can be interpreted as increasing the speed at which corporate information is reflected in the stock price by improving the reliability of information disclosed in the market by the placement of experts in the system. Conclusions: The results of this study suggest that accounting professionals assigned to the internal accounting control system are playing a positive role in providing high-quality information to the market. In this study, focusing on the fact that the speed at which corporate information is reflected in the stock price is very important for the stakeholders in the capital market, we find that having a certified public accountant in the internal accounting control system alleviates the stock price delay phenomenon.

의무보유 종료와 VC투자가 주가에 미치는 영향 (Lock-up Expiration and VC Investments: Impact on Stock Prices)

  • 본 연구에서는 제2벤처붐에 따른 VC의 스타트업 투자와 해당 주식에 대한 투자자들의 반응을 살펴보고자 하였다. VC는 비상장기업에 투자 후 기업가치를 제고하여 주식시장에 상장하고, 의무보유 기간 이후 매각함으로써 수익을 창출한다. 주식시장의 투자자들이 VC들의 투자방식에 적응하였는지 여부를 검증하기 위해 의무보유 기간 종료 전후 주식가격 변화에 차이가 존재함을 가정하였으며, 2017년 하반기 이후 기반이 마련된 제2벤처붐의 영향에 따른 차이를 살펴보기 위해 과거(2015년부터 2017년까지)와 최근(2020년부터 2022년까지)의 주가 영향을 비교 분석하였다. 본 연구의 주요 분석결과는 다음과 같다. 첫째, 의무보유 기간 종료에 따른 주가 변화는 과거에 종료일 전후 초과수익을 올릴 수 있었던 것과 달리 최근에는 시장보다 낮은 수익을 갖는 것으로 나타났다. 둘째, 의무보유 기간별 주가에 미치는 영향을 분석한 결과, 1개월과 12개월에서만 유의한 영향을 보여주었다. 특히, 제2벤처붐 이후 의무보유 기간이 1개월인 벤처금융 및 전문투자자의 주식은 의무보유에 대한 정보에 미리 반응하는 것을 확인할 수 있었다. 마지막으로 VC투자 여부에 따른 주가 영향에서는 제2벤처붐 이전과 달리 이후에 VC투자여부에 따라 누적초과수익률에서 차이가 존재하였다. 시사점으로는 첫째, VC들은 회수 전략을 변경할 필요성이 존재한다. VC들의 투자 및 회수 방식은 정보비대칭을 기반으로 하고 있는데, 분석결과 해당 정보로는 시장초과수익률을 달성하기 어렵기 때문이다. 둘째, 의무보유 권장기간 변경에 대한 고민이 필요하다. 상장 후 갑작스러운 주가 하락을 방지하기 위한 제도의 목적과 달리 의무보유 대상 주식은 오히려 가격 하락위험에 노출될 수 있기 때문이다. 따라서 의무보유 대상 및 권장기간을 재고하여 상장 후 투자자 보호에 대한 논의가 필요하다.

What Drives the Listing Effect in Acquirer Returns? Evidence from the Korean, Chinese, and Taiwanese Stock Markets

  • Purpose - This study investigates whether a listing effect exists in cross-border M&As and whether the effect can be attributed to the uncertainty of the GDP growth rate in the target firm's home country. We apply a joint variable analysis using M&A announcement data from the Korea Exchange (KRX), Shanghai Stock Exchange (SSE), and the Taiwan Stock Exchange (TWSE) from 2004 to 2013. We also conduct an event study using the measure of the uncertainty of the GDP growth rate (based on IMF statistics) in 55 target countries. Design/methodology - We measure the abnormal return (AR) using the market-adjusted model. We test the significance of the AR and the cumulative abnormal return (CAR) using a one-sample t-test. We examine the characteristics of the CARs depending on whether the target company is listed by applying a difference analysis using CAR as a test variable. In addition, we set CAR (-5, +5) as a dependent variable to identify the cause of the listing effect, and test both the financial characteristic variables of the acquirer and the collective characteristic variables of the merger as independent variables in the multiple regression analysis. Findings - First, we find the listing effect of cross-border M&As in the KRX, SSE, and TWSE, which represent the capital markets in Korea, China, and Taiwan, respectively. This listing effect persists during the global financial crisis and has a negative effect on the wealth of acquiring shareholders, especially when the target countries are emerging markets. Second, greater uncertainty regarding the target countries' economic growth in cross-border M&As has a negative effect on the wealth of acquiring firms' shareholders. Third, our empirical analysis demonstrates that the listing effect is attributable to the fact that firms listed in a target country with greater uncertainty of economic growth are more directly and greatly exposed to uncertain capital markets through stock markets, than are unlisted firms. Originality/value - This study is significant in that it presents a new strategic perspective in the study of cross-border M&As by demonstrating empirically that the listing effect is attributable to the uncertainty regarding the economic development of the target firms' home countries.

Determinants of Capital Structure:The Case in Vietnam

  • This is a quantitative research, underpinned by the philosophy of natural science and deduction approach that examines the impact of the various aspects of corporate governance mechanism on the choice of capital structure of Vietnamese listed firms. We focus on the effect of factors such as the board size, the board independence, and especially different ownership structures, which include the managerial ownership, the state ownership, the concentrated ownership, and the foreign ownership. They are the main scopes of corporate governance and are supposed to be relevant to determine the corporate financing choice. To explain the causal relationship between factors, we construct the regression model and then test it by using different statistical method approaches, including the pooled OLS, the fixed effects model, and the random effects model. Data are collected from 336 firms with shares listed in the Ho Chi Minh City Stock Exchange in Vietnam, totaling 1583 observations. Overall, the results reveal that the board size, state ownership, and concentrated ownership have positive impact on the firm's capital structure, whereas foreign ownership appears to have negative influence on the capital structure. The research does not find evidence of a the correlation between board independence, managerial ownership and corporate capital struture.

Environmental Performance, Carbon Emission Disclosure, and Carbon Emission Intensity on Cost of Equity Capital: An Empirical Study in Indonesia

  • Purpose: Carbon emissions have now become a major concern around the world, especially for the government and private sector. Unfortunately, in Indonesia, disclosure related to company carbon emissions is still done voluntarily. This research aims to provide empirical evidence on the effect of environmental performance, carbon emission disclosure, and carbon emission intensity on the cost of equity capital. Research design, data, and methodology: This research uses secondary data with a sample consisting of Indonesia companies that are sensitive to the environment and listed on the Indonesia Stock Exchange in 2017-2019. The analytical tool used in this research was multiple regression models. Result: The study found a carbon emission disclosure had a significant positive effect on the cost of equity capital. Carbon emission intensity and company size had a significant negative effect on the cost of equity capital. Meanwhile, environmental performance did not have a significant effect on the cost of equity capital. Conclusion: Therefore, the results of this research are expected to provide feedback to the company's stakeholders that environmental performance and carbon emissions are some of the points seen by investors in making investment decisions.

Board Characteristics and Capital Structure: Evidence from Thai Listed Companies

  • This study examines the relationship between board characteristics and capital structure. Data was collected from the annual reports of listed companies in the Stock Exchange of Thailand, from 2015 to 2017, which totaled 1,264 firm-year observations. The study uses multiple regression analysis to analyses the data by using independent variables, including board size, outside directors, managerial ownership, CEO duality, frequency of board meetings, board experience, and gender to measure board characteristics and the total debt ratio for capital structure. Research findings show that the more independent the directors are, the lower the cost of debt financing is, as they control the management team more strictly about debt financing than directors with less independence do. Additionally, the results reveal that the higher the percentage of managerial ownership, the higher the level of leverage and debt financing, whereas board size and board meetings have a negative relationship to capital structure. Further research showed that firm size, growth opportunities and corporate governance rating all had a positive significant impact on capital structure. The findings of this study suggest that the presence of proper corporate governance leads to better funding mechanisms as it ensures that the company is in a better position to obtain external funding.

Reliable and Advanced Predictors for Corporate Financial Choices in Pakistan

  • Existing studies disagree over the core predictors of firm-level financial choices in developing countries. The general practice only validates the traditional capital structure model, which leads to inconsistency and a lack of novelty. This study removed overfitting issues among existing factors and presented the most reliable and advanced capital structure model in Pakistani firms. The panel data include 368 Pakistani companies from 19 non-financial sectors over the period 2004 to 2017. We apply Akaike and Bayesian Information Criteria to remove overfitting issues among inconsistent proxies in the capital structure model. The fixed effects regression is used for basic results and the Generalized Method of Moments is applied to control the endogeneity. Besides the conventional proxies, we report that credit rating, distance from bankruptcy, managerial concentration, and institutional quality are the most advanced capital structure determinants in Pakistan. These predictors remain significant across firm size and growth levels. Also, the findings confirm that new predictors are reliable to define capital structure dynamics and improve the speed of adjustment in overall and sub-sample analysis. The major findings suggest that managers and policymakers should consider these advanced predictors to design their financial settings in firms.

The Nexus between Capital Structure and Firm Value by Profitability Moderation: Evidence from Saudi Arabia

  • The current study examines the nexus between the capital structure (debt-equity) and firm value (Tobin's Q) by including profitability (alternatively Return on Assets (ROA) and Return on Equity (ROE)) as a moderator in the companies of Saudi Arabia. The study sample consists of 102 companies listed on Tadawul (the Saudi Arabian stock exchange) from different sectors of Saudi Arabia during the period 2013 to 2020. The study estimates pooled regression, panel regression with fixed and random effects, and dynamic panel regression models to report the results. The study results report that there is a negative and significant association between capital structure and firm value in model 1, while in models 2 and 3 there is a more negative and significant impact between the two study variables compared to model 1 after the inclusion of interaction variable, i.e. profitability in terms of ROA and ROE. The comparative result shows that the companies of Saudi Arabia hold more debt in their capital structure mix, hence evidencing a decrease in the firm value. The reported results also show that models 2 and 3 are better in explaining the impact of capital structure on firm value due to the interaction of profitability compared to model 1.

주가(株價)와 주요거시경제변수간(主要巨視經濟變數間)의 상호관계(相互關係)에 대한 실증분석(實證分析) (Interactions between Stock Price and Key Macroeconomic Variables)

  • 우리나라 주가변화(株價變化)의 절반 이상이 거시경제변수(巨視經濟變數)의 움직임에 의하여 설명되며, 특히 국제수지(國際收支) 및 산업생산(産業生産)의 움직임이 주가변화에 큰 영향을 미치는 것으로 나타나고 있다. 다른 한편으로는 주식시장(株式市場)이 상대적으로 안정적이었던 1985년까지의 기간중에는 주가변화(株價變化)가 설비투자의 움직임을 잘 설명하고 있음이 발견되었다. 반면에 주식시장이 규모면에서 크게 확대되고 주가(株價)의 변동폭이 컸던 1986년 이후의 기간중에는 설비투자(設備投資)와 주가변화(株價變化)간의 연계성이 거의 없는 것으로 나타나고 있다. 이러한 주가(株價)와 실물경제(實物經濟) 사이의 관계가 주는 정책적(政策的) 시사점(示唆點)은 단기적이고 직접적인 시장개입(市場介入)을 통한 주식시장 부양정책은 한계가 있으며 보다 근본적으로는 실물경제의 안정과 착실한 성장기조의 회복만이 증시안정(證市安定)에 기여할 수 있다는 것이다. 아울러 주식시장(株式市場)이 기업의 투자재원 조달창구로서의 역할을 효율적으로 수행하기 위해서는 주식시장의 안정(安定)이 선행되어야 한다는 것이다.

우리사주제의 개선에 대한 연구 (A Study on the Improvement of the Employee Stock Ownership Plans)

  • 현대에서의 부가가치 창출의 원천은 물자(Material)에서 사람(Man)의 부가가치 창출력으로 변천되어 왔으며, 생산수단의 소유가 특정의 지주, 자본가에서 부가가치 창출능력을 보유한 사람에게로 전환되었다. 기업의 노동자가 기업의 부가가치를 현저히 증대시켰을 경우에 단순한 이익에 참여하는 이익분배제나 성과인센티브제를 넘어서는 참여제도의 도입에 대한 검토가 필요하며, 자본 편중의 문제를 해소하고 자본주의의 안정적인 발전을 위한 수단으로서 우리사주제의 도입은 필요하다. 우리사주제는 노동자로 하여금 우리사주조합을 통하여 해당 우리사주조합이 설립된 주식회사의 주식을 취득·보유하게 함으로써 노동자의 경제·사회적 지위향상과 노사협력 증진을 도모함을 목적으로 하고 있으나, 현실은 우리사주제가 노동자에 대한 보호가 미흡하여 목적한 바를 달성하지 못하고 있다. 우리사주의 취득이 복지의 관점에서 노동자의 우리사주 보유에 대한 복지영역에 대한 부분은 자본시장의 논리보다는 사회복지적 차원에 대한 것으로 적극적인 정부의 지원이 포함되어야 하고, 투자의 관점에서는 우리사주는 노동자들이 주식시장에서 주식을 소유하는 적극적인 투자의지와 전문적인 노력을 경주하는 것이 아니며, 따라서 노동자 우리사주를 취득하는 것을 '투자'로 보아서 투자자보호를 위한 규정을 적용하는 것은 타당하지 않다고 볼 것이다. 따라서 우리사주 취득시의 지원 및 규제완화방안으로 1. 세제지원과 같은 간접지원 방식에서 탈피하여 직접지원의 확대, 2. 우리나라의 우리사주조합이 사단의 성격으로 의제되고 있어, '투자'라는 측면에서 조합방식이 아닌 다양한 관리라는 측면에서 그 효과성이 낮은 실정으로 투자기구의 형태 다양성 추진과, 3. 회사 발행주식의 1%와 액면가 3억원 중 적은 금액이상의 주식을 보유한 사람은 대주주로 분류하여 우리사주의 조합원이 될 수 없도록 하고 있는 조합원 자격의 완화, 우리사주와 조합기금의 관리상의 위험 축소방안으로 장기간에 걸친 예탁에서 우리사주조합만이 기금을 관리하고, 우리사주 예탁기간 종료 후 우리사주를 조합 또는 회사가 관리하고 있으나 각 노동자별로 분할관리를 할 수 있도록 하여야 한다. 우리사주와 기금의 활용도 제고 측면에서 1. 우리사주는 예탁기간 중에는 대여를 하지 못하게 하고 있으나 엄격한 제한하에 대여를 허용함으로써 수익성을 향상시키고, 2. 사내복지기금의 활용용도를 우리사주의 손실보전에 사용할 수 있도록 하는 것과 활용도 제고와 우리사주의 환매제도 개선측면에서 비상장법인의 우리사주제의 활성화를 위하여 비상장회사의 환매의무를 규정하는 것 등의 개선방안 수립이 필요하다.
