기술혁신 기업과 R&D 프로젝트 파이낸스 : 지속적 기술혁신을 위한 자금조달의 대안

  • The guarantee funds for government policy fund, venture capital investment fund, technology guarantee debt are the core parts of the external financing system in the constant technology innovation company. However, the enterpriser's requirement to keep the technology innovation with minimized management intervention and policy maker's hope to advance technology development with clear operation of funds is enough to request for research of the project investment plan to the R&D project. This paper will analyze whether technology innovation company that creates cash flow prefers to the project investment as a financing program or not, and if prefers, what characters of company affect on this preference. The more the company that pursuit the additional R&D activity separated to on-going items becomes over the fixed size, the more prefers the project investment as future external fund-raising. Together with that, this paper suggests that we can apply the plan like special purpose vehicle, SWORD(Stock Warrant Off-Balance sheet R&D) and R&D Limited Partnership as R&D project investment policy, and improve the system itself.

The Correlations between Renminbi Fluctuations and Financial Results of Venture Companies in the Floating Exchange Rate (변동환율제도하의 위안화 환율변동과 벤처기업의 재무성과 간 상관관계 연구)

  • On July 21st in 2005, People's Bank of China (PBOC) turned the currency peg against the U.S. dollar into managed currency system based on a basket of unnamed currencies under China's exchanged rate regime. This change means that China's enterprises are not free from currency fluctuations. The purpose of this study is to analyze the relations between Renminbi fluctuations in the floating exchange rate and financial results of venture companies. The process and outcomes of this study are as follows, First, in order to measure the financial results of venture companies, I choose venture companies in Shandong Province listed on the Shanghai Stock Exchange (SSE) at random and several quarter financial sheets according to safety ratios, profitability ratios, growth ratios, activity ratios. Second, I arrange the daily Renminbi exchange rate data announced from July 21st, 2005 to December 31st, 2008 by PBOC into the quarterly data. Third, in order to confirm the relations between Renminbi fluctuations and financial results of venture companies, I carry out Pearson's correlation analysis. As a result, the revaluation of the Chinese Renminbi has weakly negative effects on debt ratio, total assets turnover ratio and equity turnover ratio in statistics. But the revaluation of the Chinese Renminbi is not related to other financial index in statistics. The result of this study is that the revaluation of the Chinese Renminbi has little influence on the export and import of Chinese venture companies and certifies the fact that Chinese venture companies have much foreign currency assets. In addition to avoid the currency exposure risk, this study shows the effective method about currency exposure risk which adjusts proportion of Renminbi to foreign currency.

  • The purpose of this study is to examine the effect of the management of receivables on the management performance of micro manufacturing industries. The results of the survey are as follows. First, among the factors of management of pre- and post-trade receivables in the micro manufacturing industries, management organization and regulations, contract execution management, bad debt control, which are the subordinate factors of credit control, are positive (+) significant effect on stability. In terms of profitability, management organizations and regulations, which are subordinate factors of credit control management, have a positive (+) significant effect on profitability. The recovery management, which is a factor of management of post - receivable receivables, did not have a significant effect on the stability and profitability of financial management performance. Second, the effect of financial performance on organizational satisfaction is positively related to stability, while profitability has no significant effect on organizational satisfaction. The implication of this study is that pre - trade receivables management is more important than post - trade receivables management in the management of accounts receivables of micro manufacturing industries. Proactive credit management refers to the procedure of establishing and managing personal guarantees and physical guarantees in order to smooth the execution of the obligations at the same time as the contract is concluded through processes such as credit investigation, analysis and evaluation, and sales decision before the contract is concluded. Post receivables management based on the assumption of default is a receivables management procedure from receipt of receivables that are already defaulted to bad debts to bad debt processing. If the collection of receivables is delayed or bad debt is increased, Furthermore, a corporation may be subject to bankruptcy risk (insolvency by paper profits). Therefore, it is meaningful that this study suggests direction to induce change of contract type in advance by understanding the possibility of settlement of accounts receivable and recovery of bad debts within the day of transition in case of contract of micro manufacturing industries.

A Study on the Burdens of Business Failure and Entrepreneurial Intention (중소기업 기업가들의 사업실패비용과 사업의욕)

  • It is not easy to go on business. Many businesses are fails for many reasons. The purpose of this research was to study ongoing business intention of entrepreneurs that were related to the business burdens such as economic loss, psychological stress, bankruptcy and other failure stresses. To study this search, wide surveys were conducted targeting entrepreneurs of small and medium size companies. About 300 research papers were distributed and 260 papers were collected and 247 questionaries were used for final analysis. And SPSS 24.0 programs were used. The results of this study were as follows. First, the entrepreneurial intention was closely related to the debt burdens. If the burdens of debt were high, ongoing entrepreneur intention went down. Second, the recognition of bankruptcy systems gave positive impacts for the entrepreneurs of small and medium size companies. Third, among the psychological costs, the intention of business stop gave negative impacts to ongoing business intention. There are many obstacles and difficulties in real business world. Especially in Korea failure costs are considered to individual costs and responsibilities. However, countries such as U.S., E.U. and Israel, the costs of failures considered to social costs. According to this study, burdens related to business failure were closely related to entrepreneur intentions. Therefore, the implications of this study are diverse solutions to easy business burdens are necessary.

A Study on the KOSDAQ Listing Methodology of Unlisted Companies: Comparison Between IPO and SPAC (비상장기업의 코스닥시장 상장방법 선택: IPO와 SPAC 비교)

  • The purpose of this study is to classify unlisted companies' entering method into stock market and to find out a advantageous choice between IPO and SPAC. The research samples are two types(79 IPO companies and 46 SPAC companies) of 125 companies. Which were being listed in the KOSDAQ market from 2010 to 2017. The analysis results are as follows. At first, after analyzing the impact of well known variables such as asset size, company history and number of employees to select listing methods. I found that the variables of asset size and company history have a significant negative (-) effect on the SPAC variable. Secondly, the debt ratio variable has a significant positive (+) effect on the SPAC variable. Third, it was found that the ratio of profitability variables, such as operating income to sales have a systematically positive (+) effect on the SPAC variable. Fourth, I analyzed the impact of the largest stockholder in unlisted companies on the selection of listing methods. I found that the largest stockholder are systematically having a positive (+) effect on SPAC. The result means that unlisted companies that chose SPAC have the larger shareholder shares that are relatively higher than the unlisted companies that chose IPO.

Pecking Order Theory and Korean Family Firms: Effect of Ownership and Governance Characteristics (한국기업의 가족경영과 자본조달우선순위: 소유·지배구조 특성의 영향분석)

  • This study analyzed the impact of family firms and their characteristics on how they use debts to analyze the decision-making process of Korean family firms. For analysis, we classified the characteristics of family firms into three categories, through the influence of the relationship between the lack of funds and net debt issuance, which was confirmed as the 'packing order theory' of family firms. There was a total of 4,503 enterprises in the Korean Exchange (KRX). The period of analysis was 10 years, between 2004 and 2014. To summarize, Shyam-Sunder and Myers (1999) validated the packing order theory by presenting a model of family businesses that showed greater applicable to higher packing order theory than a model of non-family businesses. Moreover, the results also confirmed the application of the packing order theory by the family stronger corporate governance and ownership structure. The ownership and governance characteristics of the ruling family has also shown the applicability of higher packing order theory.

Regulation Changes to Boost KONEX: Effects and Implications (코넥스(KONEX: Korea New Exchange) 시장 활성화 조치: 효과 및 시사점)

  • KONEX (Korea New Exchange) is the organised stock exchange for small enterprises. It is a channel through which venture start-ups at their early stage can raise funds without a huge burden of debt. We explain the regulations in this market and examine the effects of major changes in the relevant regulations. The first change was replacing the call auction mechanism with the continuous auction mechanism. The change improved the information asymmetry among investors. The second was lowering the minimum deposit requirement for individual investors from 300 million won to 100 million won. As the result of the change, market liquidity increased a lot and the number of investors increased. The last change was introducing the small investment account. Although this raised the participation of individual investors but did not lead to the improvement in market liquidity or information asymmetry. In overall, encouraging more investors to participate in the transactions in KONEX is the fast way to boost the market, while the long-term strategy should focus more on improving the information asymmetry by helping information generating and transferring activities.

Determinants of Leverage for Manufacturing Firms Listed in the KOSDAQ Stock Market (한국 KOSDAQ 상장기업들의 자본구조 결정요인 분석)

  • This study investigates empirical issues that have received little attention in the previous research in the Korean capital market. It is to find any financial determinants on the capital structure for the firms listed in the KOSDAQ(Korea Securities Dealers Automated Quotation). Another test is performed to find any possible discriminating factors by utilizing a robust methodology, which may distinguish between the firms belonging the 'prime section' and the 'venture section' in terms of their financial aspects. Moreover, the null hypothesis that the changing trend or movement of a firm's capital structure with respect to its industry mean (or median) may be random, is also tested. For the book-value based debt ratios, size(INSIZE), growth(GROWTH), Market to book value of equity(MVBV), volatility(VOLATILITY), market value of equity (MVE) and section dummy (SECTION) showed their statistically significant effects on the book-value based leverage ratios, respectively, while size(INSIZE), growth(GROWTH), market value of equity(MVE), beta(BETA) and section dummy (SECTION) showed their statistically significant effects on the market-value based leverage ratios. This study also found an interesting result that a firm belonging to each corresponding industry has a tendency for reversion toward its mean and median leverage ratios over the five-year tested period.
