Shipbuilding industry is one of the most influential ones in Korea. As shipbuilding industry is labor-intensive, it contributes to enhancing both local economy and national economy. Shipbuilding industry has been downsizing since the end of 2008 due to global financial crisis caused by America's sub-prime mortgage and aggravated by European countries' fiscal deficit. As a large fund is required for a single normal shipbuilding contract, fund raising is one of the most important elements in shipbuilding contract. Shipbuilding contract, requires refund guarantee in order for a buyer to reimburse the progressive payment paid to a builder. The disputes under shipbuilding contracts are mostly settled by arbitration rather than by law suit. English laws and English courts have been preferred for the choice of law as well as for the choice of forum. Due to depreciation of the ship value since the end of 2008, a number of buyers are trying to cancel the contract by raising unjust claim under the contract. Once disputes occurs regarding shipbuilding contract, a large amount of loss is inevitable. In order to mitigate the disputes arising from the shipbuilding contract, careful caution is required in drafting a shipbuilding contract.
Liability for the manufacture or supply of defective products can arise in two principle ways, in tort and in contract. English law has long regarded shipbuilding contract as agreement for the sale and purchase of goods. The consequence of which is that unless the Buyer and Builder agree otherwise, terms will automatically be implied into the contract between them as to the quality and performance of the completed vessel. The same principle applies to sub-contracts allied to the shipbuilding contract. On the other hand, one case decisions established that ".... a contract to build a ship, though a contract of sale of goods, has also some characteristics of a building contract", Recently the liability of a manufacturer in tort for physical damage i.e. personal injury and damage to property other than alleged to be defective is now well settled in most countries. Accordingly the Builder may face third party claims in tort more regularly than they have in the past, if the statutory implied terms have not been expressly excluded in contract. In such circumstances, it is necessary for the Builder to be prepared with counter measures to secure the stability of the vessel from its design development, building process, delivery and operation etc. The purpose of this paper is, from the case of "MSC Carla", to review product liability, jurisdiction and the initial date of extinctive prescription, then to suggest counter measures to the Builder.
Purpose - This research empirically proves that global shipbuilding industry leadership has moved to China from Korea. Design/Methodology - Competitiveness is measured by AHP for the weights of comprehensive competitiveness, which is the output mixture of three attributive factors: shipbuilding technology, shipbuilding contract price, and export credit. Findings - China is far ahead of Korea for standard vessels such as bulkers and containerships with competitiveness weights of 0.762 and 0.612, respectively, against 0.238 and 0.388 of Korea. Korea is maintaining its competitiveness only in LNG carriers (174k CBM) with a competitiveness weight 0.621. China and Korea have similar competitiveness for chemical carriers, complex vessels with a small hull size. The sources of Chinese competitiveness are shipbuilding contract price and export credit. With the majority share of standard vessel types in the world fleet, China will hold a bigger market share than Korea in the global shipbuilding industry in the forthcoming years. Implications - The swing factors of market power are shipbuilding technology and contract price. If China fails to further develop shipbuilding technology for shipowners worried about the reliability of the Chinese-built vessels, shipowners may swing back to Korea. The rising Chinese labor cost will expedite this swing in the forthcoming competition. Originality/value - To the best of the author's knowledge, this is the first paper that quantitatively examines the competitiveness of shipbuilding between China and Korea by comparing attributive factors for competitiveness.
A contract for the shipbuilding is usually a complicated and involves statement of rights, obligations and responsibilities which each party agrees vis-a vis the other. The ultimate purpose of the contract is the sale and transfer of the finished ship by the builder to the buyer. Contracts for the construction and sale of ships are categorized as contracts for the sale of goods under English, United States, Germany and some countries law. On the other hand, The shipbuilding contract may be classified, not as a contract of sale but as a contract for work and materials under Korea, Japan and some countries law. Especially, most of countries are now well settled with regard to liability of a manufacturer in tort for physical injury and on the other for pure economic loss to remote owners of chattels. Where there is either a breach of contractual warranty or an implied warranty, there may be admiralty jurisdiction, depending once again on the situs of the event and its relationship to traditional maritime activity. Contract principles will be applied to the first type of warranty and tort principles will be applied to the second. First of all, this thesis is dealt with the contents of contract under English Law. Secondly, this thesis is analysed into the liability of shipbuilder in Products Liability under English, American and Korean Law comparisons. In conclusion, the author tries to give some suggestions as countermeasures of Products Liability to the shipbuilder in Korea.
The Buyer shall demand to the Builder the repayment of the pre-delivery instalments paid in case of the Builder's default under a ship-building contract. The Buyer require a refund guarantee issued by a financial institution for a security for the repayment of the pre-delivery instalments paid. As the title of a refund guarantee, in practice, is various, we should look into the contents or the expressions in a guarantee to decide whether a guarantee is a refund guarantee. A refund guarantee, a sort of independent bank guarantee, has characteristic of abstractness, and is independent from the ship-building contract. A refund guarantee is available against the beneficiary's first written demand and signed statement certifying that the Builder failed to make the refund in accordance with the ship-building contract. The guaranteed amount of a refund guarantee will be automatically increased in accordance with the Builder's receipt of the respective instalment, which is not in the other advance payment guarantee. These characteristics of a refund guarantee are derived from the expressions in a refund guarantee rather than inherent therein. This illustrates that careful attention is required to the contents and expressions of the main clauses in a refund guarantee.
선박건조계약은 일반적으로 각 당사자의 권리와 의무 및 상대방에 대한 책임 등에 대하여 내용이 상당히 복잡하고 구체적으로 규정되며, 계약의 최종 목적은 선박 건조자가 완성된 선박을 매수인인 선주에게 이전하는 것이다. 이 계약은 영국법, 미국법, 개정독일민법(BGB), 그리고 기타 여러국가의 법에서 매매계약으로 보고 있으며, 반면에 한국과 일본 그밖의 여러국가에서는 도급계약으로 취급한다. 특별히 최근 여러 국가에서 안전상 사람에 대하여 상해를 일으킨 경우, 불법행위에 의한 제조자의 제조물책임이 잘 정착되어 있는 실정이다. 반면, 제3자에 대한 순수 경계적인 손실에 대해서는 그 물건의 소유자에게 그 책임이 확대되었다. 해사사건에 있어서 계약상 워런티나 묵시적인 워런티를 위반한 경우, 사건의 장소나 전통적인 해사 관련성에 의하여 해사재판관할권이 적용되어 진다. 즉 물품의 하자와 관련된 사건인 경우, 계약법상 워런티가 첫째 유형으로 적용되고, 불법행위에 의한 것은 두 번째 유형으로 적용된다. 그러므로 본 논문에서는 먼저 선박건조계약상 건조자의 계약책임에 대하여 영국법을 중심으로 고찰하고 다음으로 영국, 미국, 독일, 그리고 한국의 제조물책임법을 비교하여 결론적으로 각국들의 제조물책임에 대한 한국 조선소들의 대응전략을 제시함을 본 논문의 목적으로 한다
The international transactions of capital goods such as industrial plant exports, overseas constructions, and shipbuilding exports, are so huge that tremendous amount of funds are required, and that most of the loans are long-term credits of over five years. In the export of huge capital goods, financing is more crucial than technology itself. Some of the importing countries are developing ones that are politically and economically unstable. Therefore the financing mechanism for these transactions is conclusive in winning these projects. Global financial market instability caused by US sub-prime mortgage financial crisis expanded all over the world, and the international transactions have been decreased due to global credit crisis. This indicates how much influential the financing market is in international transactions. The financing schemes are classified into supplier credit and buyer credit by who provides the financing. A supplier credit is a credit extended by an exporter(seller) to an importer(buyer) as part of an export contract. Cover for this transaction may be extended by an export credit agency('ECA') to the exporter. In a sales contract a seller shall provide fund required to manufacture goods, and in a construction contract a contractor shall provide fund required to complete a construction. A buyer credit is an arrangement in which an exporter enters into a contract with an importer, which is financed by means of a loan agreement A Comparative Study on a Supplier Credit and a Buyer Credit in International Transactions of Capital Goods 155 where the borrower is the importer. In a sales contract a buyer shall provide fund required to manufacture and procure the goods, and in a construction contract an owner shall provide fund required to complete a construction. Therefore an exporter is paid on progressive payment method. A supplier credit and a buyer credit have their own advantages and disadvantages in the respect of the parties respectively. These two financing methods are selectively used considering financing conditions such as funding cost, importer's and/or exporter's financial conditions, importing country's political risk.
선박을 건조하는 조선산업은 서로 다른 부품을 순서에 따라 하나씩 조립하여 생산하는 주문형 조립 산업이다. 선박 한척을 건조하는데 필요한 부품의 수는 십여 만개 이상으로 수천에서 수만톤의 강재가 필요하며 보통 선박의 수주에서 인도까지 2년이 소요된다. 조선산업에 쓰이는 부품 등은 국내 외 외주업체를 통해 주문형 생산방식으로 공급받기 때문에 건조과정에서 필요한 부품을 적기에 공급받지 못한다면 물류비용이 증가하고, 작업 및 공정관리의 혼란이 발생한다. 따라서 본 논문에서는 효율적인 선박부품의 관리를 위한 자재관리시스템의 구축 방안을 제안한다.
2007년 미국에서 시작된 글로벌 금융위기의 영향은 국내의 해운 조선 분야에도 크게 영향을 미쳤다. 이와 관련하여 국내 조선소는 해운경기 악화로 인한 상선 수주물량 감소의 대체수단으로 여러 방면에서 수주전략을 수립하였고, 선택한 분야가 해양플랜트였다. 그러나 국내 조선소는 해양플랜트 관련 계약이 갖고 있는 위험성 분석에 대한 대비 없이 단순한 매출액 확대와 일감확보를 위한 무리한 영업 수주전략을 추진하였다. 이러한 결과, 해양플랜트 발주자와 초기에 계약한 금액보다 많은 비용이 투입되거나 제조물 인도지연에 따른 지체상금을 지급해야 하는 법적인 문제로 확대되었다. 주요 법적분쟁의 원인은 해양플랜트공사 시 발생할 수 있는 비선형모델에 의한 위험성 분석, 공정관리의 미숙, 국내 조선소가 "Engineering Procurement Construction 일괄계약"을 사용하는 해양플랜트공사계약의 이해 부족에 기인한다. 특히, 위험성 관리 항목의 한 요소로써 계약상의 독소조항에 대한 충분한 검토가 이루어지지 않은 점에 있다. 이러한 계약서를 검토할 만한 인력도 부재하다. 따라서 이 연구에서는 계약목적물의 인도지연이 발생할 수 있는 구체적 위험성의 존재를 식별하고, 해양플랜트공사계약 상에는 어떠한 불공정조항이 존재하며, 그러한 불공정조항이 실제 양 당사자에게 어떻게 적용되는지를 국내 조선소의 프로젝트 관리자의 인터뷰와 선행연구를 참조하여 구체적 위험요소가 계약상으로 어떻게 함의되는가에 대해서 살펴보았다. 이를 통하여 해양플랜트공사계약상 제조물인도지연에 관한 계약당사자의 법적 책임관계와 국내 조선 해양플랜트 산업발전에 기여할 수 있는 개선방안을 도출하였다.
