수입 브랜드 도입을 위한 주요 요인 연구: 독점 수입 패션 의류 브랜드를 중심으로 (Study on Main Factors for Imported Brand launching: Focus on Exclusive Importation Fashion Apparel Brand)

  • Purpose - The purpose of this study was to clarify the factors to make an exclusive importation contract between foreign fashion brands and local retailers for successful business in Korea. Even though imported fashion brand market shows stead increasing in terms of sales amount, the number of store related study was very rare in fact. Meanwhile, as long as this business is glowing a lot of brands are suffering from bad business performance or getting in ruins thus these problems result in foreign currency loss. The local marketers therefore, strongly expect to know the solution for this matter. Research design, data, and methodology - For the qualitative research, 10 experts who are operating foreign brands with an exclusive contract at a department store or at duty free shop now and who had at least over 10 years of related working experience were included. The factors for the exclusive importation contract with foreign brands were drawn up through the one-to-one in-depth interview method from September 3, 2017 to January 15, 2018. The expert group for the validity analysis includes 2 professors and 5 postgraduate students. Results - As a result of qualitative study on the factors for imported fashion brand's launching with the exclusive importation contract, it turned out that there were 5 factors - safety, profitability, reliability, speed and global retailing. Safety, profitability, and reliability have been mentioned in most related surveys but some details are added and speed and global retailing have been newly highlighted and many unknown legal issues that it was not easy to get form common academic research are included. Speed simply means quick lead time and global retailing means stores where located in other countries. Conclusions - The reason that qualitative research should be done before the quantitative research is due to the scant theoretical background for this matter. Because the market of an imported fashion brand is steadily increasing, determining the factors to make exclusive importation contract is very meaningful from the point of academic and business. After this study, many marketers may get basic conditions to apply for real business and I hope the following quantitative research will give more effective results. The next study also will have extended range concerning industry area, product and distribution channel.

연명의료 중단과 진료비채무에 관하여 - 대법원 2016.1.28. 선고 2015다9769 판결 - (Withdrawing Life-sustaining Treatment and Medical Expenses Obligation - The Supreme Court of Korea 2016.1.28. 2015Da9769 -)

  • 이 글은 대법원 2016.1.28. 선고 2015다9769 판결의 검토를 목적으로 한다. 이 사건 연명의료 중단에 관한 이전의 판례에서 대법원은 객관적 요건으로 회생불가능한 사망의 단계와 주관적 요건으로 환자의 동의가 충족되면 의료계약이 해지된다고 보았다. 그러나 환자의 동의는 의료계약 해지에 관한 동의가 아니다. 환자의 의료행위에 대한 동의는 법률행위가 아니다. 그것은 사실행위이다. 만약 연명 의료의 중단에 관한 환자의 추정적 의사가 의료계약의 해지의 의사라면, 의료계약은 연명의료 중단에 관한 소 제기시에 종료하여야 한다. 그런데 대상판결은 의료계약이 일부 해지되었다고 하면서도 진료비채무는 연명의료 허용에 관한 판결이 확정된 때부터 면제된다고 하였다. 이는 논리적으로 맞지 않다. 연명의료의 중단이 허용되면 의료급부 제공이 불가능해지기 때문에 그 부분 진료채무가 면제된다. 급부의 불능은 연명치료 중단에 관한 확정판결이 있는 때에 확정된다. 따라서 연명의료 중단에 관한 확정판결이 있은 때부터 연명의료에 대한 진료비채무가 면제된다고 한 대상판결의 결론은 타당하다. 다만 그 근거는 의료계약의 일부해지가 아니라 일부불능이다.

  • 본 연구에서 살펴본 바와 같이 컨테이너 운송의 경우 보험단보의 공백구간에서 발생하는 위험을 회피하기 위해서는 운송인 책임의 개시와 위험의 이전시기가 일치되어 있는 컨테이너 정형무역거래조건을 이용해야 한다고 사료되어진다.

국제복합운송계약에서 로테르담 규칙의 적용상 문제점에 관한 연구 (A Study on Problems Arising from Application of the Retterdam Rules under International Multimodal Transport Contracts)

  • The continuing advance of multimodal transport with the importance for efficient and effective logistics management emphasizes the need for uniform legal approach to international multimodal transport. However, the current fragmented instrument regulating such transport is being an obstacle to development of multimodal transport as it aggravates confusion and uncertainty. The Rotterdam rules, which was adopted in December 2008 by UNCITRAL, expands its scope of application to door-to-door transport. However, the new rules has some problems in its application to multimodal transport operation as it has been conceived not to regulate general multimodal carriage but to regulate contract of carriage by sea that extends its services to the transport by other modes. This article examines conflict of conventions in the Rotterdam Rules. The applicability of the Rotterdam Rules in international multimodal transport contract and possibility of potential conflict with other transport conventions are analyzed with some hypothetical cases. Furthermore, problems arising from application of the Rotterdam Rules under international multimodal transport Contracts are indicated in the chapter IV.

  • During the administration of a construction project, various types of participants are engaged in the project. From the design phase to the maintenance phase, these participants may confront many risks. To avoid these risks, participants should utilize an insurance company or a bond company. The types of risks and liability that a construction manager may face are listed in the construction law or contract. But there are some arguments related to risk transferring and the content of risks. For this reason, construction managers must carefully consider any possible risks in the contract and the construction law. Therefore, for construction managers to deal with risks appropriately, the introduction of a legal requirement to carry professional liability insurance, a defined compensation range for damages, a method of guarantee in the event of defects, a defined compensation claim period for damage, and a method of damage claim were suggested in this study.

원격의료의 법률관계 및 법제개선방안 (A Study on the Civil Liability of Telemedicine and Some Legislative Proposals)

  • A combination of information technology and medical care has given rise to a new type of medicine, i.e., telemedicine. Broadly defined, telemedicine is the transfer of electronic medical data from one location to another. Both at home and abroad, telemedicine has come to success in establishing appropriate equipment and solutions for such non-conventional medicine. Sooner or later, telemedicine is believed to find itself as one of the universal treatments. In order to facilitate the full-fledged development of telemedicine, a number of legal and institutional problems have to be settled. In Korea, the Medical Act was amended to include such provisions as telemedicine, electronic medical records, electronic prescriptions, etc. and the Act came into force on March 31, 2002. Telemedicine is in common with the conventional medicine in that a physician treats a patient. However, telemedicine is basically differentiated in the followings: - The offer and acceptance of treatment and medication are usually made on-line; - Telemedicine is inherently dangerous because a physician cannot meet face-to-face with a patient; and - Joint and several liability is borne by all the physicians involved in a telemedical consultation. As a result, telemedicine is vulnerable in nature to medical malpractice. Accordingly, there must be some new theories and arguments in the formation of contract and torts. The discussion on the civil liability covers the above-mentioned issues, and would give an insight or guidelines in the concerted operation of provisions with respect to telemedicine. This study delves into the civil liability of physicians involved in telemedical consultations and treatments based upon the conventional malpractice theory.

  • 본 연구는 최근 컴퓨터사용의 보편화와 정보통신기술이 발달로 급속히 진전되어 가고 있는 전자무역거래의 전분야 중에서 컴퓨터 On-Line(E-mail과 WWW 등)을 통한 전자무역계약의 성립법리과 UCC를 중심으로 한 전자무역계약의 성립요건을 살펴보고 일본법과 UNCITRAL Law, 그리고 EU지령 등을 중심으로 전자무역계약의 성립시기와 그 계약의 휴요성을 구체적으로 제시함으로써 인터넷시대에 대응한 전자무역계약성립에 대한 명확한 이론정립에 도움을 주고자함을 목적으로 한다.

Can Economic Sanctions be Grounds for Exemption under the CISG?

  • Purpose - This paper studies whether economic sanctions can be used as grounds for a party to an international sales contract to get an exemption if he fails to meet his contractual obligation. Because the answer can differ depending on the governing law of the contract, this study focuses on CISG, the most widely recognized international uniform legal instrument as the governing law of the international sale of goods. Design/methodology - This paper focuses on analyzing the conditions to meet before getting an exemption under CISG. For such analysis, this paper examined various scholarly writings, cases, and hypothetical examples reflecting a wide variety of economic sanction measures. Findings - The findings of this paper are as follows. The main provision for exemption under CISG is Article 79(1), which provides for an exemption for a party that failed to perform if such failure was caused by an impediment that was uncontrollable, unforeseeable, and unavoidable; either a seller or a buyer may rely on the Article for his non-performance, delay, or defective performance. The Article is applicable not only where the economic sanction caused impossibility of performance but also where it caused hardship. The economic sanction will likely be found to be an uncontrollable impediment; however, it will be relatively more difficult to prove it to be unforeseeable or unavoidable. Originality/value - The subject of this paper is whether a party can be exempted from liability under CISG when he fails to perform his contractual obligations due to economic sanctions. Given that this issue is now actually faced by many involved in international trade, it is expected to provide practical help to practitioners and companies alike.

국제장기상거래계약에서의 재협상 및 계약변경에 관한 연구: 원계약 상 관련 조항이 포함되지 않은 계약을 중심으로 (A Study on the Renegotiation and Adaptation of International Long Term Commercial Contracts: Focusing on the Contracts without the Renegotiating Clauses)

  • In case of international long-term transactions, there are various risks of economic change of circumstances including skyrocketing price increase and shortage of raw material, as well as force majeure in a general sense. Nevertheless, pretty many of international long-term commercial contracts do not include the provisions of renegotiation and adaptation of the contract. In this case, possibility of renegotiation and adaptation depends mainly on the applicable law. Namely, it may be possible or not, according to choice of law. The reason is that national laws have nuances each other, and most of national courts are traditionally reluctant to accept hardship. and also, provisions of international uniform law (CISG) has ambiguity and inflexibility in relation to the problems of change of circumstances. Accordingly, this paper analyzes comparatively the doctrines and provisions related to renegotiation and adaptation of contracts of the most representative countries such as England, U.S.A., France, Germany as well as provisions CISG and soft law such as PICC. By doing so, the author makes clear which laws of instruments is more flexible or acceptable in allowing renegotiation and adaptation of long-term commercial contracts, and emphasizes on the importance of inclusion of express terms by using other alternative supplementing clauses, as a best solution for settling the problems of legal uncertainty of contract in relation to renegotiation and adaptation.

  • 항공우주분야에서 특수 목적 항공기 이외에도 시제기, 무인비행장치, 우주발사체 등 다양한 형태의 제작물공급계약이 증가하고 있다. 도급인의 입장에서는 거액의 비용을 지출하여 제작물을 공급받기로 예정되어 있었는데, 제품의 품질과 성능의 기준을 제시하는 구매규격서가 부실하거나 성능미달여부를 판단할 만한 능력이 부족한 경우에는 목적 달성 불능 이외에도 막대한 시간과 비용을 소모하게 된다. 수급인으로서도 계약 목적 달성에 필요한 성능과 품질을 갖춘 제작물을 공급할 능력이 없음에도 불구하고 무리하게 계약을 체결하게 되면, 일의 미완성에 따른 매몰비용과 계약해제에 따른 손해배상을 감수하여야 하므로 막대한 손해가 발생한다. 대상사안에서 피고는 원고에게 구매규격서에 규정된 바와 같이 ILS Offset 비행이 가능한 Happy Box 방식에 의한 항공기를 납품하도록 하였으나, 원고는 RNAV 방식에 의한 항공기를 납품하려고 하였다. RNAV 방식에 의하여도 ILS 지상신호의 검사가 가능하더라도 원고가 주장하는 방식으로 제작된 항공기는 구매규격서에서 요구한 ILS Offset 비행기능을 갖추지 못하여 피고가 구매규격서에서 요구한 목적을 달성할 수 없으므로, 이를 이유로 한 피고의 계약해제가 적법한지 여부가 문제되었다. 이 사건 계약의 목적물인 항공기는 부대체물에 해당하므로 이 사건 계약은 도급의 성질을 가지고, 따라서 이 사건 계약에서 일이 완성되었다고 하려면 항공기의 주요구조 부분이 약정된 대로 제작되어 사회통념상 일반적으로 요구되는 성능을 갖추고 있어야 한다. 그런데 원고가 납품한 항공기는 구매규격서에서 요구한 ILS Offset 비행기능을 갖추지 못하여 피고가 구매규격서에서 요구한 목적을 달성할 수 없으므로 중대한 하자가 있고, 이러한 하자는 원고가 보수하는 것이 불가능하므로, 이를 이유로 한 피고의 계약해제는 적법하다.
