An Activation Plan of Electronic Contract Real Estate

  • In the 21st century knowledge and information society, Electronic Contracts made with the intention of electronic computer information networks are emerging as a new legal problem which can not be solved in the conventional legal system governing contracts. In other words, the indicator's decision determines the effect and formation of the contracts in the face-to-face or written contracts but electronic decision through computer information network is established the working process of electronic signals-electronic contracts are not only difficult to separate the decision-making process but questioned to be solved by the theory of the general legal action. Ministry of Transportation is scheduled to introduce real estate sales and lease contract using a variety of electronic devices such as computer, tablet PC, smart phones and so on without a paper contract. This system is conducted to global expansion of Seoul in demonstration zone on May 8, 2016 and will be implemented nationwide in the second half of 2017. Electronics contract Real estate has some benefits because made by linking electronic contract system and the electronic registration system - the economic effects discounts on various kinds of fees, the prevention from real estate fraud beforehand and the solution to the complexity of the process the seller and the buyer visits The Real estate agency. However, it has some problem- the disorder in the real estate contract market, the occurrence of the real estate agency accident and the author of the electronic real estate contracts have limited only to realtor. In this paper, I suggest the activation plan to search for establishment and effect of electronic contracts and declaration of intention in electronic depending on the Electronic Contract Real Estate system.

  • 본 연구는 최근 컴퓨터사용의 보편화와 정보통신기술이 발달로 급속히 진전되어 가고 있는 전자무역거래의 전분야 중에서 컴퓨터 On-Line(E-mail과 WWW 등)을 통한 전자무역계약의 성립법리과 UCC를 중심으로 한 전자무역계약의 성립요건을 살펴보고 일본법과 UNCITRAL Law, 그리고 EU지령 등을 중심으로 전자무역계약의 성립시기와 그 계약의 휴요성을 구체적으로 제시함으로써 인터넷시대에 대응한 전자무역계약성립에 대한 명확한 이론정립에 도움을 주고자함을 목적으로 한다.

  • Resorting to electronic arbitration to resolve disputes in international trade contracts is the most important reflection of technological progress on the reality of international commercial arbitration. Electronic is a modern image of traditional arbitration, and this type of arbitration provides many advantages that are not provided by any legal system for resolving disputes, including speed, effectiveness and lower costs. What will this development produce? Through technical progress in the means of communication, it has become conceivable that international trade dealers agree to arbitration via electronic means of communication, followed by the completion of the arbitration process via the Internet, leading to the issuance of the electronic arbitration award in an electronic manner as well.

국제계약에서 전자통신의 이용에 관한 협약의 채택과 중재합의에의 적용에 관한 연구 (A Study on the Adoption of Convention on the Use of Electronic Communications in International Contracts and its Application to the Arbitration Agreement)

  • The purpose of this paper is to make research on the method of arbitration agreement, the adoption and contents of the Convention on the Use of Electronic Communications in International Contracts, and the standpoint and problem with reference to the new Convention's application to the method of arbitration agreement in New York Convention. Last year the UN General Assembly and UNCITRAL adopted a new Convention on the Use of Electronic Communications in International Contracts that makes agreements by electronic communications enforceable, including arbitration agreements under the Convention on the Recognition and Enforcement of Foreign Arbitral A wards (New York Convention). Aimed at enhancing legal certainty and commercial predictability where electronic communications are used in relation to international contracts, the provisions of the Convention deal with, among other things, determining a party's location in an electronic environment; the time and place of dispatch and receipt of electronic communications; and the use of automated message systems for contract formation. Under the New York Convention, arbitration agreements in international contracts must be reduced to writing before they can be enforced. But under the new Convention, an arbitration agreement made entirely in electronic form would be enforceable. The working group expressed overall support in favor of the inclusion of a reference to the New York Convention in the new Convention. However, one proposal was that the exclusions provided under article 2 of the new Convention might be too broadly worded to adequately accommodate the New York Convention. In conclusion, Korea's government authorities should take prompt measures to sign and ratify the new Convention, and declare on the scope of its application. Also Korea's arbitration institute should make preparation for the amendment of the arbitration act and arbitration rules in accordance with the new Convention.

  • Legal rules applying to the commerce and international commerce in particular contracts, proper law, jurisdiction and so on, have improved with time and experience. Engaging in e-commerce on the World Wide Web may expose the company to the risk of being sued in any foreign country where Internet user can establish a legal claim. The modem law of contracts is highly sophisticated and difficult to understand. With contracts created in cyberspace, the basic rules are no difference that we can find. However, there are situations in e-commerce that are altogether new and to which the existing rules cannot apply. Here uncertainty and business risk is too high for trading partners to deal with certainty. Therefore existing law must change to e-commerce law so that it provides certainty and enforceability over e-commerce. UNCITRAL Working Group on Electronic Commerce prepared the Preliminary Draft Convention on [International] Contracts Concluded or Evidenced by Data Message from the thirty-ninth session in 2002 which applies to international contracts concluded or evidenced by means of data messages. An electronic contract is concluded when the acceptance of an offer becomes effective, and an offer becomes effective when it is received by the offeree, and an acceptance of an offer becomes effective when the indication of assent is received by the offeror according to this Convention. Electronic contract may be concluded by the interaction of an automated computer system and natural person or by the interaction of automated computer systems, and a contract formed by a natural person that accesses an automated computer system of another person has no legal effect in case the neutral person made a material error in a data message.

The this paper is to study the current situations of trade financial EDI in Japan and problems in application of marine insurance contracts. The subject of electronic marine policy issue is as following in trade financing EDI. (1) application of electronic document in claim demand. (2) standardization of various documents and insurance plice data. (3) insurance compensation document that become Jeonjahwa in insurance accident settlement. (4) maritime Insurance policy agreement's establishment. (5) when is monopolized to third party, realization of electronic maritime insurance policy offer.

전자계약에 관한 국제협약 초안의 주요내용과 특징에 관한 연구 (The Main Contents and Characteristics of the Draft Convention on Electronic Contracting)

  • There are situations in e-commerce that are altogether new and to which the existing rules cannot apply. The uncertainty and business risk is too high for trading partners to deal with certainty. Therefore existing law must be changed to e-commerce law so that it provides certainty and enforceability in the e-commerce. Legal rules applying to the commerce and international commerce, in particular, contracts, proper law, jurisdiction and so on, have improved with time and experience. It has been found that the problems arising in the context of e-contracting were due to the absence of experience in electronic contracting and an absence of knowledge on how best to solve the problems. Thus, UNCITRAL Working Group on Electronic Commerce held an extensive discussion on issues related to electronic contracting and prepared and revised the Preliminary Draft Convention on International Contracts Concluded or Evidenced by Data Message from the thirty-ninth session in 2002 and prepared the Draft Convention from forty-first session which applies to international contracts concluded or evidenced by means of data messages. 스마트계약의 활성화 방안에 관한 연구 - 소프트웨어 수출사업을 중심으로 (A Study on Suggestions for Activating Smart Contract - Focusing on Software Export Business)

  • The purpose of this study is to examine the extent to which smart contracts can be applied to the software export business and to find out the legislative issues to activate smart contracts. A smart contract is a computer program that automatically executes a contract when conditions are fulfilled. Smart contracts can play a pivotal role in the field that requires immediate execution of contract or in a highly standardized field with multiple parties involved. In the software export business, it is desirable to apply the smart contract partially rather than applying the smart contract to the entire process because various parties are involved and the process is very complicated. The business model of exporting packaged software, a completed software that is mainly licensed for use, rather than the business model of exporting customized software is suitable for using smart contracts because the project for implementing customized software is mainly focused in the development stage. When smart contracts are used in processes such as contract signing, payment, and project management, work efficiency can be increased. In addition, smart contracts can be used when conditions can be quantified, such as error penalties, in areas that previously required contracts with third parties such as banks, guarantors. In order for smart contracts to be actively used in practice, legal reviews on various issues are necessary including the legality of a smart contract and the validity as an electronic document of NFT (non-fungible token) certificate. Also, for the system stability preventing hacking, etc, the periodic verification or inspection by a third party is essential. To activate smart contracts in international transactions the international treaty regarding smart contracts is also necessary.

  • 본 연구에서는 완전한 무역전자화(paperless)를 목표로 무역업무철자에서 현재 진행되고 있는 무역금융EDI현상을 국제적 동향과 일본의 동향(주로 서류의 전자화)을 중심으로 고찰한 후, 해상적하보험분야에서 종래EDI의 활용과 시스템환경변화에 따른 새로운 EDI적용환경의 적용현상을 토대로 보험회사의 시각을 중심으로 수출입화물에 필요한 화물해상보험계약에서의 EDI적용과 향후과제들을 제시하였다.

  • 전자계약이란 과거 계약 당사자들이 대면으로 만나서 처리하던 계약서 작성 서명 관리 등의 일련의 계약 업무를 공인인증서 기반의 전자서명 및 암호화를 통해 시간과 공간의 제약 없이 온라인으로 계약서를 작성 체결 관리 보관하는 것을 의미한다. 최근 정보통신기술의 눈부신 발전과 초고속인터넷의 서비스가 보급되면서 이를 이용해서 이루어지는 거래계약으로 일정한 법률효과를 목적으로 두 사람 이상의 당사자가 전자적 의사 표시의 합의인 법률행위를 통하여 기업 생산성 향상 외에도 계약서류와 실제 구매 입고 지급 같은 전 과정을 조정할 수 있는 이점이 많아 급속도로 새로운 경제활동의 영역의 축으로 급부상하고 있는 것이 현실이다. 이러한 시대변화 속에서 전자계약의 성립과 관련하여 민법상 계약의 핵심인 당사자의 의사표시 등에 대하여 전혀 예상하지 못한 법률적인 여러 가지 문제점이 대두되고 있어 체계적인 법리구성이 요구되는 실정이다. 이에 따라 본 연구에서는 전자계약에 따른 문제점에 대한 고찰을 통하여 합리적인 개선방안을 제시하고자 한다.
