2차 전자계약예비협약초안에 관한 연구 (A Study on the revised preliminary draft convention on[Int'l] contracts concluded or evidenced by data message)

  • On the above, a comparison between preliminary draft conventions and comments by the Int'l Chamber of Commerce, contents of preliminary draft convention, problems and alternative are discussed. The conclusions are as follows thereof : The laws of MLEC and MLES made preparation for electronic era of CISG. But electronic circumstances are more changed than the time of regulation of them. Therefore the business world needs a stand-alone convention dealing broadly with the issues of contract formation in electronic commerce. At last, preliminary draft convention delivered a second round. But the base of the instrument was also MLEC and MLES. The revised preliminary draft convention is much amended beyond preliminary draft convention. At its forty-one sessions, the working group reviewed articles 1-11 of the revised preliminary draft convention presented by the secretariat. The remainder was pending until the time of its forty-two sessions. Therefore, on the base of deliberations and decisions of that sessions and them of thirty-six sessions of UNCITRAL, which will be held on comming november, the draft convention which will be prepared by the secretariate, be re-revised preliminary draft convention. According to review of working group on them, preliminary draft convention will officially be draft convention or revise by secretariate. Under these situations, my points of view on draft convention are as follows : As though e-UCP is used carring out side by side with UCP, after e-CISG making in order to adjust CISG to "on" transaction, it is very easy and prompt for business worked to use CISG with e-CISG. This will facilitate ratification of the CISG. For this case, I already presented contents of e-CISG. It is very important for the preliminary draft convention to deal specially with issues related to electronic contracting or to electronic transaction, because according to which way, its contents and scope of application will be different. But the revised draft convention is regretably compromising both them. Consequently, its contents are very confusing and we could not expect its success. If e-CISG will regulate, it is desirable that, if possible, working group has to make the general rule, and the making of useful, practical, affordable rule for electronic commerce, for example Uniform Customs and Practices for Electronic Commerce(e-UEC) in order to solve the specific practical problems, if any, which business currently faces regarding electronic contracting, has to entrust ICC. If working group want to make e-CISG, it is important not to hesitate and take a significant amount of time.

Compliance of Electronic Bill of Lading Regulation in Korea with Model Law on Electronic Transferable Records

  • Purpose - The UNCITRAL Model Law on Electronic Transferable Records (Model Law) is based on the principles of non-discrimination against the use of electronic means, functional equivalence, and technology neutrality underpinning all UNCITRAL texts on electronic commerce. Investigating the disagreements between the Model Law and the Koran Commercial Act (KC Act), including the B/L Regulation, and suggesting the revision of the KC Act including the B/L Regulation, could be a valuable study. The purpose of this paper is to contribute to the harmonization of Korean legislation regarding electronic bill of lading in compliance with the Model Law. Design/methodology - The Model Law is flexible to accommodate the use of all technologies and models, such as registries, tokens, and distributed ledgers: that is, blockchain. In 2007, the KC Act was revised to regulate electronic bills of lading to promote the widespread legal use of electronic bills of lading. In addition, The Regulation on Implementation of the Provisions of the Commercial Act Regarding Electronic Bills of Lading (the B/L Regulation) was enacted to regulate the detailed procedures in using electronic bills of lading in 2008. This paper employs a legal analysis by which this paper does find differences between two rules in light of technology neutrality and global standard of electronic bills of lading model. Findings - The main findings are as follows: i) the Korean registry agency has characteristics of a closed system. ii) The KC Act has no provision regarding control. iii) The KC Act discriminates other electronic bills of lading on the ground that it was issued or used abroad. Moreover, this study does comprehensive analysis of Korean Acts in comparison with the Model Law and, in particular, this study analyzes the differences between the KC Act and the Model Law by comparing article by article in view of the harmonization of the two rules. Originality/value - The subject of previous several studies was draft provisions on Electronic Transferable Records before completion of the Model Law; thus, these studies did not take into consideration the character of the Model Law as the Model Law was chosen at the final stage of legislation. This study is aimed at the final version of the Model Law. So, this study is meaningful by finding the suggestion and directions for the Korean government to revise the KC Act and the B/L Regulation in line with the Model Law.

전자무역문서보관소(電子貿易文書保管所) 운영상(運營上)의 문제점(問題點)에 관한 연구(硏究) (A Study on the Operational Problems of e-Trade Document Repositary)

  • It is no unnecessary to tell the importance of foreign trade in Korea economics. Nevertheless, government's direct support is impossible owing to WTO's regulation. Accordingly, government have brought focus into trade facilitation as paperless trade. e-Trade document repositary building by government's budget and private sector's cooperation is a part of e-Trade platform and necessary function in connection with relay and certification of e-Trade document. This study examined the estimated operational problems of e-Trade document repositary as compared Licensed Electronic Document Repositary. Firstly, the operator of e-Trade document repositary undertake multiple role and function as Licensed Certification Authorities(e-sign Act), Licensed Electronic Document Repositary(Framework Act on Electronic Transaction) etc. Secondly, sufficient levy that meet operating cost of the e-trade document is the key point of e-Trade document repositary's success, because additional budget invest in that operation is too hard to do. Thirdly, the operator of the e-Trade document repositary have to keep fairness, objectivity and transparency because the operational right is exclusive.

  • 민간자율규제와 정부개입의 최소화의 조율은 업계의 자율규제를 기본으로 하여 정부의 법 정책적인 보호 및 규제를 병행하여 해결하는 것이 바람직할 것이다. 특히, 소비자 보호 및 개인정보보호에 관해서는 업계의 충실한 자율규제를 촉구하고, 정부의 개입이 불가피하다면, 보다 명확하고 구체적인 조건과 범위 내에서만 허용되어야 할 것이다. 이에 본 논문에서는 전자상거래 관련 국제규범 형성의 전망을 중심으로 국내 전자상거래 규범 형성과정에 있어서 정부의 대응방안을 제시하였다.

중국 전자상거래 시장의 최근동향 및 시사점 (Current status of E-commerce market in China and implication)

  • 인터넷과 모바일 통신망 보급의 빠른 확산 속도와 더불어 중국의 전자상거래 시장은 과거 10년간 72배 성장하였다. 그러나 성장속도 대비 해당 시장의 선진화를 위한 하부구조와 관련 규정의 부재는 최근 국가 경제발전 차원에서 시급히 개선되어야할 문제로 부상하고 있다. 따라서 본 연구에서는 문헌연구를 통해 최근 급성장한 중국 전자상거래의 기반 환경 및 시장현황을 살펴보고, 현재 중국 시장에서 문제로 대두되고 있는 전자상거래상의 주요 이슈를 전자상거래 형태별로 점검하였다. 또한 중국 유통시장에서 가장 큰 문제로 지적되고 있는 전자상거래상의 물류시스템의 문제, 소비자 보호문제, R&D 투자 현황 및 고급인력 확충의 문제를 진단하고 향후 기업차원과 정부차원의 제도 및 시스템 개선을 제안하였다. 마지막으로 본 연구는 특히 과거 연구에서 논의되지 않았던 모바일 결제시장과 인터넷 금융시장 및 전자상거래 중국의 세제 개편내용을 제공하고 국제표준화를 위한 제도적 시사점을 도출하였다. 중국정부의 5개년 전자상거래 육성을 위한 전자상거래 대외시장 개방에 대한 정책 발표 이후, 한국 수출 기업들에게 제공하는 시사점을 처음으로 제안하였다는데 의의가 크다.

  • 본 논문에서는 감사 로그에서 부인 방지를 위해 모든 전자 금융 거래 관련 내역은 로깅 및 보관되어야 한다는 것도 제시한다. 그리고 어플리케이션 접속로그 및 중요 정보에 대한 조회 및 사용 내역은 로깅 및 검토되어야 한다는 것도 제시하도록 한다.

국제전자결제시스템으로서 CHIPS에 관한 연구 -Fedwire와 비교하여- (A Study on the CHIPS in the Cross-Border Payment System - Compared with Fedwire -)

  • This article want to discuss on comparative research between CHIPS and Fedwire as the cross-border payment systems which America have and use at present. CHIPS is a New York-based automated private-sector clearing facility for large-dollar transfers. It is a central switch communication and settlement system whose 53 participating banks exchange same-day payment messages over dedicated communication lines linking each one to the CHIPS central computer. On January 22, 2001, CHIPS introduced immediate finality for payment released from the CHIPS queue. Unlike the Fedwire system, The CHIPS system is not a real-time gross settlement system. Instead, CHIPS is hybrid system that uses a computer program to select payment order in a queue for release to the receiving bank. CHIPS are governed by CHIPS Rules and Administrative Procedures. Fedwire system is a nationwide electronic fund-transfer system facilitating same-day transfers throughout the United States. It is a gross settlement system providing immediate credit to the receiving bank's master account. Communicating between a Federal Reserve Bank and Fedwire users can be either on-line or off-line. Fedwire transfers are governed by Subpart B of Regulation J, issued by the Federal Reserve Board, which incorporates U.C.C. Article 4A but preempts or supersedes any of its inconsistent provisions.

국경넘은 소비자 분쟁에 있어서 ODR (Online Dispute Resolution for Cross-Border Consumer Disputes)

  • Cross-border consumer disputes are on the increase as cross-border trade between consumers and businesses continues to grow. Cross-border consumer disputes are difficult to solve, because there are different languages, laws and institutions between the parties. These consumer disputes can be solved more easily by Online Dispute Resolution (ODR) in comparison with utilizing court processes. ODR is a branch of dispute resolution which uses technology to facilitate the resolution of disputes between parties. It primarily involves negotiation, mediation or arbitration, or a combination of all three. In this respect it is often seen as being the online equivalent of alternative dispute resolution (ADR). On 18 June 2013, the new legislation on Alternative Dispute Resolution and Online Dispute Resolution has been published - the "Directive on Consumer ADR and Regulation on Consumer ODR". The new legislation on ADR and ODR will allow consumers and traders to solve their disputes without going to court, in a quick, low-cost and simple way. The United Nations working group for online dispute resolution of cross-border electronic commerce transactions (UNCITRAL Working Group III) has been underway since 2010 to continue its work on procedural rules for ODR.

국가 정보화 수준이 경제성장에 미치는 영향: 규제와 경쟁우위의 조절효과를 중심으로 (The effect of national level of ICT on economic growth : Focusing on the moderating effect of government regulation and international market competitive advantage)

  • 국가의 정보화 수준은 해당 국가의 경쟁력에 중요한 영향을 미치는 기본 인프라로써 경제성과에 영향을 미친다. 세계화의 확산과 함께 전자 무역 등 정보화 관련 경제활동이 점차 활발해 지며 국가 ICT의 중요성은 더욱 커지고 있는 실정이다. 본 연구는 정보화 수준을 접근, 이용 그리고 활용 능력 세 가지 차원으로 세분화하여 국가의 경제적인 성과에 미치는 영향을 분석하고자 하였다. 특히, 국가의 경제발전 단계에 따라 정보화 수준의 경제적 영향력의 차이를 분석하여 선진국과 개발도상국의 국제 정보격차(digital divide)를 효과적으로 해소할 수 있는 방안을 도출하고자 하였다. 나아가 정부의 규제와 각국의 기업이 갖는 국제시장에서 경쟁 우위의 원천이 국가의 ICT가 가져오는 경제적 영향력에 대하여 조절적 역할을 수행하는지 검증하고자 하였다. International Telecommunication Union(ITU)의 ICT development Index(IDI)와 World Economic Forum(WEF), World bank에서 데이터를 수집하여 패널분석을 실시한 결과, 국가의 정보화 수준은 접근과 활용 측면에서 경제성장에 일관되게 유의미한 정의 영향을 미치는 것으로 나타났으며, 특히 개발도상국의 경우 영향력이 큰 것으로 분석되었다. 또한, 정보화 수준과 경제성장의 관계에 대하여 선진국의 경우 기업의 경쟁우위가, 개발도상국의 경우 정부의 규제가 유의하게 조절효과를 갖는 것을 확인하였다. 본 연구 결과에 따른 시사점에 대하여 논의하였다.

  • 본 논문에서는 업무수행자인 사용자의 역할과 데이터 사용행위를 기반으로 한 접근 및 권한 통제가 이루어져야 한다는 점을 강조한다. 조직의 운명을 좌우하는 매우 중요한 정보의 대량 조회 및 변경 작업은 반드시 사전 결재를 취득해야 가능하다는 점도 제시한다.
