Ownership Structure and Corporate Voluntary Disclosures in Transition Economy

  • The study aims to investigate the impact of ownership structure on corporate voluntary disclosure in the listed companies of Bangladesh. While many studies on the impact of ownership structure on voluntary disclosure have looked at developed and developing countries, few studies have been carried out in a transition economy. Using a three-step relative voluntary disclosure index, the study applies a multivariate analysis on the cross-sectional data for the year 2018. The findings indicate that the quality of voluntary disclosure in transition economy is still below average but has improved compared to findings from the previous literature. We found a significant inverse relationship between corporate voluntary disclosure and public ownership, while no significant relationships between voluntary disclosure and institutional ownership, director ownership, and foreign ownership have been found. The empirical findings of the study will provide evidence to promote the voluntary disclosure characterized by the ownership structures. The findings have important implications for both local and foreign investors as they make their investment decisions especially related to a transition economy. Besides, the findings will assist, not only the corporate executives in rearranging their reporting paradigm, but also the regulators and governments in similar transition economy in adopting and formulating their corporate policies and strategies.

Self-Disclosures on Facebook: The Two Faces of Narcissism

  • Individual personality traits are key factors that affect users' self-disclosure on SNS. We examined the relationship between an individual personality trait (i.e., narcissism) and three dimensions of self-disclosure behavior on Facebook (i.e., intention, level, and control of self-disclosure). A total of 261 Facebook users completed an online survey. The findings showed that more narcissistic individuals engage in deeper levels of self-disclosure and do so with greater intentionality than previous research indicated. More interestingly, narcissistic users simultaneously tend to control their expressions in public by concealing who they really are. Overall, these findings suggested that the self-disclosures on Facebook must not investigated by a single dimensions for better understanding of psychological dynamics of it users. In addition, the present research suggested that the narcissism should not be regarded as a predictor which simply gives either a positive or negative influence on self-disclosing behaviors in SNS.

The Relationship Between Company Value and Good Financial Governance: Empirical Evidence from Indonesia

  • State-Owned Enterprises (SOEs) are business entities that are owned mainly by the state. Good financial governance (GFG) is as important for SOEs as for the private sector companies. Prudence and GFG can affect the value of the company. This research aims to test the impact of macroeconomics, investment decisions, and financing decisions on prudence, Corporate Social Responsibility Disclosure (CSRD), dividend policy, and company value of SOEs registered on the IDX from 2014-2019. GFG and financing decisions are moderating variables. The population in this study is 16 SOEs listed on the Indonesia Stock Exchange from 2014-2019. The research method is quantitative and uses Partial Least Squares (PLS), which is an approach to Structural Equation Models (SEM) that allows researchers to analyze the relationships simultaneously. The results showed that macroeconomic factors, investment decisions, financing decisions, and prudence directly affect the company's value. However, CSRD and dividend policy directly do not affect the company's value. Prudence can mediate the influence of financing decisions on company value. GFG moderates the relationship between prudence and company value. Thus, GFG is key to producing compliant regulatory reports and disclosures. GFG aims at facilitating effective monitoring and efficient control of the business. Its essence lies in fairness and transparency in operations and enhanced disclosures for protecting the interest of different stakeholders.

BERT를 활용한 미국 기업 공시에 대한 감성 분석 및 시각화 (Sentiment Analysis and Data Visualization of U.S. Public Companies' Disclosures using BERT)

  • Purpose This study quantified companies' views on the COVID-19 pandemic with sentiment analysis of U.S. public companies' disclosures. It aims to provide timely insights to shareholders, investors, and consumers by analyzing and visualizing sentiment changes over time as well as similarities and differences by industry. Design/methodology/approach From more than fifty thousand Form 10-K and Form 10-Q published between 2020 and 2021, we extracted over one million texts related to the COVID-19 pandemic. Using the FinBERT language model fine-tuned in the finance domain, we conducted sentiment analysis of the texts, and we quantified and classified the data into positive, negative, and neutral. In addition, we illustrated the analysis results using various visualization techniques for easy understanding of information. Findings The analysis results indicated that U.S. public companies' overall sentiment changed over time as the COVID-19 pandemic progressed. Positive sentiment gradually increased, and negative sentiment tended to decrease over time, but there was no trend in neutral sentiment. When comparing sentiment by industry, the pattern of changes in the amount of positive and negative sentiment and time-series changes were similar in all industries, but differences among industries were shown in neutral sentiment.

NCS기반 회계·감사 및 세무 직무역량이 사회혁신기업의 지속가능성에 미치는 영향 (The Effect of NCS-based Accounting, Audit and Tax Job Competency on the Sustainability of Social Innovative Enterprises)

  • 최근 사회혁신기업에 대한 경영공시나 자율경영공시 등 회계의 투명성을 기반으로 한 기업신뢰에 대한 요구가 증가함에 따라 사회혁신기업도 회계 및 세무업무에 대한 직무가 중요해지고 있는 상황에서, 본 연구는 그동안 연구되지 않은 NCS 회계·감사 및 세무분야 직무가 지속가능성에 미치는 영향에 대하여 살펴보았다. 특히 경영공시나 재무제표의 적정성 등에 대한 문제는 회계업무담당자가 얼마나 윤리적으로 업무처리를 수행하는가에 달려있다. 따라서 회계업무담당자의 회계윤리가 NCS 회계·감사 및 세무분야 직무가 지속가능성에 미치는 영향관계에서의 매개역할에 대하여 살펴보았다. 연구대상은 서울, 부산 등 특별시와 광역시에 설립된 사회적기업을 포함하여 사회적협동조합 등 사회혁신기업 50개 기업에서 회계업무를 담당자는 500명을 대상으로 설문을 조사하고, 이중 372개의 유효설문지를 가지고 경로분석을 실시하였다. 분석결과 NCS 회계·감사 및 세무분야 직무는 사회혁신기업의 지속가능성 요소인 경제적 가치와 사회적가치 및 환경적가치에 모두 유의한 영향을 미치고 있다. 또한 NCS 회계·감사 및 세무분야 직무는 회계윤리에도 유의한 영향을 미치며, 회계윤리는 경제적가치를 제외하고 사회적가치와 환경적가치에 유의한 영향을 미치는 것으로 나타났다. 또한, NCS 회계·감사 및 세무분야 직무와 사회혁신기업의 지속가능성 요소 사이에서 회계윤리는 매개효과가 있는 것으로 나타났다. 특히 NCS 회계·감사 및 세무분야 직무와 사회적가치의 관계에서는 완전매개효과 있는 것으로 나타났다.

연결재무제표 외부감사실시내용 추가공시정보와 감사인 대응 (Additional Disclosure of Consolidated Audit Details and Auditor Response)

  • 본 연구는 연결재무제표 외부감사실시내용 추가공시정보와 감사인의 감사시간, 감사보수 간 관계를 분석한다. 2014년부터 2016년까지 연결재무제표를 공시한 상장기업을 대상으로 한 분석 결과는 다음과 같다. 첫째, 연결재무제표 외부감사실시내용 추가공시정보에 대한 감사인의 감사시간은 유의한 양(+)의 관련성을 나타냈다. 이는 연결감사내용의 추가공시가 유용한 정보제공 유인에 기반한 것으로 해석할 수 있다. 둘째, 추가공시정보와 감사보수는 유의한 관련성을 보이지 않았다. 이는 감사보수에 책정하는 감사위험의 측면에서, 연결감사실시내용에 대한 추가공시가 감사인의 연결감사위험에 대한 인식에 기반한 행태가 아님을 시사한다. 본 연구는 선행연구에서 고려되지 않았던 감사보고서와 연결감사보고서의 외부감사실시내용 정보가 구별되어 공시되고 있음을 제시하여 학계에 유용한 정보를 제공한다. 또한, 이에 대한 공시가 감사인의 유용한 정보제공유인에 기반함을 실증함으로써 정책적 시사점을 제시한다.

Impacts of Transparency and Disclosures on Firm Valuation of the Healthcare Sector in India

  • This study's principal goal is to find the interrelation between transparency & disclosure (TD) and the healthcare sector's firm valuation (FV). The paper uses the market-to-book (MTB) ratio and market capitalization as proxies, where sales measure act as a control variable. Dynamic panel data regression (PD) is the method applied for analyzing data. Data pertains to 10 healthcare companies gathered over five years (2016-2020). Results imply that TD has a negative and significant influence on the FV, where market capitalization acts as a proxy for valuation. This association indicates that a greater degree of TD diminishes FV. TD is also reported to have a negative and insignificant association with MTB. Therefore, TD does not influence FV. The findings of this paper have significant practical implications. Results can help policymakers determine mandatory disclosure levels that are not detrimental to the healthcare sector. Managers and analysts must also analyze the dimensions of disclosure that can negatively impact the firm's valuation and make decisions regarding TD accordingly. This is the first study to assess the influence of TD on the FV of the Indian healthcare sector, which makes it unique. This study is limited to the healthcare sector, which is its shortcoming.

TNFD 적용을 위한 국내 활용가능 데이터 적용 방안 검토 (Review of Domestic Data Application Strategies for TNFD Implementation)

  • The loss of biodiversity poses a significant threat not only to business sustainability and investment risk but also to societal well-being. Nature serves as a crucial driver for long-term business viability and economic prosperity. The Task Force on Nature-related Financial Disclosures (TNFD), established in September 2023, mandates that companies assess and disclose their impacts on nature. Despite this, many businesses lack a full understanding of their reliance on and impact upon natural capital and ecosystem services, leading to insufficient disclosures. This study evaluates the applicability of TNFD's assessment methodologies and indicators within a domestic context, highlighting the condition of nature and ecosystem services, and exploring potential synergies with national biodiversity policies. Our analysis suggests that TNFD necessitates a unique approach to the spatial and temporal data and methodologies traditionally employed in environmental impact assessments. This includes assessing the reciprocal influences of corporate activities on natural capital and ecosystem services via the LEAP framework. Moreover, in industries where the choice of specific indicators depends on unique sectoral traits, developing a standardized strategy for data and assessment indicators-adapted to local conditions-is crucial due to the variability in the availability of assessment tools and data. The proactive engagement of the private sector in ecosystem restoration projects is particularly promising for contributing towards national biodiversity objectives. Although TNFD is in its nascent phase, its global adoption by numerous companies signifies its potential impact. Successful implementation of TNFD is anticipated to deepen businesses' and financial institutions' understanding of natural capital and ecosystem services, thereby reinforcing their commitment to sustainable development.

A Review of Arbitrator Disclosure Obligations in Korea through the Oilhub Case

  • This article provides an overview of the state of affairs of arbitrator disclosure obligations in Korea. It shows how Korean courts will analyze arbitrator conflicts and obligations through an evaluation of Supreme Court judgments and a case-specific analysis of the recent Oilhub case and provides a comparative perspective through a review of recent Japanese case law. Although limited to domestic arbitrations, it assesses the various grounds that courts consider when determining impermissible arbitrator conflicts based on relations with parties and when an award might be set aside as a result. With the 2016 adoption of the KCAB Code of Ethics for Arbitrators and its rigorous standards, great clarity has been brought to the landscape. The Code of Ethics marks a significant milestone in enhancing the robustness of arbitrator disclosures and guaranteeing the fairness, integrity, and transparency of Korean arbitration practice and law.

증례점검 사례를 통한 다양한 언더라이팅 접근 방향 모색 (Various underwriting methods through case audit)

  • I have taught various case audit underwriting methods to underwriters for many years. Underwriting requires specialized medical knowledge and experience of comprehensive individual risk analysis. Decisions in individualized underwriting depend on the insurance company's management philosophy and vision, marketing strategies, culture, product line etc. They also depend on the information acquired through proposal forms, inspection reports, laboratory results and disclosures. Underwriters match this acquired information to each insurance product, search appropriate medical resources, assess the probabilities of future claims, and decide what, if any, further medical information should be gathered. Sources include doctors' reports, medical records, biopsies, blood and urine tests, CT, MRI, Holter monitoring, sonography etc. Insurance medical directors help and teach underwriters to analyze individual medical risks and make effective.
