This study primarily concerns the Model Contract for International Sale of Manufactured Goods recently published by International Chamber of Commerce in 2020. To this end, this study examines the importance of the ICC model contract and its main characteristics, and considers in what form the contract is composed of and the scope of its application by classifying it according to the object of the contract, the subject and type of the transaction. In addition, this study divides the main contents of the ICC model contract into special conditions and general conditions, and attempts to scrutinize details of each condition in connection with the United Nations Convention on Contracts for International Sale of Goods(1980) as a governing law taken by the ICC model contract. Furthermore, this study puts forward, on the basis of the detailed examination of main conditions of ICC Model Contract, practical implications on what the parties to the contract should be aware of when using the ICC model contract.
The purpose of this paper is to examine the several points at issue in international technology transfer contract from licensor's and licensee's perspectives, and to refer them when the licensor and the licensee draw up the contract. This author analyzed the critical points of the related provisions of ICC Model International Technology Transfer Contract(2009) by citing the explanations of the Introduction of the Model Contract. The provisions of the Model Contract are generally divided into two categolies; specific conditions and general conditions. This author selected four topics in the specific conditions; Contents of the Contract, Royalty, Modification and/or Improvements of Products, and Territory and Competition. Likewise this author selected three topics in the general conditions; Resolutions of Disputes, Applicable Law and Taxes. Both parties need to be mindful of the following points in the above topics, when they draw up the contract. First, both parties should make the definitions of special terminologies clear, which are included in the Contract. Second, before the parties sign the Contract, they should check any approvals to be necessary by the both countries' governments. Third, for the calculation of the royalty, they should clear the criteria, the scope, and the object. Fourth, as the local laws or regional laws regarding the territory limitation and taxation are mandatory, any provisions of the Contract should not be inconsistent with them. Therefore, both parties should check before-hand the local laws or rules related with the provisions of the Contract. Fifth, when the parties draw up the Contract, they should examine the Provisions of Dispute Resolution in consideration of the Governing Law. Thus both parties decide to make the technology transfer contract, the three aspects namely profitability, legal conflict with mandatory rules, and sustainability of the business resulting from the Contract should be examined in advance, and then proceed the business using the technology transfer.
건설공사의 불확실성은 빈번히 클레임에 노출된다. 대부분의 경우 이러한 클레임에 대한 기본적인 해석은 공사계약서를 기준으로 하게 된다. 이러한 계약서 작성시의 문제는 발주자나 시공자가 부담하여야 하는 계약적 위험(risk)이 어떻게 규정되어 있어야 합리적인 수준인가를 판단하는 것인데 이러한 판단을 위해서는 FIDIC 계약조건과 같이 국제적으로 합리성을 인정받는 표준계약조건을 참고하는 것이 합리적이라 하겠다. 이에 본 연구는 FIDIC 계약조건을 기준으로 국내 공공공사에서 일반적으로 사용하는 공사계약일반조건에 내재되어 있는 불공정, 불합리 조항을 분석하여 세계적 수준에 맞는 공사계약조건을 제시하고자 위험관리의 관점에서 공사 계약조건을 분석하고, 여기서 도출되는 위험요인을 검증하며, 이에 대한 대응방안을 모색함으로써 공사계약일반조건의 위험요인 감소방안을 제시하고자 한다.
FIDIC 계약조건을 포함하여, 대부분의 국제건설계약조건에, 시공자들에게 부정적인 영향이나 재정적 부담을 필연적으로 야기시키는 유보금조항이 적용되고 있다. 본 연구를 통해 유보금 조항을 왜 적용하는지를 알아보고, FIDIC 계약조건에 포함된 이행보증과 하자관련 조항 및 계약해지 조항을 조사함으로써 유보금 적용에 대한 적정한 판단을 이끌어 내었다. 결론적으로 FIDIC 계약조건에 포함되어 있는 다수의 계약조건들과 이행보증 및 발주자에 의한 계약해지 조항 등의 내용을 고려할 때, 유보금 조항을 계약에 포함하는 것이 불필요하다.
Few studies have specifically focused on the uncertainty of demand forecasting despite the fact that uncertainty is the one of greatest risks for governments and private partners in PPP projects. This study presents a methodology for finding robust contract conditions considering uncertainty in travel demand forecasting in a PPP project. Through a case study of an urban railway PPP project in Korea, this study uncovered the risk of excessive government payments to private partners due to the uncertainty in contracted forecast ridership levels. The results allow the suggestion that robust contract conditions could reduce the expected total level of government payments and lower user fees while maintaining profitability of the project. This study offers a framework that assists contract negotiators and gives them more information regarding financial risks and vulnerabilities and helps them to quantify the likelihood of these vulnerabilities coming into play during PPP projects.
This paper analyzes how franchise contract conditions are influenced by business structures as well as how contract conditions affect producer surplus by utilizing Korean franchise Information Disclosure Documents for the years 2014-2016. We find that franchise fees tend to increase in line with increases in the numbers of direct stores or the business period. Accordingly, it would be reasonable to check whether the franchise fee is excessive compared to the amount of reputation capital rather than to criticize the absolute level of the franchise fee. Regarding royalty contracts, the larger the discount in the raw materials purchase is, the higher the initial royalty is. Although this appears to be a royalty discount, it can be a means of inducing a raw materials purchase contract by initially setting a high royalty rate and then lowering it after the purchase contract is signed. Concerning the effect on producer surplus, the results show that an increase in franchise fees and royalties negatively affects the franchisee's operating profits but positively affects those of the franchisor's, leading to conflicts over the distribution of economic value added. Based on the findings here, we propose various policy recommendations, specifically reinforcing the contents in the Information Disclosure Document, further activating fixed-rate royalties, and strengthening the qualifications of franchisors when recruiting franchisees.
본 연구에서는 EPC/턴키 프로젝트에서 발생 가능한 클레임의 주요 원인들을 발주자와 건설사의 관점에서 분석하였다. 그 원인들은 EPC/턴키 프로젝트의 표준 계약서인 FIDIC 실버 북을 기반으로 도출하였다. 발생 빈도가 가장 높은 클레임의 유형은 공기지연으로 분석되었다. 그 후, 가장 발생 빈도가 높은 클레임에 대한 책임이 계약 당사자간에 누구에게 있는지를 분석하는 프로세스를 제안하였다. 제안된 프로세스는 2010년에 수행한 2건의 대규모 EPC/턴키 프로젝트들과 FIDIC 실버 북의 공기지연 클레임에 관련된 계약 조항들을 기반으로 제안되었다. 제안된 프로세스는 발주자가 공사기간 지연에 대해 배상금을 설정하는지에 대한 의도에 따라 분류된다. 본 연구의 주요 기여도는 사례 프로젝트의 계약 조건을 기반으로 다양한 계약 유형에 적용할 수 있는 프로세스를 제안한 것이다. 뿐만 아니라, 계약서 작성 전에 발생 가능한 클레임의 유형을 확인할 수 있고, 공사기간 지연 클레임이 발생할 경우에 책임 당사자를 예측할 수 있으므로, 명확한 계약서 작성에도 기여할 수 있을 것이다.
The EPC/Turnkey Contract goes to the extreme in allocating risks to the contractor and depending on the types of project, this may be regarded as unacceptable. It has also gone to the extreme in the extent to which the contractor is responsible for the specification and design of the Works. The employer is not responsible for correctness of any information provided by him nor for correctness of any specification or other matter included in the Employer's Requirements, except the definition of the intended purpose and criteria for testing and performance. With such conditions it is surprising that the employer is entitled to interfere in the contractors performance to an extent that is close to what is norm for a construction contract with employer design and with normal risk allocation. The combination of risk allocation and inappropriate administrative provisions makes the EPC/Turnkey Contract a document that will meet severe resistance from contractors. It is also likely that employers will see the risks and difficulties from their own perspective. It is a fiction that the EPC/Turnkey Contract will give the employer a contact with a certainty of final price and completion date. It is not a fiction that the EPC/Turnkey Contract carries many seeds for disputes between the parties. The Orange Book has become an accepted document even if it clearly contains some weaknesses. Some of these have been corrected in the Plant Contract. In my opinion FIDIC should let users become more familiar with the Plant Contract as a follow up to the Orange Book.
Technology developers in academia tend to be short of professional knowledge and recognition of technology transfer strategies. It is even severe in Korea where the concept of employee's invention has just started to effect in academia. Wasteful contract negotiation disputes cannot only be painful but also can hamper better invention. The main purpose of this paper is to design guidelines for an optimal contract strategy for technology transfer from the perspective of the technology developer in academia, the intermediary and the receiver. Applying conjoint analysis, this study shows not only the relative importance of the attributes related to the technology transfer contract but also the most important conditions of the contract. It is expected that this study may improve the efficiency of technology transfer activities in academia in Korea.
현재 국내건설공사 참여자들은 계약문서의 계약조건에 의해 공사를 수행하기보다는 건설현장에 뿌리내려온 전통적인 관행에 의해 공사를 수행해왔다. 복잡 다양한 건설환경을 고려하여 볼 때, 단지 몇 권의 계약문서만으로 그 모든 분쟁 요소를 해결할 수 없다. 따라서 본 연구는 현 국내의 건설공사의 계약문서인 공사계약일반조건을 고찰하여 불합리를 해결함과 동시에 일반조건의 개선방안 및 계약관리의 효율화 방안을 제시하여 계약관리 및 공사관리의 미숙으로 인한 클레임을 최소화하기위한 방안을 모색하고자 한다. 본 연구결과 국내의 공공건설 클레임과 관련된 문제를 최소화하기 위한 방안을 다음과 같이 제시하였다. (1) 설계변경시기에 대한 명확한 규정이 필요하다. (2) 감리자의 권한을 점차 강화하고, 동시에 책임도 강화해야 한다. (3) 설계감리제도가 계약에 반영되어야 한다. (4) 클레임제기시 그 사유를 분명히 하도록 한다.
