An Investigation of Family Entrepreneurship in Ownership and Firm Performance: Empirical Evidence from Pakistan

  • In today's financial economics literature, the impact of innovative family ownership and management on firm performance is a prominent concern. In this study, the existence of family firms in the listed sector of Pakistan's economy is investigated. The objective of this study is to examine the performance-oriented relationship of family ownership and active involvement of family member at the CEO position. The theoretical perspectives that underpin this research are agency and stewardship. This analysis used a sample of 315 publicly traded companies from 2009 to 2019. The study's primary independent variables include family influence on ownership and family CEO. Financial performance is the dependent variable that is divided into accounting and market measures. The proxy for accounting measure is return on asset and proxy for market measure is Tobin's Q. This study employs univariate and balanced panel data analysis. For robustness of the analysis random-effects GLS regression is carried out. The empirical results show that that Family Firms outperform Non-Family Firms both in terms of accounting and market measures. In the later part family CEOs firms outperform the firms that have either insider or outsider non-family CEOs. This superior performance is subjected to the positive and statistically significant association between family ownership, management, and financial performance.

  • 본 연구는 최고경영진의 인지적 특성이 R&D투자에 어떤 영향을 미치는지 분석한다. 주의기반관점(attention-based view)에 기반하여 최고경영진의 미래지향성과 위험감수성이 R&D투자 수준을 높일 수 있음을 제시한다. R&D활동은 장기적으로 독점적인 지식을 생성하는 것을 목표로 삼고 있기에 기업의 미래성장가능성 및 경쟁우위를 이해하기위해 최고 경영진의 미래지향성과 위험감수성이 R&D투자에 미치는 영향을 이해하는 것이 중요하다. 추가적으로 최고경영진의 영향력을 조절하는 요인으로 CEO 관련 특성을 제시한다. CEO는 최고경영진의 리더역할을 하고 있기 때문에 만약 CEO의 의사결정권한이 높은 수준으로 집중되는 경우 최고경영진 자체의 특성이 R&D에 미치는 영향이 감소할 수 있다. CEO 특성 중 CEO 이사회의장 겸직 여부 및 CEO 소유지분을 통해 CEO의 높은 영향력을 측정하였다. 1994년부터 2015년까지 미국 제조업체 837개의 샘플을 기반으로, 최고경영진의 미래지향성 및 위험감수성이 높을수록 R&D집중도가 증가함이 나타났다. 그러나 CEO가 이사회의 의장도 겸임하며 높은 지분을 보유할 때, 최고경영진의 R&D집중도에 대한 영향력이 감소하였다. 이는 최고경영진과 CEO 사이에 상호작용이 있으며, CEO의 영향력이 커지고 의사결정권한이 높은 상태 및 구조에 따라 변화할 수 있음을 제시한다. 결론적으로 본 연구의 실증 연구 결과는 최고경영진의 주의와 CEO의 영향력 정도가 장기적인 관점에서의 지식 활용 및 개발을 촉진시키는 데 중요한 요소임을 시사한다.

The Role of Overconfident CEO to Dividend Policy in Industrial Enterprises

  • Researching the influence and role of CEO overconfidence to dividend policy is important for stock market investors. Therefore, this study was conducted to find out the relationship between CEO overconfidence and dividend policy in industrial enterprises in Vietnam. Data collected from 222 industry enterprises listed on the Vietnam Stock Exchange from 2012 to 2018. Data is collected on financial statements of listed companies. GLS model with panel data is used to analyze regression results. The results show that CEO overconfidence has dividend yield higher than CEO non-overconfidence. At the same time, the dividend payout ratio of enterprises has no difference between CEO overconfidence and CEO non-overconfidence. The results also showed that revenue growth has a positive impact on dividend yield in small enterprises, but negative impact on dividend payout in large enterprises. Research results by firm size have similar results with the general analysis for all enterprises. At the same time, the analysis of ownership type shows that CEO overconfidence has a positive impact on dividend yield of non-state enterprises without affecting other types of enterprises. From these results, the authors also made a number of recommendations to help investors choose businesses to invest in accordance with their strategies.

The Influence of Corporate Governance on Dividend Decisions of Listed Firms: Evidence from Sri Lanka

  • This study investigates the role of corporate governance in the dividend decision of 198 non-financial companies listed on the Colombo Stock Exchange of Sri Lanka, over the period from 2009 to 2016. Four corporate governance indicators are used in this study; managerial ownership, the board size, board independence, and CEO duality. Furthermore, this study considers three control variables such as profitability, firm size, and corporate tax. This study employed the Generalized Method of Moments (GMM) model to estimate the regression models on panel data study. The major contribution of this study is exploring the insight into the effect of corporate governance factors on dividend decisions. The results of the study revealed that managerial ownership showed a significant positive impact on the dividend payout ratio. Board size showed a significant positive influence on the dividend payout ratio. Board independence negatively but significantly influenced the dividend payout ratio. CEO duality showed an insignificant negative impact on the dividend payout ratio. In the framework of these CG indicators, Sri Lankan listed firms are recommended to have dispersed ownerships, large Board size and maintain a balance of power and authority by separating the individual who is assuming the position of the CEO from the Chairperson of the Board and maintain at least two independent directors.

The Impact of Board of Directors' Characteristics on Firm Performance: A Case Study in Jordan

  • This study tested the effect of the board of directors' (BOD) characteristics on the corporate performance of the Jordanian industrial and service companies listed on the Amman Stock Exchange (ASE) during the period 2015-2019. The characteristics of the BOD were measured through the following variables: MO = managerial ownership; CEODU = CEO duality; BI = board independence; GD = gender diversity; ND = nationality diversity; AE = advanced education; BM = board meetings; BSIZ = board size; CSIZ = corporate size; CA = corporate age. The corporate performance was measured by return on assets (ROA) and return on equity (ROE). The corporate size and corporate age were used as control variables. The study sample consisted of 85 industrial and service companies with 425 observations to identify the nature of the effect of the BOD characteristics on performance. This study applied time-series data (panel data), and the multiple linear regression method was used to achieve study objectives. Results showed a positive effect of the study variables on performance, while the corporate age and the education level (BOD members) have a negative effect on performance.

최고경영자 휴브리스가 기업의 사회적 책임 활동 수준에 미치는 영향: 기업지배구조의 조절효과를 중심으로 (Chief Executive Officer Hubris and Corporate Social Responsibility in Korea: Moderating Role of Corporate Governance)

  • 한국사회에서 기업의 사회적 책임(CSR)은 산업 규범으로 자리 잡고 있으며, 많은 기업들이 이에 대한 제도적 압력에 순응하여 CSR 활동을 수행하고 있다. 이러한 상황 속에서, 본 연구는 휴브리스와 같은 최고경영자(CEO)의 특성과 사외이사, 외국인 지분률과 같은 기업지배구조 장치가 CSR에 대한 규범을 받아들이는데 영향을 미칠 수 있음을 제시한다. 휴브리스를 지닌 경영자는 제도적 압력에 순응하지 않으며, 산업 규범에 대한 순종을 거부하는 경향이 있다. 따라서, 휴브리스를 지닌 경영자는 타 기업들의 평균적인 즉, 규범화된 수준이 아닌 더 높거나 낮은 수준의 CSR 활동을 수행할 것으로 예상된다. 반면, 경영상의 불확실성을 감소시키기 위해, 기업지배구조는 경영자가 규범화된 수준의 CSR 활동을 유지하도록 CEO를 통제할 것이다. 또한, 기업지배구조 장치는 기업 경영에 나쁜 영향을 미치는 것을 알려진 CEO 휴브리스가 경영의사결정에 미치는 영향을 감소시킨다고 알려져 있다. 따라서, 지배구조가 강화될수록, CEO 휴브리스가 기업의 CSR 활동 수준에 미치는 영향을 감소시킬 것이다.

패션기업의 경영자 기업지배력이 기업 재무성장성에 미치는 영향 - 한국 중소기업의 규모와 기업업력의 조절효과를 중심으로 - (The moderating effect of Korean fashion SMEs' company age and size on the relationship between management ownership and company financial growth)

  • Most Korean companies in the fashion industry are SMEs, and the role of the CEO and management ownership is important for enhancing the firm's competence and developing strategies. The study aims to examine the effect of management ownership on company financial growth. In particular, the study focuses on the moderating effect of company age and size on Korean fashion SMEs' financial outcomes. Financial data based on company financial statements from 2012 to 2014 was collected by the Data Analysis, Retrieval and Transfer System of Korea's Financial Supervisory Service. A total of 295 companies' (domestic fashion businesses) data was analyzed by the bootstrap method. The median sales value in the financial year 2014 was 47,492,403,958 KRW, and the company size was divided by it. The companies were in business for an average of 20 years. According to the results, the management ownership had a negative effect on Compound Annual Growth Rate (CAGR) for the three-years, and the relationship between the two variables was moderated by company age. Additionally, the interaction effect of management ownership and company age on 3-CAGR was also moderated by company size. When the companies had spent only a few years in business, a negative effect of management ownership for small firms and a positive effect of management ownership on financial growth for medium firms were found. These results suggest that small companies starting business need to manage their company governance structure to make flexible decisions, and after retaining financial growth, the companies can expand their businesses based on strong ownership.

The Role of Board Structure and Audit Committee Structure on Financial Reporting Timeliness: Evidence from Public Listed Companies in Malaysia

  • This study examines the effect of board structure and audit committee structure on financial reporting timeliness among Malaysia's top 100 public listed companies. Specifically, this study examines whether board independence, CEO duality, board ownership, audit committee independence, audit committee competence, and audit committee diligence influence the financial reporting timeliness of the public listed companies. This study selects the top 100 public listed companies by market capitalization listed on the Main Market of Bursa Malaysia as the sample since the main board has more public reprimands on financial reporting timeliness compared to other boards. The content analysis on annual reports for five years from 2015 to 2019 is utilized. The results show that audit committee competence and audit committee diligence significantly affect financial reporting timeliness. In contrast, board independence, CEO duality, board ownership, and audit committee independence have insignificant relationships with financial reporting timeliness. The findings in this study are helpful for compliance analysis and strategy formation in enhancing financial reporting timeliness. This study contributes to the agency theory by providing a new perspective on how different sections of corporate governance features interact together to influence financial reporting timeliness. In addition, the findings can assist the regulators in establishing quality corporate governance.

신흥국 기업의 지배구조와 기업의 장기 생존 (Corporate Governance and Long-term Corporate Survival in an Emerging Economy)

  • This paper investigates how corporate governance characteristics are related to long-term corporate survival in an emerging economy. We used the data of 311 companies listed on the Korean Stock Exchange (KSE) in 1979 and examined the survival chances of those companies through the IMF crisis in 1998, upon governance characteristics that are expected to increase long-term strategic orientations. We utilized Cox regression model for the analysis. The results indicate that firms with particular governance characteristics that may be tied to CEO's long-term orientations show higher long-term survivability. Specifically, the probability of a firm's long-term survival is increased when founding family ownership is sustained, the company ownership is concentrated, and the CEO is the largest shareholder. This study has significance in that it is one of initial tries to examine the impact of corporate governance on long-term corporate survival with large scale statistical analysis. Also, the study findings provide some clues as to why the portion of family firms in emerging economies is continuously increased, thus providing meaningful insights to corporate governance literature.

주식인센티브 관리법 이후 중국 상장기업 CEO주식인센티브, 이사회, 기업성과의 관계 (CEO Stock Incentive, Board of Directors, and the Performance of Chinese Corporations after the Stock Incentive Management Law in 2006)

  • 소유와 경영이 분리된 기업에서는 경영자와 주주 간의 이해관계 상충으로 인한 대리인 문제가 발생될 수 있으며, 이를 해소하기 위한 지배구조체제로서 CEO에 대한 주식인센티브제도를 실행할 수 있다. 하지만 본 제도의 실효성에 대해서는 서구 기업들을 대상으로 한 연구들에서와 마찬가지로 중국기업들을 대상으로 했던 선행연구들에서도 상충되는 다양한 주장들이 제시되어 왔다. 따라서 국영기업들의 사유화를 추진해 온 중국 정부는 소유와 경영이 분리된 기업들의 대리인 문제를 보다 효과적으로 해소시키기 위하여 "상장기업 주식인센티브관리법"을 2006년부터 시행해왔다. 하지만 본 법률의 기대효과가 발생되었는지에 대해서는 아직도 명확한 답변을 하기 어려운 상황이다. 이에 본 연구에서는 2006년 법률의 시행 이후 중국 상장기업 CEO에 대한 주식인센티브제도가 기업들의 성과향상에 기여했는지, 더불어 이사회의 특성들이 CEO 주식인센티브와의 상호작용을 통해 기업성과에 어떤 영향을 미쳤는지에 대한 실증분석을 실행하였다. 연구표본은 2008년부터 2013년까지의 6년의 연구기간 동안 최고경영자에 대한 주식인센티브제도를 실시한 중국 상장기업들이며, 제시된 가설들에 대한 검증을 기업성과를 종속변수로 하는 계층적 다중회귀분석을 통해 실시하였다. 연구결과에 따르면 CEO 주식인센티브와 기업성과 간에는 기대했던 것처럼 정(+)의 관계가 있는 것으로 나타났다. 또한 이사회의 지분보유는 CEO 주식인센티브와 기업성과 간의 관계를 강화시킨 것으로 나타났다. 하지만 이사회의 독립성을 나타내는 사외이사비율과 CEO/이사회의장직의 분리는 CEO 주식인센티브와의 상호작용을 통해 기업성과에 중대한 정의 영향을 미치지 않은 것으로 나타났다. 이와 같은 분석결과에 기초하여 본 논문의 결론에서는 이론적 실무적 차원의 중요한 시사점들을 제시하였다.
