This paper is intended to compare the stock market performances of the reorganized firms of South Korea with those of the United States and to analyze the relationship between the performances and the accounting informations of those firms. This paper derives two major implications. First, the stock performances of the reorganized firms of the two countries show very different time profiles. As time goes by after completion of reorganization, the reorganized firms of the US shows significant improvements in stock performances, whereas those of South Korea deteriorates, which means that the institution of reorganization of South Korea has serious problems in sustainablity. Second, in the long-run, any accounting variable cannot affect significantly the stock performances in both countries. Inspite that this paper is limited to the comparison of only two countries, still it can be concluded that the institution of reorganization of South Korea has serious problems in sustainability, and accounting improvements of the reorganized firms cannot provide full credibility in the stock market.

This study attempted to analyse the results of investments from each individual ship investment company(SIC) in Korea which is operating under its ship investment company system. We analyzed investment result of ship investment company by means of Market Adjusted Return Method for measurement of abnormal return(AR) and cumulative abnormal return(CAR). Some implications from the results of this study are suggested. First, we find that the initial abnormal return of IPO, 30-day CAR and long-term CAR are not significantly different between A and B shipping fund management company. And then, the initial abnormal return of IPO and long-term CAR are not significantly different between newbuilding and secondhand ship SIC. But the 30-day CAR is significantly different between newbuilding and secondhand vessel SIC. Third, the 30-day CAR and long-term CAR are not significantly different between newbuilding and secondhand vessel SIC. But the 30-day AR is not significantly different between container and non-container ship SIC. Finally, newbuilding ship SCI is more stable than secondhand vessel SIC, and container ship SIC is more stable than non-container ship SIC in 3-month cumulative return over the past two and half years, from February 2008 to July 2011.

스마트시대라고 불리는 현재, 우리네 생활에서 반드시 필요한 것은 무엇일까. 대부분의 사람들은 전화, 인터넷, TV 등을 가장 먼저 손꼽을 것이다. 이런 것을 이용하기 위해서 일반 사용자들은 어떤 통신회사를 이용할지 고민을 하고, 회사를 선택해 설치를 의뢰하게 된다. 그러면 담당기사가 찾아와 기술적인 부분을 해결해주고 사용하는데 불편함이 없는 자세한 설명을 해주는 것을 듣게 된다. 바로 이런 업무를 담당하는 곳이 (주)ITS중부다. (주)ITS중부는 종합정보통신 회사인 olleh kt의 출자회사로 인터넷, 휴대전화, TV, 집전화, 인터넷전화 등의 olleh상품에 대한 개통과 마케팅을 담당하고 있다. 이곳은 지난 2007년 창립된 신생회사지만 현재 본부에만 660명, 25개 협력회사에서 557명 등 총 1,200여명의 직원들이 근무하고 있을 정도로 성장했다. 이 회사의 눈에 띄는 점은 근로자가 이처럼 많은데도 창립부터 현재까지 무재해를 이어오고 있다는 것이다. 이곳이 어떤 안전활동을 펼치고 있기에 무재해가 계속되고 있는지 살펴봤다.

소연방해체이후 구소련의 해운회사는 각 해당 공화국에 소속되어 운영되기 시작하였다. 흑해해운회사는 우크라이나에 소속되어 우크라이나 경제의 민영화과정과 재정비 계획에 따라 콘쩨른 형태의 기업으로 바뀌었다. 이 회사는 1993년에 민영화과정의 첫 번째 단계인 법인화 형태의 과정을 완료하였으나, 민영화과정의 두 번째 단계인 주식매각의 과정은 1994년 3월 우크라이나 의회가 민영화 계획의 인준을 거부함에 따라 중단되었다. 이 연구는 이러한 상황하에서 흑해해운회사가 당면하고 있는 주요한 문제를 파악하고 그 문제를 해결하기 위한 몇가지의 제안을 한 뒤, 그 회사의 전망을 살펴보고자 한다. 이 연구는 사실발견법과 현장조사와 면접법을 통하여 수행되었다.

(주)고산(1996년 제일공조부품(주)에서 상호변경)은 국내외에서 알아주는 자동차 및 가전기기 부품 생산업체다. 국내외 대형 공조기 업체들의 협력시인 이곳은 국내 5대 자동차 회사는 물론 해외 주요 자동차 회사에 자동차용 Radiator, Condenser, Cooling module을 생산 납품하고 있다. 또한 국내 2대 가전회사에는 에어컨 Condenser를 생산해 공급하고 있다. 1988년 설립이후 꾸준한 기술개발과 판로 개척을 해 온 이곳은 그간 성장에 성장을 거듭 현재는 미국 중국 등지에 8개의 법인을 가진 중견기업으로 우뚝 섰다. 실제 지난해 매출만도 1,455억원(해외법인 포함)에 달할 정도이다. 이처럼 업력 20년을 갓 넘긴 기업이 알짜기업으로 거듭날 수 있었던 이유는 무엇일까? 이에 대해 이곳의 임직원들은 철저한 안전관리를 일순위로 꼽는다. '사고 없는 안전한 작업환경'과 '건강한 근로자라는 인프라가 회사의 성장을 이끌고 있다는 것 이런 우수한 환경이 조성된 데에는 안전 환경 등의 업무를 맡고 있는 경영지원팀의 힘이 크다. 특히 그중에서도 일등공신은 팀을 이끌고 있는 장혁 팀장이라 할 수 있다. 일반시설안전관리자 방화관리 1급 등 다양한 환경안전분야 자격증을 가지고 있는 그는 전문가로서의 폭넓은 지식과 풍부한 경험을 바탕으로 회사의 안전을 선두에서 진두지휘하고 있다 안전을 통해 회사의 청사진을 그려내고 있는 그를 만나봤다.

Ultraviolet (UV) radiation causes inflammation and matrix metalloproteinase (MMP) over-expression and extra cellular matrix depletion, leading to skin photo-aging such as wrinkle formation, dryness, and sagging. In this study, we demonstrated that pretreatment with the hexane extract of microalgae protects UVB mediated cell damages. The results of clinical study showed that Microalgal Oil treated group reduced wrinkle and improve elasticity. All these results suggest Microalgal Oil may be useful as new photo-aging cosmetics for protection against UV induced activity.

본 논문은 DC Common 방식의 새로운 Hybrid 시스템에 대해 제안하고 있다. 제안하는 시스템은 주간에 PV를 통해 배터리를 충전하고 야간에는 BESS(Battery Energy Storage System)로 발전하여 추가 배전용량의 증설 없이 신재생에너지의 발전량을 증가시킬 수 있는 시스템이다. 본 시스템은 계통 연계형 및 PV용 전력변환장치로 구성되며 SiC(Silicon Carbide) 소자를 사용하여 손실을 최소화 하였다. 따라서 각 구성품들의 사양과 Destinpower사가 개발한 알고리즘이 적용된 Hybrid 시스템을 소개한다.

지속적으로 증가하고 있는 에너지 수요에 대처하기 위해 신재생에너지 기술 확보를 위한 노력이 계속되고 있다. 연료전지는 풍력, 태양전지와는 달리 환경적 제약 없이 연속적인 에너지 공급이 가능하여 건물용 분산발전용으로 적합한 요건을 갖추고 있다. 최근 시작된 시범보급 사업으로 건물용 연료전지의 초기 시장 진출이 시작되었고 공공 기관 대체에너지의무화와 그린홈 보급사업 시행으로 시장 확대가 기대된다. 본 논문에서는 건물용 연료전지 시스템의 기본원리와 국내외 개발 동향에 대해 살펴보았으며 핵심부품에 대한 기술개발 현황에 대해 기술하였다.

European Union (EU) law has been a complex but at the same time fascinating subject of study due to its dynamic evolution. In particular, the Lisbon Treaty which entered into force in December 2009 represents the culmination of a decade of attempts at Treaty reform and harmonisation in diverse sectors. Amongst the EU private law fields, company law harmonisation has been one of the hotly debated issues with regards to the freedom of establishment in the internal market. Due to the significant differences between national provisions on company law, it seemed somewhat difficult to harmonise company law. However, Council Regulation 2157/2001 was legislated in 2001 and now provides the basis for the Statute for a European Company (or Societas Europaea: SE). The Statute is also supplemented by the Council Directive 2001/86 on the involvement of employees. The SE Statute is a legal measure in order to contribute to the internal market, and provides a choice for companies that wish to merge, create a joint subsidiary or convert a subsidiary into an SE. Through this option, the SE became a corporate form which is only available to existing companies incorporated in different Member States in the EU. The important question on the meaning of the SE Statute is whether the distinctive characteristics of the SE make it an attractive option to ensure significant numbers of SE registration. In fact, the outcome that has been made through the SE Statute is an example of regulatory competition. The traditional regulatory competition in the freedom of establishment has been the one between national statutes between Member States. However, this time is not a competition between Member States, which means that the Union has joined the area in competition between legal orders and is now in competition with the systems of company law of the Member States.Key Words : European Union, EU Company Law, Societas Europaea, SE Statute, One-tier System, Two-tier System, Race to the Bottom A quite number of scholars expect that the number of SE will increase significantly. Of course, there is no evidence of regulatory competition that Korea faces currently. However, because of the increasing volume of international trade and expansion of regional economic bloc, it is necessary to consider the example of development of EU company law. Addition to the existing SE Statute, the EU Commission has also proposed a new corporate form, Societas Private Europaea (private limited liable company). All of this development in European company law will help firms make their best choice for company establishment. The Delaware-style development in the EU will foster the race to the bottom, thereby improving the contents of company law. To conclude, the study on the development of European company law becomes important to understand the evolution of company law and harmonisation efforts in the EU.
