Size Maximization, Managerial Ownership & Capital Investment of the Frim (규모극대화, 경영자 지분과 기업의 자본적 투자지출)

  • 본 연구에서는 경영자 소유지분과 자본적 투자지출의 관계를 이론과 실증분석의 양 차원에서 분석하였다. 우선 이론적인 분석에서는 경영자가 기업가치 극대화뿐만 아니라 규모극대화를 동시에 추구할 때, 기업의 자발적 투자지출은 경영자 소유지분의 함수라는 점을 보였다. 특히 2차효용함수의 가정하에서 자본적 투자지출과 경영자 소유지분의 관계는 경영자의 소유지분과 위험회피도, 확실성 등가에 의한 프로젝트의 순기대현금 흐름 수준에 따라 달라지는 것으로 나타났다. 또한 자본적 투자지출은 경영자의 효용함수 행태에 따라 경영자 소유지분이 낮은 수준에서는 소유지분의 감소함수이나 높은 수준에서는 증가함수로 반전되는 구조적인 전환점이 존재한다는 점을 밝혔다. 한편 90-95년 중 우리나라 상장 제조업의 자료를 바탕으로 규모극대화 기업과 규모비극대화 기업에 대하여 경영자 소유지분과 자본적 투자지출의 관계를 비교한 결과, 규모극대화 기업에서 경영자 지분이 약 30%인 구조적인 전환점을 중심으로 그 이전에서는 경영자 지분의 증가에 따라 자본적 투자지출이 감소하나 그 이후에는 증가함수로 단전되는 것으로 나타나 이론의 내용을 지지하였다. 그러므로 본 연구의 결과는 기존의 연구에서와는 달리 안주가설(entrenchment hypothesis)에 의하지 않더라도 경영자의 효용함수의 행태에 따라 일정한 경영자 소유지분 이상에서는 가치비극대화 행위가 지배할 있다는 점을 보여주고 있다.

The Impact of Ownership Concentration on Earnings Growth of Chinese Listed Firms: The Mediating Effect of R&D Investment (지분 집중도가 중국 상장기업의 수익 증가에 미치는 영향: R&D 투자의 매개효과)

  • The purpose of this study is to analyze the impact of ownership concentration and R&D investment on earnings growth of listed companies in China. For this purpose, this study utilized 14,196 samples from 2,366 Chinese listed companies using the WIND database and conducted empirical analysis by Python. The results of the analysis are as follows. First, the data shows that ownership concentration has a positive (+) impact on revenue growth of Chinese listed firms. Second, ownership concentration has a postive(+) impact on R&D investment of Chinese listed firms. Third, the survey shows that R&D investment has a positive (+) impact on revenue growth of Chinese listed firms. Fourth, the impact of R&D investment on earnings growth of Chinese listed firms has time lag effect. Fifth, R&D investment has a partial mediating effect in ownership concentration and earnings growth of Chinese listed firms. Based on these analytical results, this study proposes measures to promote firms' earnings increase by optimizing ownership concentration and increasing R&D investment in Chinese listed firms.

  • The objective of the study which it analyzes the result which goes made to the equity investor venture company IPOs stock of Korean venture capitalists. The sample company is the venture business 101 which IPO time venture capitalists invest in period KOSDAQ market from 1997 July 1st to 2006 June 30th for 9 years. The result of the study was as follows. First, it is found that syndication investing venture capitalists than the sale investing venture capitalists has desirable investment act which relax non-symmetry information between the publicly held company and the investor. The study support to Bygrave(1987), Lerner(1994) and so on. Second, The venture capitalists under postscript investing the venture business compared to under investing shows IPO excess benefit rate initially more highly from the venture business and the investor whom already invests early stage prove to use the manned it exaggerates the value of the venture business which venture capitalists oneself invests from postscript phase through the high position characteristic At last, it is discovered that the investment equity ratio of venture capitalists effect of sound (-) postscript investor IPO result which analyzed. It is showed that venture capitalists will remain more lowly excess benefit rate as the equity ratio which the venture capitalists invests at the venture business will be high.

A Study on the Employment Effect of Foreign Invested Companies in Korea by Investor Ratio Type and CEO Nationality (한국내 외국인투자기업 투자지분율형태와 CEO국적에 따른 고용효과 분석)

  • This paper investigated the difference in the employment effectiveness of foreign invested companies in Korea by investor ratio and CEO nationality. To analyze the relationship between employment growth and investment ratio, CEO nationalty, firm age, company size, analysis of variance and regression are employed. Investment ratio is classified into three groups: 1. 0%${\leq}100%$. CEO nationality is classified into three groups: '1' if the CEO nationality is Korean, '2' Korean and Foreign, '3' Foreign. Employment growth turned out to be lower in groups of investment ratio equal to or bigger than 50% than in group which has investment ratio smaller than 50%. and the employment effect was not different depending on the type of CEO. By analyzing the employment growth with respect to investment ratio type and CEO nationality theoretically and empirically, the effect of inward foreign direct investment on employment and its preparation plan can be considered. The policy implication is that investment ratio should be considered in the future employment policy.

Controlling Ownership and R &D Investment in Chinese Firms (지배주주 지분율과 연구개발 투자: 중국 상장기업을 대상으로)

  • Using 1795 observations from the 5 year-359 firm panel data collected during the period from 2009 to 2013 in Chinese stock exchanges, this study examines the impact of the controlling shareholders' ownership on R & D expenditure. This empirical study finds that when firms are state-owned, the controlling shareholders' ownership has a U shaped relation with the level of R & D expenses. A non-linear relation is also found when piece-wise regression models are applied. This empirical study also finds that when firms are private-owned, the controlling shareholders' ownership is negatively related to the level of R & D expenses, and no structural changes in the relation are found when piece-wise regression models are applied. These results support the hypothesis that the effects of the controlling shareholders' ownership on R & D expenses may differ depending on the ownership type of the controlling shareholders. This finding suggests that the differences in the controlling shareholders' incentives due to their ownership type should be considered when exploring the relation between the controlling shareholders' ownership and corporate strategic decisions.

  • WTO 통신협상 시 우리 나라 통신서비스 분야의 주요쟁점사안 중의 하나는 기간통신사업자의 외국인투자한도 확대이다. 주요 선진국들은 통신서비스 시장규모와 발전전망이 높은 우리 나라에 투자하기 위하여 외국인 지분한도 확대 및 외국인 대주주 허용에 많은 관심을 표명하고 있다. 외국인 지분한도 완화에 따른 긍정적 효과가 부정적 효과 보다 클 경우 국내 통신서비스 시장 발전에 유익할 것으로 예상된다. 특히 배당수익을 목적으로 하는 지분 참여를 통한 외국으로부터 자본을 도입하여 경영진이 효율적으로 사업을 주도할 경우 순기능 효과를 발휘하게 된다. 그러나 부정적 효과가 크다면 지분확대가 통신사업발전에 장해가 될 것이다. 이에 본 고에서는 우리 나라의 추가적인 외국인 지분보유 한도 확대에 앞서 기간통신사업자에게 미칠 긍정적 또는 부정적 파급효과를 분석해 보고, 외국인 지분확대에 따른 부정적 효과를 최소화하기 위한 질적 규제장치 도입 등 대응방안을 모색하고자 한다.

Managerial Ownership and R & D Investment in the Chinese Firms : Comparison between State_Owned Firms and Private_Owned Firms (경영자 지분이 연구개발투자에 미치는 영향: 중국 국유기업과 민영기업 비교를 중심으로)

  • Using 1855 observations from 5 years-371 firms panel data during 2010 to 2014 in Chinese stock exchanges, this study examines the impact of managers' ownership on R & D expenditures. The empirical study finds that when firms are state-owned, managers' ownership have negative relation with the level of R & D expenses as well as the likelihood of executing R & D investment, implying that managers are less likely to invest in high risky projects due to managerial ownership's entrenchment effects to pursue private benefits rather than alignment of interest effect as shareholders. The empirical study also finds that when firms are private-owned, managerial ownership are inverse U shaped related to the level of R & D expenses, implying that managers are less likely to invest in high risky projects due to increasing risk aversion resulting from concentration of private wealth at its high level while managers are more likely to invest in high risky projects due to increasing incentives as shareholders at its low level. The results support that the effects of managerial ownership on R & D expenses may be different according to the ownership type of Chinese listed firms.

Empirical Research on the Death of Foreign-invested Companies (외국인 투자기업의 사멸에 관한 실증연구)

  • This study was conducted to analyze firms' death rate and impact factors on the death of Foreign-invested Companies in Korea which is between 20013 and 2017. Cox Proportional Hazard Model took to conduct on the death impact factors, such as 2 characteristics factors of the firm, and 4 financial characteristics variables, variables, and 4 profitability factors. As a result of the impact factors of Foreign-invested Companies' death the Labour(NE) variables of characteristics firm had negative effects. And the Debt(LB), Operating Profit (OP), and Sales Profit (SP) of the financial characteristics had a negative effect. Other factors did not produce significant results. As a result of an empirically comparative analysis of the mortality rate of foreign-invested companies by the Kaplan-Meier method, it was analyzed that fully owned companies and large enterprises had lower extinction risk and greater sustainable management potential than joint ventures or SMEs.

  • From the perspective of corporate governance, we examine the acquirers' performance of mergers and acquisitions. The empirical results of our study show that outside active shareholders, such as block shareholders or institutional shareholders, affect acquirers' performance in M&A's : the ownership of outside active shareholders is positively correlated with the performance of acquirers. However, the ownership of insiders, such as that of encumbent manners or major shareholders, does not have any significant effect on the performance of M&A's. We also found that the ownership of foreign investors increased its explanatory power after the financial crisis of Asia. Since the current literature concludes that the improvement of corporate governance would enhance the shareholders' wealth, the results of our study implies that outside active investors, rather than insiders, are playing an important role in the corporate governance.

The Relationship between Insider Ownership and Financial Policy (기업소유구조와 재무정책의 상호관련성에 관한 연구 - 자본구조, 투자 및 배당을 중심으로 -)

  • In the literature, much research has been focused on the relationships between financial policies and corporate valuation, including the effects that internal equity and capital structure have on corporate value, as well as how capital structures, investments and dividends relate to one another. However, comprehensive studies considering three facets of financial policies, namely capital structures, investments, and internal equity altogether, are scant. This study follows 361 companies listed on the Korean Stock Exchange, excluding financial institutions, from 1996 to 2002. Using 3SLS methods, an empirical analysis was conducted of the relationships among capital structures, investments, dividends, and internal equity and the results are summarized. Capital structures were found to be negatively related with investments, while investments were mainly related to dividends. Dividends were positively related with internal equity, simultaneously affecting capital structures. We were not able to find any clear evidence of a direct relationship between internal equity and capital structures; however they seemed to be indirectly related. Thus, there seems to be mutual relationships between financial policies and internal equity.
