이 논문의 목적은 IPPs에서 발생할 수 있는 리스크 요소를 규정하고 퍼지 다기준 결정 방법론(Fuzzy MCDM)을 활용하여 사업 리스크의 우선순위와 가중치의 중요도를 분석함으로써 IPP 개발자에게 투자 의사결정 도구를 제공하는 것이다. Many international transactions involve the use of security devices, commonly referred to as "guarantees", "bonds", or "standby credits", designed to protect one of the parties from a breach by its counter-party. These security mechanisms may be provided by banks, insurance companies, specialized surety companies, or other financial service firms. Although some legal systems distinguish between "guarantees", "bonds", and "indemnities", these terms are often used as synonyms in the everyday language of international traders. It may therefore be necessary to examine the particular characteristics and nature of the guarantee obligation in order to properly classify the guarantee. Two main categories of guarantee are demand and suretyship. Under a demand guarantee, the guarantor must pay on first demand by the beneficiary. The beneficiary only has to demand payment under the guarantee - there is no need to prove that the principal has actually defaulted on a contractual obligation. Under a suretyship or conditional guarantee, the obligation of the guarantor is triggered by the actual default or contractual breach of the principal, as evidenced in a document such as a court judgement or arbitral award against the principal. Guarantees have been widely used in the international business transactions. Main uses of guarantees are as follows : Performance Bonds/Guarantees, Bid(or Tender) Bonds/Guarantees, Advance Payment or Repayment Bonds/Guarantees, Retention Bonds/Guarantees, Maintenance(or Warranty) Bonds/Guarantees etc.
Digital goods are defined as intangible and non-physical goods, composed of a combination of digital signals, electronically represented as 0 and 1. They are also called as digital products, electronic transmissions, information goods, digital contents, computer information, etc. Digital goods are now traded both domestically and internationally as well as on-line and off-line. Korean government revised the Basic Law on Foreign Trade to include digital goods and services as the scope of foreign trade in 2001. Trade volume of digital goods are increasing in Korea. The supply chains of digital goods from producing the components to selling globally to consumers are different from conventional physical goods. Mostly, digital goods are traded on the license basis rather than ownership contract. End User License Agreements(EULAs), such as shrink-wrap, click- wrap, or browser-wrap licenses are very popular in online transactions. Unlike conventional physical goods. the breach of license contract is closely linked with the infringement of intellectual property rights. Digitalized intellectual property is easy to copy and transmit in the cyber space. In cases of legal disputes from the breach of license contract, commercial arbitration or on-line alternative dispute resolutions(ADRs) are regarded as better approach to solve them rather than court sues. For promoting more secure and reliable international trade of digital goods. arbitration clauses should be included in most of license contracts.
The purpose of this paper is to examine the Measures against Risks in International Investment Agreement: focusing on Umbrella Clause and MIGA. Umbrella Clauses have become a regular feature of international investment agreements and have been included to provide additional protection to investors by covering the contractual obligations in investment agreements between host countries and foreign investors. The meaning of umbrella clauses is one of the most controversial issues with which international arbitral tribunals have been recently confronted with while adjudicating investment disputes brought before them MIGA issues guarantees against non-commercial risks for investments, such as: currency transfer restrictions, expropriations, war and civil disturbances and breach of contract by host governments, and the case that the investor obtains an arbitration award or judical decision for damages and is unable to enforce it after a specified period. Furthermore, MIGA undertakes a wide range of mediation activities designed to remove obstacles to the flow of foreign direct investment in its developing member countries.
한국의 군수품 산업은 국내 민간 산업직접지의 전략적인 육성 정책에 맞추어, 그 개발과 생산이 특정지역에 편중되는 경향이 있다. 하지만, 최저가 입찰제, 물류의 발달 등으로 인하여 산업직접지의 거점 클러스터와 중소 클러스터의 연관성이 낮아지고 있다. 본 연구에서는 군수품의 납품에 필수적인 공인 시험성적서 관련 정보를 군수품 품질정보 시스템을 통해 수집하고, 이에 대한 사회연결망분석을 실시하였다. 사회연결망분석은 국방품질보증기관, 시험기관, 계약 및 협력업체의 관계를 UCINET의 Two-Mode Network를 통해 분석하였으며, 데이터 간 관계의 단방향성으로 인하여 근접 및 매개 중심성 등은 계산되지 않았다. 중위 기술 산업인 무기체계 분야에서는 서울지역의 시험분석 인프라에 대한 의존도가 높아 지역 산업 클러스터의 특수성능시험과 같은 시험분석 인프라 강화가 필요한 것으로 분석되었으며, 이에 대한 정부 주도의 정책적인 지원이 필요한 것으로 판단되었다. 또한, 저위 기술사업인 전력지원체계 분야에서는 상대적으로 지역적인 시험분석 인프라를 효율적으로 활용하고 있는 것으로 분석되었고, 계약 낙찰과 관련한 전략적 사유로, 지역과 관계없이 컨소시엄을 구축하고, 계약 협력업체 지위를 전략적으로 바꾸는 등 중소 클러스터의 지역적 경계를 극복하고 있는 것으로 분석되었다. 연구결과, 군수품 산업에서 거점 클러스터와 중소 클러스터의 공간적인 불일치성이 일부 확인되었으며, 이에 대한 정책적인 제언이 필요한 것으로 판단되었다.
연생모형(multiple life model)은 보험계약에서 두 명 또는 그 이상의 피보험자들의 사망 또는 생존의 상태에 따른 보험금을 지급하는 보험 상품의 보험료 결정 및 리스크 관리를 위한 모형이다. 본 논문에서는 부부 가입자 중 마지막 사망자가 발생할 때까지 연금이 지급되는 연생보험의 대표적인 상품인 역모기지를 살펴보고자 한다. 역모기지 상품은 만 60세 이상의 고령자가 소유주택을 담보로 거주하면서 일정액을 대출받지만 대출금을 다시 상환하지 않는 금융상품으로 부부 가입의 경우 대출 기간의 확률분포를 적용하기 위해서는 연생모형을 적용해야만 한다. 그러나 현행 역모기지 상품에 있어서 대출한도 및 월지급금 산출 시 연생모형이 적용되지 않고 있으며 우리나라의 경우에는 국민 생명표 상의 여자 사망률을 대출 종료(연금지급종료)확률로 활용하고 있다. 여자의 사망률을 이용하는 이유는 보수적인 관점에서 대출 종료 시점을 예측하기 위해 일반적으로 남자보다 여자가 더 수명이 길다는 점 때문이다. 고령화로 인해 수명이 점점 길어지는 추세이기 때문에 역모기지와 같이 계약기간이 확정되어 있지 않은 보험 상품의 경우 특히 더 계약 종료 시점에 대한 확률분포가 리스크 관리를 위하여 중요하다. 본 논문의 의의는 역모기지의 발행기관 및 보증기관의 적정한 월지급금 지급과 차후 월지급금의 과대지급으로 인한 지급불능을 방지하기 위해 현행 사용하고 있는 모형의 위험률에서 연생 모형으로 변경할 필요성을 실증분석을 통하여 제시한다.
본 연구는 도시형소공인의 매출채권관리가 재무적 경영성과에 미치는 영향을 검정하고자 진행하였다. 도시형소공인을 대상으로 설문조사를 실시하여 분석하였으며 연구결과는 다음과 같다. 첫째, 도시형소공인을 대상으로 한 매출채권관리 요인(신용판매관리와 신용통제관리, 회수관리)은 재무적 경영성과에 정(+)의 유의한 영향을 미치며, 사전적 매출채권관리가 사후적 매출채권관리보다 재무적 경영성과에 유의하게 영향을 미치는 것으로 나타났다. 사전적 매출채권관리 중 신용판매관리는 재무적 경영성과에 유의한 영향을 미치지 않았으며 신용통 제관리의 구성요소인 관리조직과 규정, 계약체결관리, 대손통제가 재무적 경영성과인 안정성에 모두 정(+)의 유의한 영향을 미치는 것으로 나타났고, 수익성에서도 관리조직과 규정이 부분적으로 정(+)의 유의한 영향을 미치는 것으로 나타났으며, 사후적 매출채권관리인 회수관리는 재무적 경영성과에 유의한 영향을 미치지 않는 것으로 나타났다. 둘째, 재무적 경영성과 중 안정성은 조직만족에 정(+)의 유의한 영향을 미치는 것으로 나타났고, 반면에 수익성은 조직만족에 유의한 영향을 미치지 않는 것으로 나타났다. 본 연구의 시사점은 도시형소공인의 매출채권관리에 있어 사전적 매출채권 관리가 사후적인 매출채권관리보다 중요하다고 판단할 수 있다는 것이다. 사전적 매출채권관리는 계약체결 전인 신용조사, 분석 및 평가, 판매결정 등의 과정을 통해 계약체결과 동시에 채무이행을 원활하기 위하여 인적보증이나 물적담보 등을 설정하여 관리하는 절차를 의미하며, 반면에 채무불이행을 전제로 하는 사후적 매출채권관리는 이미 디폴트가 되어버린 매출채권에 대한 채권회수 및 대손상각으로 처리 시까지의 채권관리 절차로서 매출채권이 회수가 지연되거나 대손이 증가하면 기업의 유동성이 악화되고 더 나아가 기업은 파산위험(흑자도산)에 처할 수도 있다. 그러므로 본 연구는 도시형소공인이 상거래 계약체결 시 이행기일 내에 매출 채권 결제와 불량채권의 회수 가능성을 사전에 파악하여 양질의 계약형태 변화를 유도하도록 방향성을 제시하였다는데 의의가 있다.
한국의 독특한 건설산업구조인 주택 선분양 구조, 건설회사의 채무보증 계약이 포함된 PF사업 구조 등에 의해 K-IFRS 도입에 의한 회계처리 방식의 변화는 대체로 건설업체의 재무제표를 악화시키는 방향으로 작용할 것으로 예상되고 있다. 이에 따라 K-IFRS는 국내 건설산업 전반에 심각한 영향을 미칠 수 있는 중요한 이슈이며 건설업체들은 K-IFRS 도입에 대한 대응전략을 구상하고 있다. 이러한 관점에서 본 연구에서는 이에 본 연구에서는 최근 공시된 K-IFRS 회계기준 적용 재무자료를 활용하여 K-IFRS 도입이 건설업체에 미치는 영향을 실증분석하는 것을 목적으로 하였다. 분석방법은 KMV 모형을 활용하여 기존 회계기준인 GAAP 일 경우와 K-IFRS일 경우의 각 업체별 EDF를 산출하여 이를 비교하였다. 분석 결과 대부분 건설업체가 K-IFRS 도입으로 인해 악영향을 받는 것으로 나타났다. 또한 기존 GAAP 회계기준일 때 재무제표가 상대적으로 양호한 업체가 그렇지 않은 업체보다 K-IFRS 도입 영향을 더 많이 받을 것으로 판단된다. 게다가 K-IFRS 도입은 중소형 건설업체보다 PF 사업에 채무보증을 제공해 온대형 건설업체에게 더 큰 영향을 미칠 것으로 판단된다.
주택연금은 계약기간이 확정되어 있지 않기 때문에 계약 종료 시점에 대한 확률분포 예측이 장수리스크 관리를 위하여 중요하다. 따라서 고령화의 주요인인 기대수명의 연장은 연금 재정건전성에 심각한 영향을 끼칠 수 있기 때문에 사망률의 개선 추세가 적절히 반영된 사망률 예측 연구가 선행될 필요가 있다. 본 연구에서는 Lee-Carter (LC) 모형과 연생모형을 이용하여 주택연금 계리모형에 사망률 개선 효과를 반영하였다. 전통적 LC 모형을 통한 사망률 예측 방식은 미래 사망률이 지나치게 개선되는 현상을 보이고 있기 때문에 사망률 개선효과를 조금 더 적절한 수준으로 보정하고자 본 연구에서는 사망확률 분포의 편중을 나타내는 왜도를 활용한 LC 모형을 적용하였다. 왜도 예측 방식을 LC 모형에 적용한 방법론을 사용하여 주택연금 월 지급금을 산출해본 결과 전통적 LC 모형의 사망률 예측보다 사망률 개선효과를 더 적게 반영하여 더 큰 월 지급금이 산출되었고, 왜도 활용 LC 모형에 의한 이러한 결과는 장수 리스크를 덜 왜곡한다는 데 의의가 있다고 볼 수 있다. 본 연구 결과는 사망률 감소 추세를 적절하게 반영한 위험률을 계산하여 주택연금의 발행기관 및 보증기관의 적정한 월 지급금 지급과 차후 월 지급금의 과대지급으로 인한 지급불능을 방지할 수 있는 리스크 관리 방법으로 이용될 수도 있다.
The purpose of this paper is to examine the problems in exercising buyer's right to claim damages for the breach of contract by the seller in international sales contract and to suggest reasonable counter-measures. The main contents are as follows: First, this author analyzed the principles of the seller's liability for damages in detail and examined the methods for the calculation of damages on the basis of Arts.74~77. As these articles are found to be insufficient in practical application, this author further examined the UNIDROIT Principles(2004) to confirm whether these Principles can fill the gaps of CISG or not, which turned out their gap-filling functions. Second, this author tried to find any expected problems when the buyer resorts to the right to claim damages in case of the seller's breach of contract including the estimation of damages, the burden of proof, causation, the proof of appropriateness for avoidance, the proof of buyer's obligation to mitigate the loss and so on. The reason is that these problems may cause a lot of difficulties in real business. As result, many buyers have given up their reasonable rights to claim damages so far. Finally, from the buyer's perspective, this author would like to suggest a liquidated damage clause(LD Clause) which gives the buyer to received a specified sum in case of seller's non-performance and/or a demand guarantee(or standby L/C) which guarantees buyer to secure unconditional payment independent of the underlying contract. For these purposes, the buyer should try to insert the LD Clause and/or Guarantee Clause in the contract when the buyer and the seller negotiate the sales contract. Also there are a lot of considerations and limitations in using the LD Clause and the Guarantee Clause in their real business, mainly dependent up bargain power between the seller and the buyer, for which this author promise to examine in detail in the future.
