공정거래위원회 하도급대금 직불 운영지침 마련 - 하도급대금 직접지급의무 위반 때에는 발주기관장에 시정 명령

  • 공정거래위원회는 지난 8월 16일 하도급대금 직접지급제도 운영지침을 마련하고 시행에 들어갔다. 이에 따라 구청$\cdot$교육청 등 행정기관에서 하도급대금 직접지급 의무를 위반하게 되면 해당 행정기관장이 시정명령을 받게 되며, 발주자의 하도급대금 직접지급의무는 수급사업자의 직접지급요청이 발주자에게 도달한 때를 기준으로 하고, 직접지급요청에 특별한 방식을 요하는 것이 아니라 요청의 존재를 입증할 만한 증거가 있으면 되게 했다. 또 공정거래위원회는 하도급대금의 직접자금에 대한 발주자, 원사업자, 및 수급사업자간의 합의 여부를 판단하는데 있어 3자간의 명시적이고 동시적인 의사합치만이 유효한 것이 아니라 발주자 및 수급사업자가 직접지불에 대한 동의 등 어떤 형식으로든 인식하고 있는 묵시적$\cdot$순차적 합의도 인정하기로 했다.

  • Section I of Chapter III ('Obligations of the Buyer') in Part III ('Sale of Goods') of the CISG consists of six articles addressing one of the fundamental buyer obligations described in article 53 of the CISG: the obligation to pay the price. Although the amount of the price that the buyer must pay is usually specified in the contract, two articles in Section I contain rules governing the amount of the price in particular special circumstances: article 55 specifies a price when one is not fixed or provided for in the contract, and article 56 specifies the way to determine the price when it is 'fixed according to the weight of the goods'. The remaining four provisions in Section I relate to the manner of paying the price: they include rules on the buyer's obligation to take steps preparatory to and to comply with formalities required for paying the price (article 54); provisions on the place of payment (article 57) and the time for payment (article 58); and an article dispensing with the need for a formal demand for payment by the seller (article 59). Especially article 53 states the principal obligations of the buyer, and serves as an introduction to the provisions of Chapter III. As the CISG does not define what constitutes a 'sale of goods', article 53, in combination with article 30, also sheds light on this matter. The principal obligations of the buyer are to pay the price for and take delivery of the goods 'as required by the contract and this CISG'. From this phrase, as well as from article six of the CISG, it follows that, where the contract provides for the performance to take place in a manner that differs from that set forth in the CISG, the parties' agreement prevails.

  • 공정거래위원회(위원장 김동수)가 하도급거래에서 서면발급 및 보존관행을 정착시키기 위해 "바람직한 서면발급 및 보존에 관한 가이드라인"을 제정해 1월 1일부터 시행에 들어갔다. 가이드라인에는 ${\bigtriangleup}$하도급계약서(추가 변경계약서 포함) ${\bigtriangleup}$하도급계약 확인서면 ${\bigtriangleup}$목적물 등 수령증명서 ${\bigtriangleup}$검사결과 통지서 ${\bigtriangleup}$감액서면 ${\bigtriangleup}$기술자료 제공 요구서 ${\bigtriangleup}$계약변경 내역 통지서 등 7건은 의무발급을, ${\bigtriangleup}$목적물 등의 검사결과 및 검사 종료일 ${\bigtriangleup}$하도급대금의 지급일 지급금액 및 지급수단 ${\bigtriangleup}$설계 변경 등에 따라 하도급대금을 조정했을 때 사유 ${\bigtriangleup}$원재료 등의 가격변동 등에 따라 수급사업자가 하도급 대금 조정을 신청한 경우 협의내용 및 조정사유 등 7건은 보존 서면으로 명시했다. 이번 가이드라인은 동반성장협약 평가 항목에도 반영될 예정이다. 또한 공정거래위원회는 하도급법상 서면발급 또는 보존의무를 위반해 경고조치를 받을 때에는 교육이수를 권고하는 한편, 서면 미발급 등 혐의가 반복될 때에는 최고경영자(CEO)가 교육(3개월에 3시간)을 이수토록 규정했다. 특히 서면실태조사에서 서면 미발급 미보존 혐의가 장기간 상습적으로 이뤄졌다는 사실이 확인되면 직권조사를 거쳐 엄중할 방침이다.

  • 공정거래위원회가 하도급계약 추정제에 따른 통지나 회신 방법 규정, 기술재료의 정의 등을 골자로 하는 '하도급거래공정화에관한법률시행령' 개정안을 마련하고 지난 7월 26일부터 시행에 들어갔다. 하도급계약 추정제는 하도급거래에서 수급사업자를 보호하기 위해 수급사업자가 구두로 맺은 계약에 대해 확인을 요청할 때 원사업자가 15일 이내에 이를 부인하지 않으면 계약이 있었던 것으로 추정하는 제도이다. 공정위는 또 수급사업자가 원사업자에게 위탁을 받은 작업의 내용과 하도급대금, 위탁받은 일시, 원사업자와 수급사업자의 사업자명과 주소 그밖의 원사업자에게 위탁한 내용 등으로 정했다. 개정된 하도급법에는 원사업자가 수급사업자에게 기술자료를 제공하도록 강요하지 못하도록 기술자료의 범위도 정했다. 또한 상습적으로 법을 위반하는 사업자의 명단을 공개하는 기준도 마련됐다. 명단 공개 기준은 최근 3년간 벌점이 4점을 초과한 자로서, 사업자명과 대표자, 사업장 주소 공개와 함께 공정위 인터넷 홈페이지에 이를 게시할 때는 그 기간을 1년으로 했다. 이와 함께 입찰명세서와 낙찰자결정 품의서, 견적서, 현장설명서, 설계설명서 등 하도급대금결정 관련서류를 의무적으로 보존토록 하고 하도급대금 지급보증기관에 소방산업공제조합을 추가해 원사업자의 지급보증기관 선택 범위를 확대했다.

  • Referring to Buyer's obligations, the Buyer must pay the price for the goods and take delivery of them as required by the contract. There are vital importances to the Buyer's Fundamental Breach. The legal effects of a breach of contract do not depend on the nature of the obligation broken, but on the consequences of the breach the detriment to the other party. The obligations mentioned to Article 53 are primary obligations which are to be fulfilled in the normal performance of the contract. They include a number of different acts which could be seen as the subject-matter of different obligations. CISG gives further details for the payment of the price in Articles 54 to 59 and for taking delivery in Article 60. The buyer has to take delivery at the respective place within a reasonable period after this communication since he cannot be required to take delivery immediately. Refusing to take delivery in case of delay not constituting a ground for avoiding the contract makes no sense, since this would lead to even later delivery. For the understanding of Buyer's Fundamental Breach, We need to search the Cases referring to the breach of buyer's main obligations.

  • "건설산업기본법"(법률 제9875호, 2009.12.29)이 개정 공포됨에 따라 $\triangle$하도급자의 계약상 이익을 제한하는 부당특약금지 규정 신설 $\triangle$하도급대금의 발주자 직접지급 의무대상 확대 $\triangle$지급기일 위반 시 과태료 부과규정 신설 등 하도급자의 보호규정이 새롭게 신설됐다. 대한설비건설협회는 그동안 회원사가 하도급계약 시 각종 부당특약과 불공정 하도급행위로 인해 경영상 많은 어려움을 겪음에 따라 국토해양부를 비롯한 관련부처에 부당특약과 불공정하도급행위 근절을 위한 제도개선을 지속적으로 건의한 결과 이번 건산법 개정안에 이같은 내용이 반영됐다. 이번에 개정된 건산법은 오는 6월 30일부터 적용되며, 주요 내용은 다음과 같다.

A Study on the Right of the Suspension of Performance under SGA (SGA상의 이행정지권에 관한 연구)

  • This study discusses the right of suspension of performance against anticipatory breach under SGA. Anticipatory breach originated in Hochster v De La Tour allows the innocent party to exercise immediately the right or rights reserved for the non-performance of obligations. But it has not been codified in English Law. Instead, under SGA s. 41 and s. 44, the seller may suspend his performance against the buyer' anticipatory breach. Lien under s. 41 and stoppage in transit under s. 44 are given only to the seller in a narrowly-defined situation. Under SGA s. 41, the unpaid seller is entitled to retain possession of goods where the buyer becomes insolvent. But under SGA s. 43, the unpaid seller loses the right of lien when he delivers goods to a carrier or other bailee or custodian for the purpose of transmission to the buyer without reserving the right of disposal, or when the buyer or his agent lawfully obtains possession of the goods, or by waiver of lien. Under SGA s. 44, the unpaid seller may exercise the right of stoppage in transit if the buyer becomes insolvent, despite the fact that the property of goods has passed or a bill of lading has been transferred to the buyer. But, under s. 45, the right of stoppage in transit is ended when the buyer or his agent takes delivery of goods. And where the buyer transfers a bill of lading to a sub-buyer, the unpaid seller loses his right to stop goods in transit.

The buyer's obligation to pay the price includes taking such steps and complying with such formalities as may be required under the contract or any laws and regulations to enable payment to be made. International sales contracts frequently prescribe that the buyer has to act in advance, that is before the seller starts the process of delivery. Such acts may be either advance payments or the procurement of securities for payment as letters of credit guarantees. On the other hand, The seller deliver the goods hand over any documents relating to them and transfer the property in the goods, as required by the contract and CISG. The seller must deliver goods which are of the quantity, quality and description required by the contract and which are contained or packaged in the manner required by the contract. Except where the parties have agreed otherwise, the goods do not conform with the contract unless they are fit for the purposes for which goods of the same description would ordinarily be used are fit for any particular purpose expressly or impliedly made known to the seller at the time of the conclusion of the contract, except where the circumstances show that the buyer did not rely, or that it was unreasonable for him to rely, on the seller's skill and judgement. The buyer may declare the contract avoided if the failure by the seller to perform any of his obligations under the contract or CISG amounts to a fundamental breach of contract. A study on the legal relationship between the change in the date of performance of trade contracts and the date of shipment of letters of credit (무역계약의 이행기일과 신용장 선적기일의 변경 간의 법률관계에 대한 연구)

  • The seller and the buyer write down the agreed details in the trade contract as trade contract clauses. In the case where a letter of credit is agreed to be the payment condition, the buyer shall open a letter of credit to the seller with the shipping date specified in the trade contract through its bank. In this case, the legal relationship between the performance date of the trade contract and the shipment date of the letter of credit, the change of the performance date of the trade contract due to the change of the trade contract and the change of the shipment date specified in the letter of credit, the seller's letter of credit A problem arises in the legal interpretation of the approval period and the change request period. Therefore, this paper analyzed the precedents of the Seongnam Branch of the Suwon District Court and the Seoul High Court related to these legal issues. The performance date of a trade contract is the seller's delivery date and the buyer's payment date. In the letter of credit transaction, the date of performance of the trade contract is regarded as the date of shipment and the date of negotiation of documents specified in the letter of credit. The seller must decide whether to accept the letter of credit within 5 banking days after receiving the letter of credit from the buyer. After this period has elapsed, the seller cannot refuse the letter of credit. However, if the buyer is unable to decide whether to accept the letter of credit within 5 banking days due to reasons attributable to the buyer, the delivery date specified in the letter of credit will be extended. If the seller requests an amendment to the letter of credit, the buyer must accept it and open the letter of credit the seller desires to the seller. If the buyer refuses the seller's request to change the letter of credit, company A has the obligation to change and reopen the letter of credit as requested by company B. Expect by agreeing on the quotation As it is a fundamental breach of contract stipulated in Article 25 of the United Nations Convention on Contracts for the International Sale of Goods, company B can cancel the trade contract and claim damages from company A. Compensation for damages caused by Company A's breach of the trade contract shall be an amount equal to the loss suffered by Company B as a result of the breach, including loss of profits.
