우리나라 자동차운송산업에 존재하는 지입제(위탁관리제)는 과거부터 논란의 대상이 되어왔다. 1950년대 말부터 시작된 육문 분야의 직영화 정책은 노선버스나 택시의 경우 비교적 성공적인 결과를 가져왔으나 화물자동차운송과 전세버스분야에서 만큼은 아직도 대다수 사업장에서 지입제가 관행화된 제도로 남아 있다. 지입제도는 비효율적이고 전근대적인 경영기법으로 인식되고 있으며 산업발전의 저해요인 보기도하고 불가피하다고 평가되기도 하였다. 본 논문에서는 지입제를 단순하게 비합리적인 제도라고 보기보다는 나름대로의 장점을 가지고 있어 합법적 또는 비합법적인 형태로 지금까지 유지되고 있다고 본다. 지입제는 정보가 비대칭적인 상황에서 기업조직을 통해 생산과 판매를 하기보다는 시장거래를 통한 계약을 통하여 운송서비스를 생산 및 판매를 함으로써 유인일치를 달성시킬 수 있다는 것을 보여주고 있다. 장거리를 운행하는 운송사업의 경우 사업자와 고용운전자는 노동성과에 대한 비대칭적인 정보를 가질 수밖에 없게 된다. 이는 대리문제를 야기시켜 기업조직에 의한 운송서비스의 공급은 생산비용을 상승시킨다. 반면 자동차운송서비스는 생산단위를 분리하기 위한 비용이 비교적 적어 독립적운영이 가능하다. 따라서 차량을 1대씩 분리하여 사업권을 시장거래하는 지입제를 운송사업자와 운전자는 선택하게 된다는 것이다.

조달청은 지난 11월 15일 혁신적인 입찰제도 개선 내용들이 들어있는 $\ulcorner$부실방지 및 입찰질서 확립제도 개선방안$\lrcorner$을 발표, 앞으로 이 제도의 시행을 위해 법제화를 건의할 방침이다. 본고는 부대입찰공사에 대해서는 원도급자의 낙찰률과 관계없이 하도급은 공사예정금액의 85$\%$ 이상에 주도록 법제화하기로 했으며, 부대입찰로 계약된 하도급부분은 해당공사 대금을 하도급자에게 직불하도록 하는 등의 주요내용이 들어있는 조달청이 발표한 $\ulcorner$입찰제도방안$\lrcorner$을 전면 게재한 것이다.

This study relates to the effect from enforcement of regulations in 2014 against controlling shareholder expropriation in Korean corporations. The relationship change between related party transactions (RPTs) and the corporate values of listed Korean corporations is analyzed for the five-year period before and after enforcement of the regulations (2009-2013 and 2014-2018). Three types of RPTs regarding long-term supply contracts, loans, and credit were adopted for analysis. Following are the results of a regression analysis with panel data that consist of 6,534 firm-year observations. First shown is that the enforcement of regulations affects the relationship between RPTs and corporate value. Specifically, for all corporations, the result implies that the purpose of expropriation is weakened, and the efficiency and transparency of transactions in corporations are enhanced due to enforcement of the regulations. Secondly, the extent to which the regulations exert influence on designated and non-designated corporations differs. Regulation enforcement seems to be more influential on non-designated corporations than on designated ones for the efficiency and transparency of transactions in the long-term contract type of RPT.

Electronic ticketing ("e-ticketing") through the internet will be the most critical commercial tool in the international airline industry. Actually the International Air Transport Association(IATA) has announced that it's goal is to accomplish 100 percent implementation of e-ticketing worldwide by 2007. Domestically e-ticketing will be put into operation in a full scale from the next year(2007). Thus, we count on, sooner or later, e-ticketing will be accomplished globally. As a legal aspect, this e-ticketing raises many legal issues which are no longer subject to a static set of legal rules driven by judicial precedent because e-ticketing is carried out on the "cyber space" which is a new and developing law area. In this treatise, I studied these legal issues, specially on the time and place(jurisdiction) of the contract which are the most important issues based on the New Montreal Convention signed at Montreal on May 28, 1999, which would seem prove that the airline industry is receptive and capable of change. Upon this opportunity, I hope the more comprehensive legal study on the e-ticketing will be introduced in the near future.

Generational contracts are specified into public pensions based on generational solidarity. The Korean National Pension has been reformed with a focus on generational equity with a narrow meaning related to contribution rate and benefit level. As a result, the Korean National Pension has only emphasized generational equity and not contributed to generational solidarity. We investigate changes in the content of the generational contract and propose to reconstruct generational contract to contribute to solidarity with a more comprehensive perspective. A new social contract by reformed pension system should not concentrate on narrowed generational equity. It should be reconstructed in the direction of enhancing efficacy and the stability of generational solidarity with an emphasis on social sustainability. Investment into the next generation would be one of many policy measures to decrease conflicts around intergenerational redistribution and improve the financial stability of the public pension by creating population structure and labor market changes.

International arbitration is the important field of applying CISG and the backbone of uniform law developed by CISG. Now CIETAC tribunals like courts of contracting states apply CISG precisely, which is beneficial to improving the quality and the credit of arbitral cases. Arbitration has the characters of independence and the non-government. the legal foundation of arbitral tribunal's applying CISG are the national arbitral law, the applicable arbitral procedures and usages of arbitration, not for performing international obligations under the CISG. CIETAC mainly use China Contract Law and CISG over the cases of sale of goods. Because of no provisions on recovery of differential price loss (equal to article 75 and 76 of CISG) Chinese tribunals have more discretion in determining the sum of damages under the China Contract Law. Applying China Contract Law may not beneficial to aggrieved party.

공정거래위원회가 하도급계약 추정제에 따른 통지나 회신 방법 규정, 기술재료의 정의 등을 골자로 하는 '하도급거래공정화에관한법률시행령' 개정안을 마련하고 지난 7월 26일부터 시행에 들어갔다. 하도급계약 추정제는 하도급거래에서 수급사업자를 보호하기 위해 수급사업자가 구두로 맺은 계약에 대해 확인을 요청할 때 원사업자가 15일 이내에 이를 부인하지 않으면 계약이 있었던 것으로 추정하는 제도이다. 공정위는 또 수급사업자가 원사업자에게 위탁을 받은 작업의 내용과 하도급대금, 위탁받은 일시, 원사업자와 수급사업자의 사업자명과 주소 그밖의 원사업자에게 위탁한 내용 등으로 정했다. 개정된 하도급법에는 원사업자가 수급사업자에게 기술자료를 제공하도록 강요하지 못하도록 기술자료의 범위도 정했다. 또한 상습적으로 법을 위반하는 사업자의 명단을 공개하는 기준도 마련됐다. 명단 공개 기준은 최근 3년간 벌점이 4점을 초과한 자로서, 사업자명과 대표자, 사업장 주소 공개와 함께 공정위 인터넷 홈페이지에 이를 게시할 때는 그 기간을 1년으로 했다. 이와 함께 입찰명세서와 낙찰자결정 품의서, 견적서, 현장설명서, 설계설명서 등 하도급대금결정 관련서류를 의무적으로 보존토록 하고 하도급대금 지급보증기관에 소방산업공제조합을 추가해 원사업자의 지급보증기관 선택 범위를 확대했다.

벤처기업들의 활동영역의 국내외로 급격히 확대되면서, 각종 계약상 분쟁에 휘말릴 가능성이 높아지고 있고, 이로 인해 적극적인 기업활동에 제약을 받는 등 그 폐해가 커지고 있다. 이러한 분쟁이 발생한 경우, 일반적으로는 법원에 소송을 제기하여 해결하게 되는데 이 경우 장기간 시일과 비용이 소요되어 여러 어려운 문제들이 많이 발생한다. 이럴 경우 소송 대신 중재제도를 활용하면 쉽고 편리하게 분쟁을 해결할 수 있다.
