The Effect of Short Sales around Seasoned Equity Offerings on the Offering Price

유상증자 전후의 공매도 거래가 발행가격에 미치는 영향

This study examines 91 right offering cases of seasoned equity offerings (SEO) in order toexamine whether the short sales affect the offering price. The major findings are as follows. First,we do not find any evidence of abnormal short selling activities before, on, or just after theannouncement of SEO. Second, the abnormal short sales during the period between theannouncement date and the date of finalizing the offering price affect the offering price. Third,The abnormal short selling activities persist even after the offering price is finalized. This meansthat investors use short sales not only to affect the offering price, but also to earn profit fromprice decline. To summarize, short selling activities prior to the finalizing of the offering priceaffect the offering price. Therefore the empirical results of this study support the government effortto restrict short sellers from participating in the SEO. We suggest that given the positive effectof short sales such as price discovery, the process up until the finalizing of the offering priceshould be shortened to minimize the effect of short sales on the offering price.

일부 투자자들이 공매도 거래를 통해 발행가격을 하락시킨 후 증자에 참여하여 차익을 얻는다는우려가 제기됨에 따라 금융당국은 유상증자 공시일부터 발행가격 확정일 사이에 공매도를 한 자가유상증자에 참여하지 못하도록 하는 제도개선 방안을 추진 중이다. 하지만 국내시장을 대상으로공매도 거래가 유상증자에 직접적인 영향을 미치는지를 검증한 연구는 전무한 상황이다. 이에 본연구는 유상증자 전후의 공매도 거래를 분석하고 공매도 거래가 발행가격을 실제로 하락시키는지여부를 분석한다. 주요 결과는 다음과 같다. 첫째, 유상증자 공시일 직전, 공시일, 그리고 공시일 직후의 기간에는유의적인 비정상 공매도 거래가 발생하지 않는다. 둘째, 유상증자 공시일부터 최종 발행가격 확정일까지의 기간 동안에는 유의적인 비정상 공매도 거래가 발생하며 공매도 거래 규모가 발행가격하락폭에 유의적인 영향을 미치는 것이 발견된다. 셋째, 비정상 공매도 거래는 발행가격이 확정된이후에도 지속됨에 따라 투자자가 발행가격을 낮추고자 하는 목적뿐만 아니라 지속적인 가격하락으로부터 이익을 얻기 위하여 공매도 거래를 하는 것으로 추정된다. 종합하면 유상증자 발행가격 확정일 이전의 공매도 거래는 발행가격에 영향을 미친다. 따라서공매도 거래자의 유상증자 참여를 제한하고자 추진 중인 현재의 제도변경은 중요성이 높은 것으로사료된다. 하지만 공매도 거래의 가격발견 기능과 같은 긍정적인 효과를 감안할 때, 유상증자 발행가격결정과정의 단순화를 통한 기간 자체를 크게 단축시킴으로써 공매도가 발행가격에 미치는 영향을최소화 할 필요가 있다.
